Home My WebLink About20082295.tiff RESOLUTION RE: APPROVE CONTRACT AMENDMENT #1 TO THE 2007 WELD COUNTY YOUTH CONSERVATION CORPS CONTRACT AND AUTHORIZE CHAIR TO SIGN - GOVERNOR'S COMMISSION ON COMMUNITY SERVICE, COLORADO AMERICORPS PROGRAM WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS,the Board has been presented with Contract Amendment#1 to the 2007 Weld County Youth Conservation Corps Contract between the County of Weld,State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Services, and the Governor's Commission on Community Service, Colorado AmeriCorps Program,commencing upon full execution,with further terms and conditions being as stated in said contract amendment, and WHEREAS, after review, the Board deems it advisable to approve said contract amendment, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that Contract Amendment #1 to the 2007 Weld County Youth Conservation Corps Contract between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Human Services, and the Governor's Commission on Community Service, Colorado AmeriCorps Program, be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said contract amendment. Griego, Director, Human Services Department COLOR ADO RE: Contract Amendment Memorandum for the Weld County Youth Conservation Corps Enclosed for Board approval is the Contract Amendment Memorandum for the Weld County Youth Conservation Corps (WCYCC). The Contract is with the State of Colorado Department of Personnel and Administration, on behalf of the Governor's Commission on Community Service Colorado AmeriCorps. Program and the Weld County Department of Human Services. This Agreement was reviewed at a Board Work Session on August 18, 2008. The major provisions of the Agreement are: 1. The effective date of this Amendment is upon the approval of the State Controller or July 7, 2008, whichever is later. The performance period is from October 1, 2007 through September 30, 2008. 2. The administration of the Weld County Youth Conservation Corps includes citizenship training, service projects, educational programs, and life skill training. 3. Original Contract CLIN # Amendment CLIN # 08EBB0010 074-46 oao/_g 1 PARTIES This Amendment to the above-referenced Original Contract (hereinafter called the Contract) is entered into by and between Board of Weld County Commissioners, Weld County Division of Human Services, (hereinafter called "Contractor"), and the STATE OF COLORADO (hereinafter called the "State") acting by and through the Governor's Commission on Community Service, Colorado AmeriCorps Program, (hereinafter called the "GCCS"). 2 EFFECTIVE DATE AND ENFORCEABILITY This Amendment shall not be effective or enforceable until it is approved and signed by the Colorado State Controller or his/her designee (hereinafter called the "Effective Date"), but shall be effective and enforceable thereafter in accordance with its provisions. The State shall not be liable to pay or reimburse Contractor for any performance hereunder, including, but not limited to costs or expenses incurred, or be bound by any provision hereof prior to the Effective Date. 3 FACTUAL RECITALS a.Authority exists in the law and funds have been budgeted, appropriated, or otherwise made available and a sufficient unencumbered balance thereof remains available for payment, and b.Required approval, clearance, and coordination has been accomplished from and with appropriate agencies; and c.The Parties entered into the Contract for/to the purpose of operating an AmeriCorps Program. 4 CONSIDERATION Consideration for this Amendment consists of the payments to be made hereunder and the obligations, promises, and agreements herein set forth. 5 LIMITS OF EFFECT This Amendment is incorporated by reference into the Contract, and the Contract and all prior amendments thereto, if any, remain in full force and effect except to the extent specifically amended hereby. 6 AMENDMENTS. The Contract and all prior amendments thereto, if any, are amended as follows: a.This Amendment changes the contract amount listed in section IX3 Contract Amount from one hundred sixty-three thousand and eight hundred dollars ($163,800) to one hundred fifty-seven thousand, nine hundred and fifty-one dollars (157,951). b.There are no changes to the scope of services. c.A revised budget, exhibit Al, replaces the original. 7 EFFECTIVE DATE OF AMENDMENT I :, t The effective date hereof is upon approval of the State Controller or their designee, or July 7, 2008, whichever is later. 8 ORDER OF PRECEDENCE Except for the Special Provisions, in the event of any conflict, inconsistency, variance, or contradiction between the provisions of this Amendment and any of the provisions of the Contract, the provisions of this Amendment shall in all respects supersede, govern, and control. The most recent version of the Special Provisions incorporated into the Contract or any amendment shall always control other provisions in the Contract or any amendments. 9 AVAILABLE FUNDS Financial obligations of the state payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted, or otherwise made available.
