RE: APPROVE LETTER OF AGREEMENT FOR RELOCATION OF PIPELINES FOR STATE
HIGHWAY 52 AND COUNTY ROAD 13 WIDENING PROJECTS AND AUTHORIZE CHAIR
TO SIGN - KERR-MCGEE GATHERING, LLC, CIO KERR-MCGEE OIL AND GAS
ONSHORE, LP
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Letter of Agreement for the Relocation
of Pipelines for the State Highway 52 and County Road 13 Widening Projects between the County
of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County,
on behalf of the Department of Public Works, and Kerr-McGee Gathering, LLC, c/o Kerr-McGee
Oil and Gas OnShore, LP,commencing upon full execution,with further terms and conditions being
as stated in said letter of agreement, and
WHEREAS,after review,the Board deems it advisable to approve said letter of agreement,
a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Letter of Agreement for the Relocation of Pipelines for the State
Highway 52 and County Road 13 Widening Projects between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Public Works, and Kerr-McGee Gathering, LLC, c/o Kerr-McGee Oil and Gas
OnShore, LP, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said letter of agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 20th day of February, A.D., 2008.

RE: STA 052A-027 SH 52 & WCR 13 Signals and Intersection Improvement, Agreement
with Kerr-McGee to reimburse cost to relocate pipeline.
Kerr-McGee Gathering currently has a private easement adjacent to the SH 52 ROW.
Expansion of the SH 52 to facilitate the construction of the new signal and turn lanes requires
relocation of approximately 750' of 8" gas line. The cost to perform this work is estimated at
$118,398 and will include a utility boring under SH 52. Since Kerr-McGee's gas line is not
currently in the road ROW, the cost for their relocation is at the project's expense.
This utility relocation is the last conflict associated with this project which is scheduled to begin
in the next month.
Enclosed are two original agreements, please return ONE ORIGINAL to Public Works
when signed.
The appropriate documentation is attached.

Re: Relocation of Kerr-McGee Gathering Pipelines for Colorado State Highway 52 and
Weld County Road 13 Road Widening Projects.
Mr. Patrick:
Pursuant to Weld County's plans to widen the above described roads and expand the
existing road right-of-ways, you have requested that Kerr-McGee Gathering, LLC ("KMG")
prepare a detailed estimate of the costs to relocate two (2) of KMG's natural gas pipelines.
KMG, a subsidiary of Anadarko Petroleum Corporation, agrees to relocate the 16-13-8" pipeline
and re-bore the 16-325-8" pipeline to the requested depths under Colorado State Highway 52.
KMG has agreed to relocate the pipeline facilities on the terms set forth in this letter agreement
which the parties intend to be a binding agreement between the parties herein, however, it is
agreed and understood that additional right-of-way will be needed from the current surface
owners wherein the pipelines will be relocated to. Weld County agrees to assist in obtaining the
additional needed right-of-way from the surface owners, if requested by KMG.
Based on the foregoing, Weld County hereby agrees to pay to KMG all of the costs to
relocate and re-bore the pipeline facilities from the present locations to the location set forth in
the Pipeline Relocation Estimate described in Exhibit "A" attached hereto. The relocation
activities will include but not be limited to the following:
1. The relocation of the 16-13-8" pipeline to a location that will be outside of and
north of the future expanded right-of-way of Colorado State Highway 52 and removal of the
existing pipeline and related facilities from their existing locations.
2. The re-boring of the 16-325-8" pipeline to a location that will lower the pipeline
to the desired depths and abandon in place the existing cased pipeline under Colorado State
Highway 52. All existing casing vent pipes will be extracted and removed from the expanded
right-of-way for Colorado State Highway 52.
Payment to complete the activities described above are ESTIMATED to cost
$118,398.00. Payment will be paid to KMG in immediately available funds upon the execution
of this letter agreement.

KMG will give Weld County written notice of the approximate commencement date of
the relocation activities no less that five business days prior to that date. KMG will commence
the relocation activities set forth above and will complete the work within 45 days of
commencement of construction activities, subject to the availability of equipment and permits.
The parties agree that KMG is under no obligation to commence the relocation of the pipeline
facilities unless and until all right-of-way is obtained and the full amount of the estimate is
actually paid to KMG.
Within 60 days of the completion of the relocation of the pipeline facilities pursuant to
this letter agreement, KMG will send Weld County a final statement with respect to the
relocation of the pipeline facilities. If the final costs to move the facilities were MORE than the
estimate, the final statement will include KMG's invoice for the difference upon receipt of the
invoice. If the final costs are LESS than the estimate, KMG will refund the difference to Weld
County with the final statement.
The parties agree that KMG will be responsible for all of the work necessary to move the
pipeline facilities as set forth in this letter agreement and will protect and hold harmless Weld
County from and against any and all claims and liabilities incurred in connection with the
relocation of the pipeline facilities unless any such claim or liability is caused by the acts or
omissions of Weld County.
If the foregoing accurately sets forth the agreement of Weld County and KMG with
respect to the relocation of the pipeline facilities, please so indicate by signing an original of this
letter is the space provided below and return the same to me. The second original is for your
files.

FIELD NOTES: Weld County is requiring the relocation of approximately 750' of
the 16-13-8" pipeline to the east of WCR 13 for the expansion of Hwy 52. West of WCR 13
the highway expansion will cause one end of the casing on the 16-325-8" to be under
asphalt. A new crossing will be installed utilizing a 250' HDD and the old crossing will be
removed from the casing. The casing will then be filled with a slurry and abandoned in place.
This project will be 100% reimbursable.
