RE: APPROVE COLORADO WORKS PROGRAM AGREEMENT FOR SERVICES AND
AUTHORIZE CHAIR TO SIGN - TRANSITIONS PSYCHOLOGY GROUP, LLC
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,the Board has been presented with a Colorado Works Program Agreement for
Services between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Services, and Transitions
Psychology Group, LLC, commencing July 1, 2008, and ending June 30, 2009, with further terms
and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Colorado Works Program Agreement for Services between the County
of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County,
on behalf of the Department of Human Services, and Transitions Psychology Group, LLC, be, and
hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 20th day of October, A.D., 2008, nunc pro tunc July 1, 2008.

Enclosed for Board approval are Agreements between the Weld County Department of Human
Services and the various providers of: Transitions Psychology Group, LLC, and Catholic

This Agreement,made and entered into the I
day of wL 2008,by and between the Board of
Weld County Commissioners, sitting as the Board of Social Services,on behalf of the Weld County Department of
Human Services,hereinafter referred to as"Human Services,"and Transitions Psychology Group, LLC, hereinafter
referred to as"Transitions".
WITNESSETH
WHEREAS,required approval,clearance, and coordination have been accomplished from and with
appropriate agencies; and
WHEREAS, Human Services and Transitions desire to enter into an agreement to provide assistance to
Colorado Works families by offering vocational assessments, individual and family counseling services,and life
skills coaching to remove barriers to self-sufficiency.
NOW THEREFORE, in consideration of the premises,the parties hereto covenant and agree as follows:
Term
This Agreement shall become effective on July I,2008,upon proper execution of this Agreement and shall
expire June 30,2009.
2. Scone of Services
Services shall be provided by Transitions to any person(s)eligible for Temporary Assistance to Needy
Families in compliance with Exhibit A "Scope of Services", a copy of which is attached hereto and
incorporated herein by reference.
3. Payment
a. Payment shall be made on the basis of Exhibit B,"Payment Schedule,"copies of which are
attached and incorporated by reference.
"Payment Schedule" shall establish the maximum reimbursement per month, which will be paid
from Temporary Assistance to Needy Families funds during the duration of this Agreement.
b. Transitions shall submit an itemized monthly bill to Human Services for all costs incurred and
services provided pursuant to Exhibit A of this Agreement in accordance with criteria established
by Human Services. The Transitions shall submit all itemized monthly billings to Human
Services no later than the twenty-fifth(25)day of the month following the month the cost was
incurred.
Failure to submit monthly billings in accordance with the terms of this agreement may result in
Transitions forfeiture of all rights to be reimbursed for such expenses. In the event of a forfeiture
of reimbursement, Transitions may appeal such circumstance to the Director of Human Services.
The decision of the Director of Human Services shall be final.
c. Payments of costs incurred pursuant to this Agreement is expressly contingent upon the
availability of Temporary Assistance to Needy Families funds.

d. Human Services shall not be billed for,and reimbursement shall not be made for time involved in
activities outside of those defined in Exhibit A. Work performed prior to the execution of this
Contract shall not be reimbursed or considered part of this Agreement.
4. Payment Method
Unless otherwise provided in the Scope of Services and Payment Schedule:
a. Transitions shall provide proper monthly invoices and verification of services performed for costs
incurred in the performance of the agreement.
b. Human Services may withhold any payment if Transitions has failed to comply with the Financial
Management Requirements,program objectives,contractual terms, or reporting requirements. In
the event of a forfeiture of reimbursements, Transitions may appeal such circumstance to the
Director of Human Services. The decision of the Director of Human Services shall be final.
5. Assurances
Transitions shall abide by all assurances as set forth in the attached Exhibit C, which is attached hereto and
incorporated herein by reference.
6. Compliance with Applicable Laws
At all times during the performance of this contract, Transitions shall strictly adhere to all applicable
federal and state laws,orders,and all applicable standards,regulations, interpretations or guidelines issued
pursuant thereto. This includes the protection of the confidentiality of all applicant/recipient records,
papers,documents,tapes and any other materials that have been or may hereafter be established which
relate to the Contract. Transitions acknowledges that the following laws are included:
Title VI of the Civil Rights Act of 1964,42 U.S.C. Sections 2000d-1 et.
seq. and its implementing regulation,45 C.F.R. Part 80 et. seq.;and
Section 504 of the Rehabilitation Act of 1973,29 U.S.C. Section 794, and
its implementing regulations,45 C.F.R. Part 84; and
- The Age Discrimination Act of 1975,42 U.S.C. Sections 6101 et. seq. and
its implementation regulations,45 C.F.R. Part 91; and
- Title VII of the Civil Rights Act of 1964;and The Age Discrimination in Employment Act of 1967; and
- The Equal Pay Act of 1963;and
- The Education Amendments of 1972;and
Immigration Reform and Control Act of 1986, P.L.99-603;42C.F.R. Part 2
- 45C.F.R. (HIPAA)
and all regulations applicable to these laws prohibiting discrimination because of race, color,national
origin, and, sex,religion and handicap, including Acquired Immune Deficiency Syndrome(AIDS)or AIDS
related conditions,covered under Section 504 of the Rehabilitation Act of 1973,as amended,cited above.
Included is 45 C.F.R. Part 74 Appendix G 9,which requires that affirmative steps be taken to assure that
small and minority businesses are utilized,when possible, as sources of supplies,equipment, construction
and services. This assurance is given in consideration of and for the purpose of obtaining any and all
federal and/or state financial assistance.
Any person who feels that s/he has been discriminated against has the right to file a complaint either with
the Colorado Department of Human Services or with the U.S. Department of Health and Human Services,
Office for Civil Rights.

7. Certifications
Transitions certifies that,at the time of entering into this Contract, it has currently in effect all necessary
licenses,approvals, insurance, etc. required to properly provide the services and/or supplies covered by this
contract.
8. Monitoring and Evaluation
Transitions and Human Services agree that monitoring and evaluation of the performance of this
Agreement shall be conducted by Transitions and Human Services. The results of the monitoring and
evaluation shall be provided to the Board of Weld County Commissioners and Transitions.
Transitions shall permit Human Services, and any other duly authorized agent or governmental agency,to
monitor all activities conducted by the Transitions pursuant to the terms of this Agreement. As the
monitoring agency may in its sole discretion deem necessary or appropriate, such program data, special
analyses, on-site checking, formal audit examinations,or any other reasonable procedures. All such
monitoring shall be performed in a manner that will not unduly interfere with agreement work.
9. Modification of Agreement
All modifications to this agreement shall be in writing and signed by both parties.
10. Remedies
The Director of Human Services or designee may exercise the following remedial actions should s/he find
Transitions substantially failed to satisfy the scope of work found in this Agreement. Substantial failure to
satisfy the scope of work shall be defined to mean incorrect or improper activities or inaction by
Transitions. These remedial actions are as follows:
a. Withhold payment of Transitions until the necessary services or corrections in performance are
satisfactorily completed;
b. Deny payment or recover reimbursement for those services or deliverables which have not been
performed and which due to circumstances caused by Transitions cannot be performed or if
performed would be of no value to the Human Services. Denial of the amount of payment shall be
reasonably related to the amount of work or deliverables lost to Human Services;
c. Incorrect payment to Transitions due to omission, error, fraud, and/or defalcation shall be
recovered from Transitions by deduction from subsequent payments under this Agreement or
other agreements between Human Services and Transitions,or by Human Services as a debt due to
Human Services or otherwise as provided by law.
II. Representatives

12. Notice
All notices required to be given by the parties hereunder shall be given by certified or registered mail to the
individuals at the addresses set forth below. Either party may from time to time designate in writing a
substitute person(s)or address to whom such notices shall be sent:

13. Litigation
Transitions shall promptly notify Human Services in the event that Transitions learns of any actual
litigation in which it is a party defendant in a case which involves services provided under this Agreement.
Transitions, within five(5)calendar days after being served with a summons, complaint,or other pleading
which has been filed in any federal or state court or administrative agency, shall deliver copies of such
document(s)to the Human Services Director. The term"litigation" includes an assignment for the benefit
of creditors,and filings in bankruptcy, reorganization and/or foreclosure.
14. Termination
This Agreement may be terminated at any time by either party given thirty (30) days written notice and is
subject to the availability of funding.
15. Entire Agreement
This Agreement,together with all attachments hereto,constitutes the entire understanding between the
parties with respect to the subject matter hereof,and may not be changed or modified except as stated in
Paragraph 9 herein.

EXHIBIT A
SCOPE OF SERVICES
General Scope of Services:
Transitions and the Temporary Assistance for Needy Families (TANF) Program agree to provide assistance
to Colorado Works families by offering vocational assessments, individual, family and group counseling
services, evaluations and life skills coaching to remove barriers to self-sufficiency and Supplemental
Security Income or Social Security Disability Insurance application assistance.
Transitions will work jointly with TANF Program staff(Assistance Payments and Employment Services of
Weld County, both Divisions of the Weld County Department of Human Services). Employment Services
provides the case management, and work activities necessary for Colorado Works(TANF)clients.
2 Types of Services to be Provided:
Transitions agrees to provide certain services as follows:
a. Vocational Assessments:
Transitions will conduct vocational assessments through structured individual interviews for
Colorado Works applicants aimed at identifying personal strengths and barriers to self-sufficiency.
The vocational assessment will address various content areas including work/career, family,
physical health, mental health, disabilities, legal issues, housing, support network,
education/training,personal growth/development and motivation. A risk assessment for self-harm
behaviors will also be included. The results of the screening are compiled into a brief written
report delineating employment strengths,employment concerns and recommendations. The
written report is provided to the referring Human Services staff members within two business days
of the interview in order to expedite the applicant's placement in employment activities.
Vocational Assessments will be scheduled by the Colorado Works' Employment Services case
managers and a Transitions counselor will complete their portion of the assessment on-site at the
Weld County Department of Human Services offices located at 1551 N 17 Avenue,Greeley,
Colorado and 2950 9th Street, Fort Lupton.Colorado.
b. Vocational Support:
I) Individual Counseling: Transitions will make available individual counseling for
Colorado Works recipients referred by the TANF program and services will be designed
to remove barriers to work and may take place at Transitions' offices, in the recipient's
home or at other appropriate sites based on recipients' needs and limitations.
2) Family Counseling: Transitions will provide family counseling, which is designed to
remove barriers to work, for Colorado Works recipients referred by the TANF Program.
Services may take place at Transitions offices,in the recipient's home,or at other
appropriate sites based on the recipients' needs and limitations.
3) Group Support or Counseling: Transition Group will provide group support or
counseling services to those Colorado Works recipients referred by the TANF Program.
Groups will be designed to address self-sufficiency issues common to the recipients(i.e.
self-esteem, anger management, relationship issues,problem-solving skills, social skills).
4) Life Skills Coaching: Transitions will make available Life Skills Coaching for Colorado
Works recipients referred by the TANF Program. Life Skills coaching will provide
intensive teaching and modeling to improve self-sufficiency in target areas such as
household management, parenting practices, relational skills, accessing community

resources and goal setting. Life Skills services typically take place in the recipient's
home,but may be provided at the Transitions offices or at another appropriate
community site based on the recipient's needs and limitations.
5) Evaluation and Consultation: Transitions agrees to provide evaluation and consultation
relating to cognitive, social/emotional and other functioning issues identified with
Colorado Works recipients who are referred by the TANF Program. Transitions agrees to
provide an evaluation performed by a qualified psychologist. The purpose of the
evaluation is to identify any limitations or barriers to work that might exist with the
clients, especially identifying functional limitation issues such as learning disabilities,
borderline intellectual functioning and mental illness. A written report is to be provided
to the referring TANF staff member upon completion of the testing. Transitions will also
make available a qualified psychologist for consultation with Human Services, discussing
test results or other difficult cases and making Individual Responsibility Contract(IRC)
recommendations.
c. Supplemental Security Income and Social Security Disability Insurance Application Assistance
I) Documentation: Transitions agrees to assist Colorado Works clients that are referred by the
TANF Program in gathering all applicable documentation and information to assist in the
Supplemental Security Income(SSI)and Social Security Disability Insurance(SSDI)
application process. This includes,but not limited to: identifying and utilizing relevant
doctors or other professional's information pertinent to the client's medial, cognitive and
physical condition pertinent to the application,obtaining personal information for the
application,obtaining the work history of the client, obtaining all necessary SSI or SSDI
applications and paperwork or utilizing on-line tools and obtaining any correspondence that is
sent by Social Security Administration (SSA).
2) Application Submission: Transitions agrees to assist clients that are referred by the TANF
Program with the submission of their SSI or SSDI application. This includes, but not limited
to: ensuring that the application and all required supporting documentation is complete and
accurate to the best of Transitions knowledge,ensuring all known relevant information is
listed on the application and all required supporting documents or on-line and ensuring that
the application and all required supporting documents are submitted to SSA within SSA
specified guidelines.
Transitions will also provide an opinion as to whether clients should or should not be referred
for SSI or SSDI application assistance.
3) Appeal Process: Transitions agrees to assist clients that are referred by the TANF Program in
the appeals process for which clients have been denied for SSI or SSDI. This includes, but
not limited to: Obtaining additional relevant information and documentation that assists the
client in overturning the denial of the application by SSA, submitting all required information
and documentation to SSA within the applicable timelines set by SSA, informing the
Department of any additional professional help that might assist in overturning the denial of
the application,and following up with the client as needed to ensure all SSA correspondence
has been reviewed and acted upon.
Contact to schedule appointments with clients must be done by Transitions within seven calendar days
from receipt of the referral from the appropriate TANF Program staff person.
Transitions staff agree to notify the appropriate TANF staff person within 2 working days when a client
fails to show for a scheduled appointment and whenever a referred client cancels the Transitions initial
appointment.

The appropriate TANF program staff agrees to notify Transitions within 2 working days when a client is
sanctioned, moves, becomes ineligible for cash benefits,or any other reason that may effect or limit the
clients' participation in counseling services.
3. Eligible Recipients:
TANF Program staff will approve designated referrals for counseling, life skills,evaluations, SSI
application assistance, SSDI application assistance and consultation services and provide Transitions with a
referral authorization, signed by the technician or case manager and a program supervisor. Human Services
Colorado Works case managers will schedule the vocational assessments, but no signed referral form is
needed for this service.
4. Staff Qualifications:
For all services offered through this Agreement, Transitions will provide counselors who hold,at a
minimum,a Master's degree in a human services field and two years' of relevant experience. Transitions
agrees to make available to the TANF Program licensed professionals, i.e. Licensed Professional Counselor
or Licensed Clinical Social Worker, as appropriate and available. Vocational assessments will be
performed by a licensed mental health professional. Evaluation and Consultation providers will hold, at a
minimum, a doctorate degree in psychology or a related field,two years' of relevant experience, and be
supervised by a Licensed Psychologist.
All staff members and supervisors providing direct services meet or exceed minimum qualifications in
education and experience as defined in Staff Manual Volume VII, Section 7.303.17 and Section 7.0006,Q,
Colorado Department of Human Services.
5. Measurable Outcomes and Objectives:
a. Vocational Assessments:
1. Screen Colorado Works participants for barriers to self-sufficiency and risk of harm to
themselves or others.
2. Provide a prompt written report delineating employment strengths,employment concerns
and recommendations to Colorado Works Program staff to be utilized in IRC planning
and expedite placement in work activities. Reports will be provided within 48 hours of
the assessment interview. Outcomes will be measured by the number of acceptable
reports submitted within time parameters.
b. Vocational Support:
1. Provide individual, family and group counseling to remove barriers to self-sufficiency.
Monthly reports will be submitted to the appropriate TANF Program staff to identify
areas addressed and progress.
2. Life Skills coaching utilizes a Life Skills Assessment(LSA)and Action Plan as a means
to rate client progress. The LSA rates the client in areas of a)household management
and environment, b)parenting styles and capabilities, c)family interactions and safety, d)
child well-being, e) support network and use of community resources,and 0 motivation
and commitment. Progress toward goals in the action plan are measured using self-rated
scales and through outside observer scaling. Changes in the content areas and progress
towards goals are measured in a pre-and post-format using the LSA and the action plan.
3. Evaluations will identify barriers to self-sufficiency, including cognitive,
social/emotional and functioning issues. A written report identifying any diagnoses,

disabilities or functioning limitations and recommendations will be provided to Colorado
Works Program staff. Outcomes will be measured by the number of acceptable reports
submitted.
4. Program outcomes may also be measured through the analysis of Colorado Works
participation rates, program recidivism and participants' employment retention rates.
c. Supplemental Security Income and Social Security Disability Insurance Application Assistance
I. Provide SSI or SSDI application assistance to all disabled individuals that are referred by the
TANF Program. Monthly reports will be submitted the appropriate TANF Program staff to
identify how the application assistance is proceeding for each client.
2. Monthly reports will be provided with the monthly bill detailing how many clients are
currently referred for application assistance, where each client is in the process of the
application process, and how much time has been charged by Transitions for each client.
Outcomes will be measured by the number of SSI and SSDI applications submitted to SSA,
the number approved applications and number of overturned denials.
6. Service Time Frames:
a. Vocational Assessments: Vocational Assessments are completed in one session. Nine hours per
week are available for scheduling with an on-site counselor,with a maximum of 12 assessments
scheduled per week. Written reports are filed within 48 hours of the assessment interview.
b. Vocational Support: Individual and family counseling services are tailored for each referred
participant/family. Typically sessions are held for one hour, one time per week,but up to three
hours per week may be provided if more intensive services are warranted and approved by the
appropriate TANF Program staff,especially during the initial six weeks of TANF qualification.
The initial service period lasts up to three months. If a participant needs additional services,
Transitions will consult with Colorado Works Program staff to request an extension. Life skills
coaching is a more intensive three month program, beginning with up to five hours of services per
week during the first six weeks, gradually tapering off to one hour per week. Life Skills referrals
may be extended based on client need with approval of the appropriate TANF Program staff.
c. Supplemental Security Income and Social Security Disability Insurance Application Assistance:
Application assistance will be tailored to each individual referred. The Individual Responsibility
Contract will detail the client's responsibility to participate in the application process. Transitions
will complete the initial SSI or SSDI application processes within two months from referral. Any
appeals will be completed within the guidelines established by SSA. Any non-cooperation from
referred clients should be reported directly to the applicable TANF Program staff member.
7. Workload Standards:
Transitions counselors provide no more than 12 vocational assessments per week. The assessments will
typically be divided among three licensed mental health professionals, each providing an average of two
assessments per week.
Transitions counselors providing individual, family, and group services may each carry a caseload that does
not exceed 12 hours of direct client contact per week. Transitions has four counselors available for the
program.
Transitions life skills coaches maintain a maximum caseload of five participants/families, with each family
participating for an average of three hours per week. Transitions has two counselors available for the
program.

Transitions psychologists maintain a maximum caseload of five evaluations at a time, with each referred
person participating for an average of two hours per week. Transitions has two psychologists available for
the program.
Program supervisors,counselors, psychologists and life skills coaches carry minimum professional liability
insurance of$1,000,000 per occurrence and$3,000,000 aggregate.

EXHIBIT B
PAYMENT SCHEDULE
I. Funding and Method of Payment
Human Services agrees to reimburse to Transitions in consideration for the work and Services performed,a
total amount not to exceed one hundred twenty thousand dollars($120,000)for the contract period.
Expenses incurred by Transitions, in association with said project prior to the term of this agreement, are
not eligible Human Services expenditures and shall not be reimbursed by Social Services.
Payment pursuant to this Contract,whether in whole or in part, is subject to and contingent upon the
continuing availability of Temporary Assistance to Needy Families funds for the purposes hereof. In the
event that said funds,or any part thereof, become unavailable as determined by Human Services, Human
Services may immediately terminate this Contract or amend it accordingly.
2. Fee Schedule
a. Vocational Assessments $ 125.00/each*
* Vocational Assessments normally scheduled on Monday, Wednesday& Friday from 1:00 p.m. to 4:00
p.m.,and written reports completed within 48 hours of the interviews.
b. Individual Counseling(vocational support) $ 95.00/hour
c. Family Counseling(vocational support) $ 95.00/hour
d. Group Counseling(vocational support) $225.00/2 hour grp.
e. Life Skills Coaching(vocational support) $ 95.00/hour
f. Psycho-educational Assessment, Interpretation and Consultation... $ 95.00/hour
g. Program Consultation $ 95.00/hour
h. Retainer fee for SSI and SSDI application assistance $1,500/client**
**Application assistance per client includes an enrollment fee of$250 and$40/hour at 31.25 hours of
service per application. If the application process does not require 31.25 hours,the difference between
the actual number of hours and the 31.25 multiplied by$40/hour will be refunded to the Department.
Additionally, if the applicant never meets with Transitions to complete the application,the enrollment
fee will be returned to the Department.
3. Submittal of Vouchers
Transitions shall prepare and submit monthly the itemized voucher and certify that the services authorized
were provided on the date indicated and the charges made were pursuant to the terms and conditions of
Exhibit A.
Requests for reimbursement will be submitted to Weld County Human Services, P.O. Box A,Greeley, CO

EXHIBIT C
ASSURANCES
Transitions agrees it is an independent Transitions and that its officers and employees do not become
employees of Weld County, nor are they entitled to any employee benefits as Weld County employees, as
the result of the execution of this Agreement.
2. Weld County,the Board of County Commissioners of Weld County,its officers and employees, shall not
be held liable for injuries or damages caused by any negligent acts or omissions of Transitions or its
employees, volunteers,or agents while performing duties as described in this Agreement. Transitions shall
indemnify,defend, and hold harmless Weld County, the Board of County Commissioners of Weld County,
its employees, volunteers, and agents. Transitions shall provide adequate liability and worker's
compensation insurance for all its employees, volunteers, and agents engaged in the performance of the
Agreement upon request, Transitions shall provide Human Services with the acceptable evidence that such
coverage is in effect.
3. No portion of this Contract shall be deemed to constitute a waiver of any immunities the parties or their
officers or employees may possess, nor shall any portion of this Agreement be deemed to have treated a
duty of care with respect to any persons not a party of this Agreement.
4. No portion of this Contract shall be deemed to create an obligation on the part of the County of Weld, State
of Colorado,to expend funds not otherwise appropriated in each succeeding year.
5. If any section,subsections, paragraph, sentence,clause,or phrase of this Contract is for any reason held or
decided to be unconstitutional, such decision shall not affect the validity of the remaining portions. The
parties hereto declare that they would have entered into this Contract and each and every section,
subsection,paragraph, sentence, clause, and phrase thereof irrespective of the fact that any one or more
sections, subsections, paragraphs, sentences,clauses, or phrases might be declared to be unconstitutional or
invalid.
6. No officer, member or employee of Weld County and no member of their governing bodies shall have any
pecuniary interest, direct or indirect, in the approved Agreement or the proceeds thereof.
7. Transitions assures that they will comply with the Title VI of the Civil Rights Act of 1986 and that no
person shall,on the grounds of race, creed,color, sex,or national origin,be excluded from participation in,
be denied the benefits of, or be otherwise subjected to discrimination under this approved Contract.
8. Transitions assures that sufficient, auditable, and otherwise adequate records that will provide accurate,
current, separate,and complete disclosure of the status of the funds received under the Contract are
maintained for three(3)years or the completion and resolution of an audit. Such records shall be sufficient
to allow authorized local, Federal, and State auditors and representatives to audit and monitor Transitions.
9. All such records, documents, communications,and other materials shall be the property of Human Services
and shall be maintained by Transitions, in a central location and custodian, in behalf of Human Services,
for a period of three(3)years from the date of final payment under this Contract,or for such further period
as may be necessary to resolve any matters which may be pending, or until an audit has been completed
with the following qualifications: If an audit by or on behalf of the federal and/or state govemment has
begun but is not completed at the end of the(3)year period,or if audit findings have not been resolved
after a three(3)year period,the materials shall be retained until the resolution of the audit finding.
10. Transitions assures that authorized local,federal and state auditors and representatives shall, during
business hours, have access to inspect any copy records, and shall be allowed to monitor and review
through on-site visits,all contract activities, supported with funds under this Contract to ensure compliance
with the terms of this Agreement. Contracting parties agree that monitoring and evaluation of the

performance of the Agreement shall be conducted by appropriate funding sources. The results of the
monitoring and evaluation activities shall be provided to the appropriate and interested parties.
11. This Contract shall be binding upon the parties hereto, their successors, heirs, legal representatives, and
assigns. Transitions or Human Services may not assign any of its rights or obligations hereunder without
the prior written consent of both parties.
12. Transitions certifies that Federal appropriated funds have not been paid or will be paid,by or on behalf of
Transitions,to any person for influencing or attempting to influence an officer or employee of an agency, a
Member of Congress, an officer or employee of Congress, or an employee of a Member of Congress in
connection with the awarding of any Federal contract,the making of any federal grant,the making of any
federal loan,the entering into of any cooperative agreement, and the extension, continuation, renewal,
amendment,or modification of any Federal contract, loan, grant, or cooperative agreement.
13. Transitions assures that it will fully comply with all other applicable federal and state laws. Transitions
understands that the source of funds to be used under this Contract is: Family Issues Cash Funds.
14. Transitions assures and certifies that it is and it's principals:
a. Are not presently debarred, suspended, proposed for debarment, declared ineligible,or voluntarily
excluded from covered transaction by a federal department of agency.
b. Have not, within a three-year period of preceding this Agreement, been convicted of or had a civil
judgment rendered against them for commission of fraud or a criminal offense in connection with
obtaining, attempting to obtain, or performing a public (federal, state,or local)transaction or
contract under a public transaction; violation of federal or state antitrust statutes or commission of
embezzlement,theft, forgery, bribery, falsification or destruction of records,making false
statements, or receiving stolen property;
c. Are not presently indicted for or otherwise criminally or civilly charged by a government entity
(federal,state, or local)with commission of any of the offenses enumerated in paragraph 11(b)of
this certification;and
d. Have not with a three-year period preceding this Contract,had one or ore public transactions
(federal, state, and local)terminated for cause or default.
15. The Appearance of Conflict of Interest applies to the relationship of a contractor with Human Services
when Transitions also maintains a relationship with a third party and the two relationships are in
opposition. In order to create the appearance of a conflict of interest, it is not necessary for the Transitions
to gain from knowledge of these opposing interests. It is only necessary that the Transitions know that the
two relationships are in opposition. During the term of the Contract, Transitions shall not enter any third
party relationship that gives the appearance of creating a conflict of interest. Upon learning of an existing
appearance of a conflict of interest situation,Transitions shall submit to Human Services, a full disclosure
statement setting forth the details that create the appearance of a conflict of interest. Failure to promptly
submit a disclosure statement required by this paragraph shall constitute grounds for Human Services'
termination, for cause, of its contract with Transitions.
16. Transitions shall protect the confidentiality of all applicant records and other materials that are maintained
in accordance with this Contract. Except for purposes directly connected with the administration of Child
Protection, no information about or obtained from any applicant/recipient in possession of Transitions shall
be disclosed in a form identifiable with the applicant/recipient or a minor's parent or guardian unless in
accordance with Transitions written policies governing access to,duplication and dissemination of,all such
information. Transitions shall advise its employees,agents, and sub-contractors if any,that they are subject
to these confidentiality requirements. Transitions shall provide its employees, agents,and sub-contractors,
if any,with a copy or written explanation of these confidentiality requirements before access to confidential
data is permitted.

17. Proprietary information for the purposes of this contract is information relating to a party's research,
development,trade secrets, business affairs, internal operations and management procedures and those of
its customers, clients or affiliates,but does not include information (1) lawfully obtained from third parties,
(2)that which is in the public domain, or(3)that which is developed independently. Neither party shall
use or disclose directly or indirectly without prior written authorization any proprietary information
concerning the other party obtained as a result of this Contract. Any proprietary information removed from
the State's site by Transitions in the course of providing services under this Contract will be accorded at
least the same precautions as are employed by Transitions for similar information in the course of its own
business.
18. Transitions certifies it will abide by Colorado Revised Statute(C.R.S.)26-6-104, requiring criminal
background record checks for all employees, Transitions,and sub-contractors.
19. Transitions certifies that it shall comply with the provisions of Colorado Revised Statutes(C.R.S.)8-17.5-
101, et seq. Transitions shall not knowingly employ or contract with an illegal alien to perform work under
this Contract or enter into a contract with a sub-contractor that fails to certify to Transitions that the sub-
contractors shall not knowingly employ or contract with an illegal alien to perform work under this
Contract. Transitions represents, warrants, and agrees that it(a)has verified that it does not employ any
illegal aliens,through participation in the Basic Pilot Employment Verification Program administered by
the Social Security Administration and Department of Homeland Security,and(b)otherwise will comply
with the requirements of C.R.S. 8-17.5-102(2)(b). Transitions shall comply with all reasonable requests
made in the course of an investigation under C.R.S. 8-17.5-102 by the Colorado Department of Labor and
Employment. If Transitions fails to comply with any requirement of this provision or C.R.S. 8-17.5-101, et
seq., Human Services may terminate this Contract for breach and Transitions shall be liable for actual and
consequential damages to Human Services.
Except where exempted by federal law and except as provided in C.R.S. 24-76.5-103(3), if Transitions
receives federal or state funds under this Contract,Transitions must confirm that any individual natural
person eighteen(18)years of age or older is lawfully present in the United States pursuant to C.R.S. 24-
76.5-103(4) if such individual applies for public benefits provided under this Contract. If Transitions
operates as a sole proprietor, it hereby swears or affirms under penalty of perjury that it(a) is a citizen of
the United States or is otherwise lawfully present in the United States pursuant to federal law,(b)shall
produce one of the forms of identification required by C.R.S. 24-76.5-101, et seq., and(c)shall produce
one of the forms of identification required by C.R.S. 24-76.5-103 prior to the effective date of this
Contract.
