RE: APPROVE TWO PURCHASE OF SERVICES AGREEMENTS WITH VARIOUS
PROVIDERS AND AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with two Purchase of Services Agreements
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County,on behalf of the Department of Human Services,and the following
providers, commencing October 1, 2008, and ending September 30, 2009, with further terms and
conditions being as stated in said agreements, and
1) Community Mediation Project, Inc., do Craig Conrad
2) United Way of Weld County
WHEREAS,after review,the Board deems it advisable to approve said agreements, copies
of which are attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Purchase of Services Agreements between the County of Weld, State
of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Human Services, and the above listed providers, be, and hereby are, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreements.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 22nd day of December, A.D., 2008, nunc pro tunc October 1, 2008.

PURCHASE OF SERVICES AGREEMENT
THIS AGREEMENT is made and entered into thisday of.Qeeende' 2008, by and
between the Weld County Department of Human Services' recipients of the Healthy Marriages
Demonstration Grant, hereinafter referred to as "DHS", and Craig Conrad on behalf of
Community Mediation Project, Inc., hereinafter referred to as "CMP."
WFINESSETH:
WHEREAS, Building Healthy Marriages, hereinafter referred to as "BUM" supports the
DHS' goal to intervene successfully with families in the least intrusive manner while
maximizing safety before they enter the judicial system; and upon their entry into the child
welfare and juvenile justice systems, to expedite the positive resolution of their treatment or case
plans; and
WHEREAS, BHM supports the DHS' desire to develop balanced systems of care in
Weld County under a community based services integration process, emphasizing family
strengths through interagency and community collaboration; and
WHEREAS, BHM supports the development of balanced systems of care with
evidenced-based and promising practices that are outcome based; and
WHEREAS, under the Personal Responsibility and Work Opportunity Reconciliation
Act, the Temporary Assistance for Needy Families (TANF), which is the Colorado Works
Program, BHM supports the DHS' desire to encourage the formation and maintenance of two-
parent families; and
WHEREAS, BHM is to provide Marriage education, marriage skills, and relationship
skills programs that may include, financial management, conflict resolution, and job and career
advancement for non-married pregnant women and non-married expectant fathers; pre-marital
education and relationship/marriage skills training for engaged couples and for couples or
persons interested in marriage; marriage skills training programs for married couples, and
marriage mentoring programs, which use married couples as role models and mentors in at-risk
communities.
WHEREAS, CMP, as the successful bidder, has the expertise and knowledge to provide a
marriage education program under the Federal Marriage Education Demonstration Grant, and
WHEREAS, CMP will focus on the expectations of marriage related services under the
Federal Marriage Education Demonstration Grant and promote a balanced system of care to
families in Weld County,
WHEREAS, CMP has the expertise and knowledge to develop and organize a county-
wide Healthy Marriage effort,
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein, the parties hereto agree as follows:
1. TERM: The term of this Agreement shall be from October 1, 2008 through
September 30,2009.
2. SERVICES PROVIDED BY COMMUNITY MEDIATION PROJECT; CMP
agrees to assist and directly report to DHS in developing and providing marriage
education programs and services under the DHS' Federal Marriage Education
Demonstration Grant structure for 2008-2009 Project related to:
• Actively participate in the planning and implementation of the Federal
Marriage Education Demonstration Grant project revisions as identified by
the Federal Project Officer and Technical Assistance with representatives of
Human Services and the planning team consisting of Community Mediation
Project, and United Way of Weld County; and meet a minimum of twice
monthly with the Project Manager in addition to the Partners meetings
which will be held at a minimum of once a month; and
• Identifying the best process to support individuals interested in marriage,
non-married expectant couples, engaged couples, and married couples in
which to bring a community saturation type model of service delivery of
marriage education; and
• Providing marriage education services by trained and certified marriage
educators, including Relationship Seminars, , Marriage Enrichment
Weekends, Marriage Booster Sessions, Conflict Resolution Training,
Premarital/Relationship Inventories and Financial Management Workshops;
and
• Maintain service agreement documents that include providing oversight
with consequences and training for the educators, facilitators, and coaches to
ensure compliance with the Federal Guidance to Faith-Based and
Community Organizations on Partnering with the Federal Government and
the Faith-based protocol set by the Weld County Building Healthy Marriage
Program; and
• Articulating the broad values of DHS in the continued development of a
balanced system of care in Weld County under a community based services
integration process that can be implemented within the allowable activities
of the Federal Marriage Education Demonstration Grant Project,
emphasizing relationship skills and strengthening families through
programming that includes interagency and community collaboration; and
• Integrating these definitions, practices, and broad values systematically into
preliminary evaluative criteria to be utilized by the University of Northern
Colorado evaluators of the Federal Marriage Education Demonstration
Grant.

• Reviewing and participating in the ongoing design of the Federal Marriage
Education Demonstration Grant Project with DHS, and United Way of Weld
County with special emphasis on the marriage education and community
saturation component; and
• Reviewing ongoing reports and outcomes of the Federal Marriage Education
Demonstration Grant Project with DHS, and United Way of Weld County
with special emphasis on the marriage education component; and
• Committing 2.75 FTE to the planning, development and delivery of the
BHM per the guidelines of the Federal Marriage Education Demonstration
Grant; and
• Implementing marriage education curriculum with related services that
comply with the Federal Healthy Marriage Demonstration Grant to include
the Federal Guidance to Faith-Based and Community Organizations on
Partnering with the Federal Government and the Faith-based protocol set by
the Weld County Building Healthy Marriage Program to allow 10 couples
to participate in allowable activities listed for AA#3, 150 individuals to
participate in allowable activities listed for AA#4, 200 couples to
participate in allowable activities listed for AA#5, and 70 couples to
participate in allowable activities listed for AA#7. prior to September 30,
2009, including:
• Accessing all marriage education curricula being utilized by BHM to train
marriage educators on updates and revisions.
o The hiring and training the necessary number of instructor(s) needed
to conduct the required number of classes to meet goals who meet
qualifications as required by the project design; and
o Ensuring instructor's knowledge of marriage related information and
trends remains current; and
o The scheduling of marriage education classes that will meet the
scheduling demands of the couples participating in the project; and
o The coordination of support services and related activities to include
Intake Support and Marketing as required by the project design; and
o The reporting of outcomes of classes and participation of couples;
and
• Reviewing the literature and resources that support marriage
education, culturally relevant curriculums and related services to develop a
marriage education component with the retention of marriage education
skills.
• Utilizing tracking forms that assist in the collection of accurate data that are
used in evaluating the success and practices of the Federal Marriage
Education Demonstration Grant with the University of Northern Colorado
by:

o Assist in identifying the expectations (target goals) of the BHM Partners and
anticipated expectations of other contractors under the Federal Marriage
Education Demonstration Grant; and
o Assisting in the development of the evaluation of activities; and
o Assisting in the identification of the necessary data to be provided to
support the evaluation.
• Ensuring that public statements, promotion and marketing in print,
broadcast, and internet is inclusive of the logos and recognition of the DHS'
BHM Logo, United Way of Weld County and Community Mediation
Project.
• Providing written monthly activity reports and other reports as required to
DHS monthly for review.
• Actively participating in the resolution of problems and issues with DHS
during the planning and implementation of the Federal Marriage Education
Demonstration Grant Project; Building Healthy Marriages Program as
identified by DHS and the planning team of Community Mediation Project
and United Way of weld County.
3.COMPENSATION: DHS agrees to pay CMP for professional and educational services
pursuant to this Agreement a sum of$336,220, which includes $ 6,000 for staff mileage
and $ 330,220 for services provided CMP shall submit an itemized monthly bill to in
accordance to the following criteria:
• Itemization of all monthly bills shall be in accordance to the CMP budget
attached to this contract. (Exhibit A)
• Any requests for reimbursement for expenses not included on the CMP
budget must have pre-approval from DHS prior to the expenditure.
• CMP shall submit an itemized monthly bill, according to proper invoices to
the Program Manager, for all costs incurred and services provided pursuant
to this Agreement in accordance with criteria established by DHS. The
exception to this will be billing for Marriage Education Weekends, this may
occur prior to the scheduled event. Monthly invoices should reflect 1/12 of
the costs for Healthy Marriage Education Administration(HMEA) and
actual costs identified with marriage education services, including marriage
seminars, conflict resolution education, relationship inventories, marriage
mentoring seminars, marriage educator certification, marriage enrichment
weekends, marriage boosters and financial management education. CMP
shall submit all itemized monthly billings to DHS no later than the twenty-
fifth (25) day of the month following the month the cost was incurred.
• CMP agrees to comply with Federal administrative requirements, cost
principles outlined in OMB Circular A-87 and other requirements set forth
in Title 45 of the Code of Federal Regulation, "Uniform Administrative
Requirements for Grants and Cooperative State and Local Governments."

• CMP agrees to comply with and upon request from DHS provide accounting
records demonstration compliance (general ledger)to the single audit
requirements set forth in OMB Circular A-133 and the OMB Circular A-133
Compliance Supplement.
• Payments of costs incurred pursuant to this Agreement are expressly
contingent upon the availability of the Colorado Works or Temporary
Assistance for Needy Families (TANF) funds and/or Federal Marriage
Education Demonstration Grant.
• DHS shall not be billed for, and reimbursement shall not be made for time
involved in activities outside of those defined in this Agreement. Work
performed prior to the execution of this Contract shall not be reimbursed or
considered part of this Agreement.
• DHS may withhold any payment if CMP has failed to comply with the
Financial Management Requirements, program objectives, contractual
terms, or reporting requirements. In the event of a forfeiture of
reimbursements, CMP may appeal such circumstance to the DHS Director.
The decision of the DHS Director shall be final.
• All computer equipment will be owned by CMP and will be maintained by
CMP.
• The parties agree that the service rate as contemplated herein shall constitute
the entire amount of compensation due to CMP for any work performed
hereunder.
4. ASSURANCES: CMP shall abide by the following Assurances.
5. TERMINATION: Either party may terminate this Agreement at any time by
providing the other party with a 30-day written notice thereof. Furthermore, this
Agreement may be terminated at any time without notice upon a material breach of
the terms of the Agreement.
6. TIME OF THE ESSENCE: Time is of the essence in each and all of the provisions
of this Agreement.
7. ENTIRE AGREEMENT/MODIFICATIONS: This Agreement including Exhibit A
constitutes the entire understanding between the parties with respect to the promises
and covenants made therein. No modification of the terms of this Agreement shall
be valid unless made in writing and agreed to by both parties.
8. NON-APPROPRIATION: No portion of this Agreement shall be deemed to create
an obligation on the part of DHS to expend funds not otherwise appropriated in
each succeeding year.
9. WAIVER OF IMMUNITIES/THIRD PARTY LIABILITY: No portion of this
Agreement shall be deemed to constitute a waiver of any immunities of DHS or its
officers or employees may possess, nor shall any portion of this Agreement be

deemed to have created a duty of care with respect to any persons other than DHS
and not a party to this Agreement.

WITNESSETH:

welfare and juvenile justice systems, to expedite the positive resolution of their treatment or case plans;
and
WHEREAS, DHS' desire to develop a balanced system of care in Weld County under a
community based services integration process, emphasizing family strengths through interagency and
community collaboration; and
WHEREAS, DHS' desire to develop a system of balanced systems of care with evidenced-
based and promising practices that are outcome based; and
WHEREAS, under the Personal Responsibility and Work Opportunity Reconciliation Act, the
Temporary Assistance for Needy Families (TANF), which is the Colorado Works Program, encourages
the formation and maintenance of two-parent families; and
WHEREAS, DHS' included the Weld County Healthy Marriages Initiative, which will promote
marriage education with related supportive services, and collaborative processes among, United Way
of Weld County, the Community Mediation Project, and DHS; and
WHEREAS, United Way, as the successful bidder for the Weld County Building Healthy
Marriages Project, has the expertise and knowledge to assist DHS and its collaborative partners in its
efforts to bring in participants through a recruitment and marketing campaign, to further define
expectations of a recruitment and marketing campaign that will complement the components of intake,
enrollment, the public marriage education program and is designed to recruit those populations
specified under the Federal Marriage Education Demonstration Grant allowable activity areas; and
WHEREAS, United Way will focus on DHS' expectations of recruitment and marketing under
the Weld County Building Healthy Marriages Project to promote a balanced system of care as
specified in the Federal Marriage Education Demonstration Grant received by DHS.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein,
the parties hereto agree as follows:

1. TERM: The term of this Agreement shall be from October 1, 2008 through
September 30, 2009.
2. SERVICES PROVIDED BY UNITED WAY; United Way agrees to assist and
report directly to DHS in its preparation of recruiting and marketing for the
Building Healthy Marriages project for 2008-2009, related to:
• Actively participate in the planning and implementation of the
Federal Marriage Education Demonstration Grant project revisions as
identified by the Federal Project Officer and Technical Assistance with
representatives of Human Services and Community Mediation Project,
and
• Defining and implementing the substantive content of a public
marketing campaign on the values of healthy relationships and the skills
needed to increase relationship stability and health that will target
individuals interested in marriage, non-married expectant couples,
engaged couples, couples in a committed relationship, and married
couples in which to bring a community saturation type model of service
delivery of marriage education; and
• Assisting in identifying practices that could be incorporated in the
delivery of services for low-income (200% of poverty) married/ or
presenting as married couples with children under the age of 18 (21 if
child is disabled), can demonstrate legal residency status in the United
Sates and in Weld County, or non-married expectant couples that would
sustain their involvement in marriage education; and
• Assisting in integrating these definitions, practices, and broad
values systematically into preliminary evaluative criteria to be utilized by
the University of Northern Colorado, evaluators of the Federal Marriage
Education Demonstration Grant and Building Healthy Marriage Program,
respectively.
A. Reviewing and participating in the ongoing design of the Building Healthy
Marriage Program with DHS and Community Mediation, Inc. with special
emphasis on the recruitment and marketing.
B. Reviewing ongoing reports and outcomes of the initial program designs of the
Building Healthy Marriage Project with DHS and the Community Mediation,
Inc. with special emphasis on recruitment and marketing campaign.

C. Committing appropriate and approved FTE to the planning, development, and
implementation of the Building Healthy Marriage Program.
D. Developing and implementing the component that will include recruitment
and marketing campaign, under the Building Healthy Marriage Program that
will allow targeted number participants in relationship skills education classes
prior to September 30, 2009, including:
o The hiring of appropriate contract staff, who meet qualifications as
required by the project design; and
o The development of a recruitment and marketing strategy that will
incorporate needs of the intake and enrollment; and focus on the
populations specified in the Federal Demonstration Grant for
allowable activity areas 3,4,5, and 7; and
o Assist in the identification of data tracking for recruitment and
emergency services to meet the requirements for the Federal
Demonstration Grant.; and
o Being responsive to the outcomes and trends revealed in the
tracking and evaluation of recruitment and marketing program.
E. Reviewing the literature and resources that suggest specific recruitment
and marketing strategies that will initially and continually enhance
participation in a marriage/relationship education program.
o Assisting in developing the definition of services to be provided
including how these services will be quality-driven, cost-effective,
community- and faith-based, and culturally inclusive; and
o Assisting in the development of the evaluation of activities; and
o Assisting in the identification of the necessary data to be provided
to support the evaluation.
F. Assisting in identifying and tracking outcomes that will be used in
evaluating the success and promising practices of the Building Healthy
Marriages Program. These outcomes will require joint planning with
Human Services, Community Mediation Project and other community
partners.
G. Ensuring that public statements, promotion and marketing in print, and
internet are inclusive of the recognition of Social Services, United Way of

H. Ensuring that public statements, promotion and marketing in print, and
internet is in compliance with the Federal Guidelines to Faith-based and
Community Organization on Partnering with Federal Government and
have been presented to the Program Manager for approval by the Federal
Project Officer assigned to this grant, prior to its public appearance.
Providing monthly activity reports and timelines for recruitment and
marketing activities and other reports as required to DHS.
J. Meet a minimum of twice monthly with the Project Manager in addition to
the Partners meeting which will be at a minimum of once a month; and
K. Actively participating in the resolution of problems and issues during the
implementation of the Building Healthy Marriage Project as identified by
the planning team of Community Mediation Project, Human Services,
University of Northern Colorado and United Way of Weld County.
3. COMPENSATION: DHS agrees to pay United Way for professional and
related services pursuant to this Agreement a sum of$ 273,915, including
$ 272,515 for services and $ 1,400 for staff mileage according to the attached
budget. This budget includes both County and Federal Grant funds.
• Itemization of all monthly bills shall be in accordance to the United Way
budget attached to this contract. (Exhibit A)
• Any requests for reimbursement for expenses not included on the United
Way budget must have pre-approval from DHS prior to the expenditure.
• United Way shall submit an itemized monthly bill, according to proper
invoices to the Program Manager, for all costs incurred and services
provided pursuant to this Agreement in accordance with criteria
established by DHS.
• United Way agrees to comply with Federal administrative requirements,
cost principles outlined in OMB Circular A-87 and other requirements set
forth in Title 45 of the Code of Federal Regulation, "Uniform
Administrative Requirements for Grants and Cooperative State and Local
Governments."
• United Way agrees to comply with and upon request from DHS provide
accounting records demonstration compliance (general ledger) to the
single audit requirements set forth in OMB Circular A-133 and the OMB
Circular A-133 Compliance Supplement.

• Payments of costs incurred pursuant to this Agreement are expressly
contingent upon the availability of the Colorado Works or Temporary
Assistance for Needy Families (TANF) funds and/or Federal Marriage
Education Demonstration Grant.
• DHS shall not be billed for, and reimbursement shall not be made for time
involved in activities outside of those defined in this Agreement.
• DHS may withhold any payment if United Way has failed to comply with
the Financial Management Requirements, program objectives, contractual
terms, or reporting requirements. In the event of a forfeiture of
reimbursements, United Way may appeal such circumstance to the
Director of DHS. The decision of the Director of DHS shall be final.
• All equipment purchased will be owned by United Way and will be
maintained by United Way.
4. ASSURANCES: United Way shall abide by the Assurances, as attached as
Exhibit A.
5. TERMINATION: Either party may terminate this Agreement at any time by
providing the other party with a 30-day written notice thereof. Furthermore, this
Agreement may be terminated at any time without notice upon a material breach
of the terms of the Agreement.
6. TIME OF THE ESSENCE: Time is of the essence in each and all of the
provisions of this Agreement.
7. ENTIRE AGREEMENT/MODIFICATIONS: This Agreement including Exhibit
A constitutes the entire understanding between the parties with respect to the
promises and covenants made therein. No modification of the terms of this
Agreement shall be valid unless made in writing and agreed to by both parties.
8. NON-APPROPRIATION: No portion of this Agreement shall be deemed to
create an obligation on the part of DHS to expend funds not otherwise
appropriated in each succeeding year.
9. WAIVER OF IMMUNITIES/THIRD PARTY LIABILITY: No portion of this
Agreement shall be deemed to constitute a waiver of any immunities of DHS or
its officers or employees may possess, nor shall any portion of this Agreement be
deemed to have created a duty of care with respect to any persons other than DHS
and not a party to this Agreement.
