RE: APPROVE INTERGOVERNMENTAL AGREEMENT FOR "0" STREET (COUNTY
ROAD 64) ALIGNMENT STUDY AND AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Intergovernmental Agreement for the
"O" Street (County Road 64) Alignment Study among the County of Weld, State of Colorado, by
and through the Board of County Commissioners of Weld County, on behalf of the Department of
Public Works,the City of Greeley,and the Town of Windsor, commencing upon full execution,with
further terms and conditions being as stated in said agreement, and
WHEREAS,after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Intergovernmental Agreement for the "O" Street (County Road 64)
Alignment Study among the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Department of Public Works, the City of
Greeley, and the Town of Windsor be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 16th day of April, A.D., 2008.

RESOLUTION OF THE GREELEY CITY COUNCIL AUTHORIZING THE MAYOR TO
ENTER INTO AN INTERGOVERNMENTAL AGREEMENT WITH THE TOWN OF
WINDSOR AND WELD COUNTY FOR THE STUDY OF THE"O"STREET ALIGNMENT
BETWEEN WELD COUNTY ROADS 23 AND 27
WHEREAS,the City of Greeley,the Town of Windsor and Weld County share a common
interest in the development of an appropriate alignment of"0" Street as it extends through the
jurisdiction of each entity, and
WHEREAS,it has been determined that the most effective and efficient way to achieve this
objective is through the cooperative analysis of road alignment alternatives; and
WHEREAS, each jurisdiction has committed to share equally in the cost of the study and
provide in kind assistance and support for its successful development; and
WHEREAS,the study as described in the Intergovernmental Agreement,attached hereto as
Exhibit A,describes an agreed upon work program and manner in which to advise and include area
land owners and the general public in the evaluation of various road alignment alternatives.
NOW, THEREFORE, BE IT RESOLVED THAT THE GREELEY CITY COUNCIL
AUTHORIZE THE MAYOR TO ENTER INTO THE ATTACHED
INTERGOVERNMENTAL AGREEMENT WITH THE TOWN OF WINDSOR AND WELD

INTERGOVERNMENTAL AGREEMENT FOR
"O" STREET (WCR 64) ALIGNMENT STUDY
to
THIS INTERGOVERNMENTAL AGREEMENT is made and entered into this 11, day
of /4fvJJ , , by and between the three jurisdictions ("PARTIES") listed below:
1. City of Greeley, State of Colorado, by and through the City Council of Greeley,
Colorado, hereinafter referred to as "GREELEY" with offices located at 1000
10th Street, Greeley, Colorado 80631.
2. Town of Windsor, State of Colorado by and through the Town Board of
Windsor,_Colorado, hereinafter referred to as "WINDSOR," with offices located
at 301 Walnut Street, Windsor, Colorado 80550.
3. County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, Colorado, hereinafter referred to as
"COUNTY," with offices located at 915 10th Street, Greeley, Colorado 80631.
WITNESSETH:
WHEREAS, GREELEY, WINDSOR, and COUNTY each have interests with extending Weld
County Road (WCR) 64 also known as "O" Street, between WCR 23 and WCR 27 as shown in Exhibit
"A", attached hereto and incorporated herein by reference, and
WHEREAS, the three parties wish to participate in an alignment study defined in the Scope of
Work, Exhibit "B", attached hereto and incorporated herein by reference, and share the costs of such
study, hereafter referred to as the "PROJECT"; and
WHEREAS, the three parties hereto desire to enter into this Agreement for the purpose of
defining their respective roles and responsibilities regarding the completion of this PROJECT, and
WHEREAS, the three parties are authorized to enter into this Agreement by C.R.S. §29-1-
203 and Colorado Constitution Article XIV, §18(2) (1) for the purpose of achieving greater
efficiencies for the provision of services to the public.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein,
the adequacy of which is acknowledged by and between the parties, the parties agree as follows:
1. TERM: The term of this Agreement shall be from the date first written above to and until
such time as the PROJECT described herein is completed.
2. DESCRIPTION OF PROJECT/SCOPE OF WORK/PAYMENT:
A. GREELEY initiated an informal study that examined options to extend "O" Street
from State Highway 257 to where it currently dead ends at WCR 27 (83d Ave.).
Although the study was not completed, it identified three (3) possible corridor
options that exist and will be used as a basis for this study.

B. WINDSOR has identified an alignment corridor from SH 257 to WCR 23 that has
been adopted in its Comprehensive Plan.
C. This study will match WINDSOR'S alignment at WCR 23 and continue east to
WCR 27 (83rd Ave.). Alternative alignments will be studied within this corridor area
and one route shall be selected by the parties as the preferred "O" Street alignment
within this corridor in order to secure the needed right-of-way to accommodate
future development of the area.
D. The Scope of Work, Exhibit B attached hereto, shall govern the procedures for the
Project.
E. The total estimated cost of the PROJECT is $48,000 which shall be split equally
among the parties. Each Party shall pay one-third of the total cost, up to a
maximum of Sixteen Thousand Dollars ($16,000.00). The Parties respective
financial obligations shall not exceed that amount unless this Agreement is first
amended in writing.
3. STUDY PREPARATION: COUNTY agrees to be the lead agency with regard to
contracting with its on-call consultant to provide the project design and management
necessary for the PROJECT. All Parties shall review/comment on the study before it is
concluded. The consultant responsible for the PROJECT is Felsburg, Holt and Ullevig
(FHU). Project administration utilizing COUNTY staff necessary to manage the PROJECT
will not be charged to the project.
4. REIMBURSEMENT OF PROJECT COSTS: GREELEY and WINDSOR each agree to
reimburse and pay COUNTY the costs associated with this PROJECT according to the
terms of paragraph 2.E of this agreement. COUNTY agrees to invoice GREELEY and
WINDSOR, providing copies of all invoices and supporting documentation associated with
the PROJECT. GREELEY and WINDSOR agree to pay their respective reimbursement
portions to WELD COUNTY within 30 days of receipt of each invoice. COUNTY will
provide GREELEY and WINDSOR each with a final copy of the Study.
5. ENTIRE AGREEMENT: This writing, together with the exhibits hereto, constitutes the
entire Agreement between and among the parties hereto with respect to the subject matter
herein, and shall be binding upon said parties, their officers, employees,'agents, and assigns
and shall inure to the benefit of the respective survivors, heirs, personal representatives,
successors and assigns of said parties.
6. NO WARRANTY: By virtue of its entering into this Intergovernmental Agreement and
upon its promises to perform the work described herein, COUNTY makes no warranties,
either express or implied, that the study agreed to herein meet or will meet standards other
than those generally required for counties and cities of the size and type similar to the
parties herein.

7. SEVERABILITY: If any term or condition of this Intergovernmental Agreement shall be
held to be invalid, illegal, or unenforceable, this Intergovernmental Agreement shall be
construed and enforced without such provision to the extent that this Intergovernmental
Agreement is then capable of execution within the original intent of the parties hereto.
8. NO THIRD PARTY BENEFICIARY ENFORCEMENT: It is expressly understood and
agreed that the enforcement of the terms and conditions of this Intergovernmental
Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to
the undersigned parties and nothing in this Intergovernmental Agreement shall give or
allow any claim or right of action whatsoever by any other person not included in this
Intergovernmental Agreement. It is the express intention of the undersigned parties that
any entity other than the undersigned parties receiving services or benefits under this
Intergovernmental Agreement shall be an incidental beneficiary only.
9. MODIFICATION AND BREACH: This Intergovernmental Agreement contains the entire
Intergovernmental Agreement and understanding between the parties to this
Intergovernmental Agreement and supersedes any other Intergovernmental Agreements
concerning the subject matter of this transaction, whether oral or written. No modification,
amendment, notation, renewal, or other alteration of or to this Intergovernmental
Agreement shall be deemed valid or of any force or effect whatsoever, unless mutually
agreed upon in writing by the undersigned parties. No breach of any term, provision, or
clause of this Intergovernmental Agreement shall be deemed waived or excused, unless
such waiver or consent shall be in writing and signed by the party claimed to have waived
or consented. Any consent by any party hereto, or waiver of, a breach by any other party,
whether express or implied, shall not constitute a consent to, waiver of, or excuse for any
other different or subsequent breach.
10. NOTICES: All notices required herein shall be mailed via First Class Mail to the parties
representatives at the addresses set forth below:

Scope of Work
Project Description
In order to provide regional east/west connectivity on the north side of Greeley, "O" Street
needs to be extended from 83'' Avenue to the west to at least State Highway 257. The Town of
Windsor has developed a preferred alignment for "O" Street between State Highway 257 and
County Road 23. This study will define the preferred alignment for "O" Street between County
Road 23 and 83`d Avenue which will give transportation engineers and planners the tools they
need to help preserve the rights-of-way required for future development.
Through its existing on call services contract with Weld County, the consulting firm of Felsburg,
Holt and Ullevig (FHU) will coordinate the work with representatives from the following area
jurisdictions that currently have invested interests in this area: Weld County, City of Greeley
and the Town of Windsor. Weld County will be the lead agency on the project.
Task 1 - Data Collection
Purpose
The information gathered and compiled in this task will serve as the basis for creating and
evaluating alternative alignments. The intent is to utilize available information to the maximum
extent possible and to conduct new data collection only as necessary.
Subtask 1.1
FHU will assemble pertinent data and information in order to have a thorough understanding of
current and projected conditions for the "O" Street alignment. All available land use plans,
transportation plans, and specific development plans will be compiled and reviewed. Other
collected data will include aerial photography, future traffic projections, right-of-way and parcel
ownership information, access and intersecting roads inventory, environmental considerations,
roadway geometrics, utility information, drainage and flood studies and USGS topographic
information. All of this information will be summarized in both graphic and tabular forms to
produce a comprehensive representation of the physical characteristics of the study area.
Subtask 1.2
In this task, all of the information compiled in Subtask 2.1 will be reviewed and interpreted in
order to identify opportunities and constraints related to potential alternative alignments.
Task 2 - Identify Range of Alternatives
Purpose
The purpose of this task is to identify alternative alignments for "O" Street. This work will draw to
a large degree on the data, opportunities and constraints compiled in Task 2.
Subtask 2.1
In this first step, key crossing/intersecting features will be identified. These will include such
features as current land improvements, alignment restrictions or obstacles, and major
drainageways. Based on criteria such as topographic conditions, physical characteristics,
intersection spacing, geometric conditions, and drainageway widths, possible points at which
these features could be reasonably crossed or intersected will be established.
Subtask 2.2
Alignment alternatives will be developed for "O" Street. Constraints that may prohibit the
developed alternatives from being further investigated will be identified as early as possible in
order to minimize inefficiencies.
Task 3 - Evaluation of Alternatives
Purpose
The purpose of this task is to establish evaluation measures and to apply those measures to
each developed alternative to identify the preferred alignment.
Subtask 3.1
Using a Rural Major Arterial cross-section with roadside ditches, the various alternatives will be
assessed through an evaluation process to determine the advantages and disadvantages of the
developed alternatives. A two-lane interim cross-section shall also be shown. It is envisioned
that the evaluation parameters will include but not be limited to the following:
• Horizontal and Vertical Geometry
• Community Impacts
• Vehicle speed and volume
• Land Use Consequences
• Traffic Operations
• Environmental Impacts
• Right-of-Way Impacts
• Safety
• Floodplain Impacts
• Constructability
• Cost and Economic Feasibility
Subtask 3.2
Information on each alternative will be compiled into an evaluation matrix. A comparative review
of the data will be conducted independently by each member of the project team to identify a
preferred alternative alignment for "O" Street.
Task 4 - Refinement and Documentation of Recommended Alignments
Purpose
In this task, FHU will refine the recommended alignment for "0" Street. This information will be
documented in a draft written report.
Subtask 4.1
The selected alignment will be refined to reflect any review comments received through the
public input review process. Such refinements are not expected to be significant, but they
should reflect the best knowledge about the alignment.
Subtask 4.2
The findings of the study will be documented in a final draft report which will be distributed with
5 bound copies and one electronic version to the partner agencies for review. The report will
include data collected, analyses conducted, findings of the analyses, and the recommendations
of the study process. After review of the draft report, FHU will prepare and deliver 5 copies and
electronic version of the final report.
Task 5 - Project Coordination
Purpose
In order to reach a corridor consensus regarding the alignments, it will be critical that the work
be closely coordinated between the project team, local agency representatives, elected officials
and affected property owners/developers. This task will include a series of meetings to achieve
close and continuous coordination.
Subtask 5.1
At least monthly coordination meetings with local agency representatives will be utilized to
review and coordinate the work efforts and to resolve problems as they arise. It is anticipated
that there will be three monthly coordination meetings conducted for this project. Three
progress meetings with Weld County staff are anticipated in addition to the monthly team
coordination meetings.
Subtask 5.2
The study process will be divided into an initial phase and final phase. Two local agency
meetings and public open houses will be conducted. The purpose of these meetings will be as
follows:
Initial Phase
First Local Agency Meeting — The purpose of this meeting is to gather and review available
information and gain any input that may be pertinent to the study corridor.
The following local study partners will be included in the study process:
• Weld County
• City of Greeley
• Town of Windsor
Second Local Agency Meeting — Present the different alignments within the study corridor
and receive input on the alignments before they are presented to the public. There will be
the opportunity at this meeting to add or delete alignments as necessary.
First Public Open House — Present all of the different alignments within the study corridor in
order to get public input.
Notifying all parcel owners within the study corridor will be a major element of the first public
open house. This notification will be made to all of the parcel owners as defined from the
County's Assessor's maps, and by advertising the open house in the local paper (The
Greeley Tribune).
Final Phase
Final Public Open House — Present final screening of alignments and receive input on the
"initial preferred alignments".
Third and Final Local Agency Meeting — This meeting will be conducted to present the final
recommended alignments as they will be defined in a report.
One-on-one discussions with interested parties and meetings with small groups have been the
key to resolving issues and to developing consensus toward the best possible alternative. The
project team will, therefore, maintain an "open door" policy for all elected officials, local entity
staffs, property owners, and developers to be able to contact FHU at any time during the
process. It is anticipated that there will be at least 3 one-on-one meetings for this project.
Optional Services
In addition to the basic scope of services as outlined in this proposal, one area of potential
scope modification involving environmental assessment could exist. If an abundance of
environmental concerns are discovered with the project especially surrounding the Cache la
Poudre, FHU has the staff to assist with noise concerns, historical societies, endangered
species, wetlands, and many other environment related issues. All parties shall agree to the
need to perform any optional services prior to FHU staff working on any environmental issues
described above.
