OF CUSTOM SITE LICENSE & SERVICES CONTRACT
The purpose of this Document is to provide a Notice of
Termination to VisionLink, Inc. , a Colorado corporation, with principal
offices at 3050 Broadway, Suite 201, Boulder, Colorado 80304,
(VisionLink) , by the Board of County Commissioners of Weld County,
Colorado, on behalf of the Weld County Department of Social Servicses,
a Colorado government agency (Board) .
WHEREAS, on October 1, 2007, the Board entered into a Custom Site
License and Services Contract (Contract) , with VisionLink, and
WHEREAS, some of the terms of said agreement have been fulfilled
by the parties, and
WHEREAS, the remaining terms of the Contract cannot be fulfilled,
and
WHEREAS, paragraph 2 of the Terms and Conditions of the Contract
provides that either party may terminate the Agreement upon thirty (30)
days written notice, and
WHEREAS, the Board desires to terminate the Contract with
VisionLink effective June 30, 2008, and this notice is being provided
to VisionLink more than thirty (30) days in advance of the proposed
date of termination.
NOW THEREFORE, the Contract with VisionLink shall be terminated
effective June 30, 2008, and after that date, Board shall not be
obligated to pay for services and/or products provided by Vision Link,
and VisionLink shall no longer provide products and/or services to the
Board pursuant to the Custom Site License and Services Contract
referred to above.
