ASSIGNMENT OF OIL AND GAS LEASES
KNOW ALL MEN BY THESE PRESENTS, THAT
LONETREE ENERGY & ASSOCIATES, LLC, 141 Union Boulevard, Suite 260,
Lakewood, CO 80228, hereinafter called Assignor, for and in consideration of the sum of Ten
Dollars ($10.00) and other valuable consideration, the receipt of which is hereby acknowledged,
does hereby assign, transfer, grant and convey unto Petroleum Development Corporation, whose
address is 1775 Sherman Street, Suite 3000, Denver CO 80203, hereinafter referred to as
"Assignee", one hundred percent (100%) of Assignors right, title and interest in and to the Oil
and Gas Lease recorded under Reception No. 3540893 in Weld County, Colorado, covering the
following lands:
TOWNSHIP 3 NORTH, RANGE 63 WEST, 6`" P.M.
Section 10: E/2NE/4
and containing 80.00 acres, more or less, together with the rights incident thereto or obtained in
connection therewith.
For the same consideration, the Assignor covenants with the Assignee(s), its heirs,
successors, legal representatives and assigns that the Assignor is the lawful owner of and has
good title to the interest herein assigned in and to said Leases, estate, rights and property, free
and clear from any liens, encumbrances or adverse claims created by Assignor and has good
right and authority to sell and convey the same, that said leases are valid and subsisting leases on
the lands therein-described, and that all rentals and royalties due thereunder have been paid, and
all conditions necessary to keep said leases in full force and effect have been duly performed.
