OF SOFTWARE LICENSE, DELIVERY AND SERVICE AGREEMENT
The purpose of this Document is to provide a Notice of
Termination to Genesis Microsystems, Inc. , a Connecticut corporation,
with principal offices at 100 Pearl Street, Hartford, Connecticut
06103, (Genesis) , by the Board of County Commissioners of Weld County,
Colorado, on behalf of the Weld County Health Department, a Colorado
government agency (Board) .
WHEREAS, on May 14, 2003, the Board entered into a Software
License, Delivery and Service Agreement (Agreement) , with Genesis, and
WHEREAS, all of the terms of said agreement have been fulfilled
by both parties, and
WHEREAS, paragraph 17 of the Agreement provides that either party
may terminate the Agreement without cause upon sixty (60) days notice,
and
WHEREAS, the Board desires to terminate the ongoing maintenance
contract with Genesis effective August 31, 2008, and this notice is
being provided to Genesis more than sixty (60) days in advance, and
NOW THEREFORE, the ongoing maintenance agreement with
Genesis shall be terminated effective August 31, 2008, and after that
date, Board shall no longer be obligated to pay for services and/or
products provided by Genesis, and Genesis shall no longer provide
products and/or services to the Board pursuant to the Software License,
Delivery and Service Agreement referred to above.
