The Site Plan Review Map shall be prepared in accordance with Section 23-2-160.V of the Weld County Code. The applicant shall submit a paper copy of the plat for preliminary approval to the Weld County Department of Planning Services. Upon approval of the paper copy the applicant shall submit a Mylar plat along with all other documentation required as Conditions of Approval. The Mylar plat shall be recorded in the office of the Weld County Clerk and Recorder by Department of Planning Services' staff within 30 days of the approval and with payment of eleven ($11.00) dollars per sheet. (Department of Planning Services) 2. Prior to recording the Site Plan Review plat, the applicant shall address the following to the Department of Planning Services' satisfaction: A. The applicant shall submit a waste handling plan, for approval, to the Environmental Health Services Division of the Weld County Department of Public Health and Environment. Evidence of approval shall be submitted to the Department of Planning Services. The plan shall include at a minimum, the following: 1. A list of wastes which are expected to be generated on site (this should include expected volumes and types of waste generated). 2. A list of the type and volume of chemicals expected to be stored on site. 3. The waste handler and facility where the waste will be disposed (including the facility name, address, and phone number). (Department of Public Health and Environment) -Er- The applicant shall provide the Department of Planning Services with a completed property maintenance plan in accordance with Section 23-2-250.B.7 of the Weld County Code. The current maintenance plan is partial missing. The applicant shall submit evidence to the Department of Planning Services that all conditions and requirements as indicated in the Department of Public Works letter dated February 25, 2008 have been met. The applicant shall enter into an Improvements Agreement according to policy regarding collateral for improvements and post adequate collateral for parking and landscaping requirements. The agreement and form of collateral shall be reviewed by County Staff and accepted by the Board of County Commissioners prior to recording the plat. Or the applicant may submit evidence that all the work has been completed and approved by the Department of Planning Services and the Department of Public Works. (Department of Planning Services) J. The plat shall be amended to delineate the following: 1. The Site Plan Review Plat shall be prepared in accordance with Section 23-2-160.V of the Weld County Code. (Department of Planning Services) The proposed thirty eight (38) parking spaces including three (3) spaces • designed to meet the Americans with Disabilities Act are adequate to address the proposed use of the property. (Department of Planning Services) / This site will be required to have an accessible path from the building to the public right-of-way. Further, the ramps from the parking area shall identify a landing area for non-ambulatory users of this facility. The applicant shall delineate the location of all curb stops in the parking areas per Section 23-4-30.D of the Weld County Code. (Department of Planning Services) 3 The applicant shall adhere to the lighting requirements for off-street parking spaces per Section 23-4-30.E of the Weld County Code. The applicant may desire to place building lighting on the north and east sides of the structures. (Department of Planning Services) 7. The applicant shall adhere to the lighting standards, in accordance with Section 23-2-250 and Section 23-3-250.B.6 of the Weld County Code. (Department of Planning Services) 8. The detail of the dumpster enclosure shall be added to the plat. (Department of Planning Services) 9. Additional landscaping is required along the east and north portions of the lot. (Department of Planning Services) 10. The proposed sign shall be located outside the setback area. (Department of Planning Services) The following notes shall be placed on the plat: 1. In accordance with the Weld County Code, no land, building or structure shall be changed in use or type of occupancy, developed, erected, constructed, reconstructed, moved or structurally altered or operated in the Commercial/Industrial Zone District until a Site Plan Review has been approved by the Department of Planning Services. (Department of Planning Services) 2. The application does not propose any portion of the site to be leased to another party. In the event that a portion of the building or lot is proposed to be leased to another party in the future, the applicant shall submit a copy of the lease agreement and information regarding the proposed use of the leased portion to the Weld County Attorney's office, Weld County Building Inspection Department, Mountain View Fire Protection District, ATF and the Department of Planning Services for review. Based upon the proposed use and/or impacts of the leased portion, the Department of Planning Services may require a new Site Plan Review application and/or a Final Plat Resubdivision. All liquid and solid wastes (as defined in the Solid Wastes Disposal Sites and Facilities Act, 30-20-100, C.R.S., as amended), shall be stored and removed for final disposal in a manner that protects against surface and groundwater contamination. (Department of Public Health and Environment) 4. No permanent disposal of wastes shall be permitted at this site. This is not meant to include those wastes specifically excluded from the definition of a solid waste in the Solid wastes Disposal Sites and Facilities Act, 30-20-100.5,C.R.S., as amended. Waste materials shall be handled, stored and disposed of in a manner that controls fugitive dust, blowing debris and other potential nuisance conditions. The facility shall adhere to the maximum permissible noise levels allowed in the Light Industrial Zone District, as delineated in 25-12-103, Colorado Revised Statutes. (Department of Public Health and Environment) 7. Fugitive dust and fugitive particulate emissions shall be controlled on this site. (Department of Public Health and Environment) 8. The applicant shall operate in accordance with the approved "waste d ". (Dart of Public Health and Environment) 9. Adequatehanlingplan toilet facilitiesepment(portable toilets) shall be provided during the construction of the facility. (Department of Public Health and Environment) 10. Bottled water shall be utilized for drinking and hand washing during construction of the facility. (Department of Public Health and Environment) 11. All potentially hazardous chemicals must be stored an handled in a safe manner in accordance with product labeling and in a manner that minimizes the release of hazardous air pollutants (HAP's) and volatile organic compounds (VOC's). If applicable, the applicant shall obtain a stormwater discharge permit from the Colorado Department of Public Health and Environment, Water Quality Control Division. (Department of Public Health and Environment) 16. The operation shall comply with all applicable rules and regulations of the State and Federal agencies and the Weld County Code. (Department of Public Health and Environment) 17. No staging or parking of vehicles on Stagecoach Road will be allowed. On-site parking shall be utilized at all times. The historic stormwater flow patterns and run-off amounts will be maintained on site in such a manner that it will reasonably preserve the natural character of the area and prevent property damage of the type generally attributed to run-off rate and velocity increases, diversions, concentration and/or unplanned ponding of storm run-off. (Department of Public Works) 19. Landscaping materials as indicated in the approved landscape plan shall be maintained at all times. Dead or diseased plant materials shall be replaced with materials of similar quantity and quality at the earliest possible time. (Department of Planning Services) 20. All structures, including signs, on site must obtain the appropriate building permits. (Departments of Planning Services and Building Inspection) 21. Effective January 1, 2003, Building Permits issued on the lot will be required to adhere to the fee structure of the Weld County Road Impact Program. Effective August 1, 2005, Building permits issued on the subject site will be required to adhere to the fee structure of the Capital Expansion Impact Fee and the Stormwater/Drainage Impact Fee. (Ordinance 2005-8 Section 5-8-40) (Department of Planning Services) 23. Buildings shall conform to the requirements of the various codes adopted at the time of permit application. Currently the following has been adopted by Weld County: 2003 International Building Code; 2003 International Mechanical Code; 2003 International Plumbing Code; 2003 International Fuel Gas Code; and the 2002 National Electrical Code and Chapter 29 of the Weld County Code. Upon approval by the Department of Planning Services, the Site Plan Review shall be prepared per Section 23-2-260.D of the Weld County Code and submitted to the Department of Planning Services to be recorded. (Department of Planning Services) 4. One month prior to construction activities: A. The applicant shall submit evidence of a Colorado Discharge Permit System or CDPS permit from the Colorado Department of Public Health and Environment (CDPH&E), Water Quality Control Division, to cover stormwater discharges from construction sites (4 CCR-1002-61). Alternately, the applicant can provide evidence from CDPH&E that they are not subject to the CDPS requirements (new rule effective 3/2/2001). (Department of Public Health and Environment) 5. Prior to the release of building permits: A. A Final Site Plan and building construction plans must be submitted to the Mountain View Fire Protection District for review and approval. The applicant shall submit written evidence of approval to the Department of Building Inspection. (Mountain View Fire Protection District) 6 B. A plan review is required for each building for which a building permit is required. Plans shall include a floor plan. Plans shall bear the wet stamp of a Colorado registered architect or engineer. Two complete sets of plans are required when applying for each permit. Provide a Code Analysis Data sheet provided by the Weld County Building Department with each Building permit application. (Building Department) C. Each building will require an engineered foundation based on a site-specific geotechnical report or an open hole inspection performed by a Colorado registered engineer. Engineered foundations shall be designed by a Colorado registered engineer. (Building Department) D. Building height shall be measured in accordance with the 2003 International Building Code for the purpose of determining the maximum building size and height for various uses and types of construction and to determine compliance with the Bulk Requirements from Chapter 26 and Chapter 23 of the Weld County Code. Building height shall be measured in accordance with Chapter 23 of the Weld County Code in order to determine compliance with offset and setback requirements. A final inspection of the occupancy will be required by a member of the Mountain View Fire Protection District. Waste Connections of Colorado is the dominant service provider in the area, we will most likely contract with them as we have worked with them in the past. Our used cardboard target backers will be recycled with other cardboard items through this general service provider. Several companies in the precious metal recycling business have been contacted and have offered to purchase the lead and brass that will be acquired from range use. We have attached a copy of the letter from Joe Carpender of All Recycling and Jon Cymes of Rocky Mountain Recycling, we anticipate that we will work with one of these companies for this recycling process. Anticipated quantities of on site generated recyclable materials are as follows: 1,000-2,000 pounds of lead per month 500-700 pounds of brass per month Lead is collected through the trap system that will be installed in every range. The lead bullets that are fired through the range will all be collected into an Savage Range Bullet Trap System. These systems are specifically designed to capture 100% of the lead projectile. The bullet is funneled through a deceleration chamber and is deposited into a barrel that can be easily changed out once it is at its designated weight or volume. These barrels will be stored covered and indoors(collection area)until they are taken to/by the approved recycling company. Brass is collected from the spent casings of the ammunition used by our patrons in the range. Typically the spent casings are on the floor in the shooting area of the range and are swept up regularly and deposited in designated barrels also located in the shooting area. Once the appropriate volume is reached in the designated barrel, the barrels will be transferred to the collection area awaiting recycling collection. Chemicals will not be stored or used on-site other than general cleaning supplies which would be similar to that stored by other typical retail and service businesses. Anticipated quantities of ammunition: fifty (50) cases of ammunition in various calibers. This amount may change based upon demand once the facility is open for business. Contact with the B.A.T.F.E has been made and we received an email response from Daisy Correa, Customer Service Specialist with the U.S.D.O.J./B.A.T.F.E. (copy attached). The A.T.F. has no regulations concerning indoor or outdoor gun ranges—only the sale of firearms will apply to us. We have received our application for a Federal Firearms License, but have to have the building permit issued in order to submit that application to them. Membership to the club is contingent upon reading and agreeing in writing to abide by the safety rules, which are clearly posted. Affordable introductory courses are available for novice shooters,as well as additional courses for intermediate and advanced shooters. Any member, guest, or student who engages in unsafe practices may immediately forfeit membership in the club, along with all shooting privileges. Guns at the shooting positions must be positioned with muzzles facing the backstops. Shooters may reload magazines at the tables behind the shooting positions; all unboxed and unholstered firearms, however, must remain on the individual shooting positions with muzzles pointing downrange. 9. Members are expected to sweep up their fired cartridge cases before leaving the range, since they constitute a hazard underfoot. Containers are provided for brass recycling; alternatively, members may simply sweep empty cartridge cases forward from the shooting line. Shooters whose cartridge cases fall behind the shooting line may take them home for reloading. Cartridge cases that fall in front of the firing line may not be retrieved, but become the property of Trigger Time Gun Club, and are recycled. 10. Targets must be taped to cardboard backing sheets provided by Trigger Time Gun Club. Small targets must be positioned with their centers at the member's shoulder height to prevent damage to the baffles and floor. It is the shooter's responsibility to ensure that all rounds land in the steel bullet trap. 11. Only one door to the sally-port (the small rectangular room between the retail area and the range) may be opened at a time, since gunfire is injurious to human hearing. 12. All ammunition used in Trigger Time Gun Club rental firearms must be purchased from the club. 13. Rental firearms are reserved for the exclusive use of Trigger Time Gun Club members and their guests, as well as students enrolled in Trigger Time Gun Club training classes. Damage to rental firearms or associated accessories such as laser sights is the responsibility of the member. 14. Member and guest use of the range may be limited to one hour and one lane for handgun and two hours for rifle during peak use periods. ATF does not register conventional firearms or issue permits for ordinary long guns or handguns. With respect to the GCA, ATF jurisdiction would pertain to the acquisition or sale of any firearms involved in this business. If sales or similar transfers of firearms will be involved, you must obtain an application for a Federal firearms license (FFL). I will mail you an application package. (1) The general assembly hereby finds, determines, and declares that the imposition of inconsistent, outdated, and unnecessary noise restrictions on qualifying sport shooting ranges that meet specific, designated qualifications work to the detriment of the public health, welfare, and morale as well as to the detriment of the economic well-being of the state. The general assembly further finds, determines, and declares that a need exists for statewide uniformity with respect to exempting qualifying shooting ranges from the enforcement of laws, ordinances, rules, and orders regulating noise. As the gain associated with having a uniform statewide exemption for qualifying sport shooting ranges outweighs any gains associated with enforcing noise regulations against such ranges, the general assembly further declares that the provisions of this section, as enacted, are a matter of statewide concern and preempt any provisions of any law, ordinance, rule, or order to the contrary. (2) As used in this section, unless the context otherwise requires: (a) "Local government" means any county, city, city and county, town, or any governmental entity, board, council, or committee operating under the authority of any county, city, city and county, or town. (b) "Local government official" means any elected, appointed, or employed individual or group of individuals acting on behalf of or exercising the authority of any local government. (c) "Person" means an individual, proprietorship, partnership, corporation, club, or other legal entity. (d) "Qualifying sport shooting range" or "qualifying range" means any public or private establishment, whether operating for profit or not for profit, that operates an area for the discharge or other use of firearms or other equipment for silhouette, skeet, trap, black powder, target, self-defense, recreational or competitive shooting, or professional training. (3) Notwithstanding any other law or municipal or county ordinance, rule, or order regulating noise to the contrary: (a) A local governmental official may not commence a civil action nor seek a criminal penalty against a qualifying sport shooting range or its owners or operators on the grounds of noise emanating from such range that results from the normal operation or use of the qualifying shooting range except upon a written complaint from a resident of the jurisdiction in which the range is located. The complaint shall state the name and address of the complainant, how long the complainant has resided at the address indicated, the times and dates on which the alleged excessive noise occurred, and such other information as the local government may require. The local government shall not proceed to seek a criminal penalty or pursue a civil action against a qualifying sport shooting range on the basis of such a noise complaint if the complainant established residence within the jurisdiction after January 1, 1985. Weld County Road Classification Plan (FHU): (June 2002) ❑ Stagecoach Road is an arterial road, which requires a 140-foot right-of-way at full build out. There is presently a 60-foot right-of-way. This road is maintained by Weld County. Pursuant to the definition of SETBACK in the Weld County Zoning(23-1-90), the required setback is measured from the future right-of-way line. COMMENTS: Access: The access is from Stage Coach Road. The internal roads are county maintained in the Western Dairymen subdivision. REQUIREMENTS: MUD: The Western Dairymen Subdivision is located within the MUD. All MUD standards should be applied towards the Site Plan Review. Access: The applicant indicated 1 proposed access point on to Stage Coach Road but did not indicate width. The accesses shall have adequate turning radiuses and the grade of the internal road system shall match the grade of the County Road. Storm Water Drainage: The applicant has provided information on how storm drainage will be handled in accordance to"regional" drainage report. We offer the following comments and recommendations regarding wildlife. Under current land use conditions we would expect to find a variety of species on the site. Mammals including, but not limited to: coyotes, foxes, raccoons,rabbits and black-tailed prairie dogs as well as avian species including, but not limited to: songbirds and raptors such as bald eagles, red-tailed hawks and american kestrels may use a portion of the current site area for their individual habitat requirements. Prairie Dogs Prairie dogs are an important food source for hawks,Bald Eagles and coyotes. Removal will likely create food stresses to these species. Trapping/transplant efforts or euthanasia are legal options if prairie dog removal is desired. • It is recommended that prairie dogs he removed only where necessary • Prairie dog removal on this site should be required prior to development or construction work begins • Euthanasia efforts must occur through the use of approved toxicants and trapping/transplanting of prairie dogs requires prior approval of the DOW and may require approval from the county commission • Note that bulldozing active prairie dog colonies is not an acceptable method of removal Birds Burrowing Owls, a species listed on the Colorado Threatened Species List, are known to occur within Weld County and rely on prairie dog burrows as critical nesting habitat. As a migratory species and a raptor, both the USFWS and the Colorado Division of Wildlife protect Burrowing Owls. The critical nesting period for Burrowing Owls occurs between March 1 and October 31. DOW identifies Bald Eagle activity near Boulder and St. Vrain creek's approximately 0.7 miles away. This activity includes a large communal roost site, other roost sites,summer and winter forage areas, and a winter concentration area. It is recommended that all mature cottonwood trees remain undisturbed. Concerns regarding Construction Equipment With new construction taking place and machinery being transported from one site to another, it is important to help prevent the spread of noxious weeds. Noxious weeds reduce property value and wildlife habitat. Care should be taken to avoid spreading and introducing noxious weeds. Equipment should be cleaned periodically to remove weed seeds even if no weeds are recognized. The area should be promptly revegetated using native species to prevent erosion and invasions by weeds. It is also recommended that a weed management plan be developed for during construction and for at least 5 years after construction. In accordance with the Towns Code, the general parameters outlined in the uniform design principals IGA, and the Town's goal of annexing this area at some point in the future, please consider the following: a. Please add a note to the site plan that the subject property is within the Town of Frederick's planning area and tht annexation to the Town of Frederick is anticipated if and when contiguity occurs. b. Please distribute trees and shrubs around the perimeter of the property, including the eastern and northern boundaries as well as western edge of parking to soften views to and from adjacent developments, break up the mass of the facade, and increasing energy efficiency and further screen parking areas. c. While we anticipate that this business will be very successful, the interior and exterior of the structure should be designed for flexibility in the event that the business relocates and other uses fill the space. Water supply for fire protection is not adequate unless the building will be provided with a fire sprinkler system or the building will be provided with firewalls and the construction type be non-combustible for certain portions of the building. I have met with the architect and we have determined that fire sprinklers are not an option as sprinkler piping and sprinkler heads do not fair well with bullets. As this is the case firewalls are an option, so it will be very important that the Fire District review building construction plans before building permits are issued so that we can see that firewalls are going to be provided even though the Building Code would not necessarily require them. Additionally, the largest portion of the building (riffle range) must be of rated type of construction, as will also be mentioned below, to reduce fire flow for that portion of the building to a level that is available in the street. Having said that, if the requirements regarding fire flow can be met, the proposed fire hydrant on the property will not be necessary,as the fire hydrants on the street meet our distance requirements to the building. • Fire apparatus access to the building is not adequate on the north side. As fire sprinklers are not an option, again it will be important to see building construction plans as this portion of the building will need to of Type 1 A or 1B rated construction with the north wall having no openings even though the Building Code may not require it. Otherwise access is adequate as indicated on the plans submitted. • Building construction plans and the final site plan showing a code analysis which includes, the gross square footage of the building, the building construction type, and occupancy classification(s)must be submitted to the Fire District for review and approval before building permits may be issued. Such interest and repayment of the amounts so loaned are to be entitled to priority of payment over the division and distribution of capital contributions and profit among members. VI. PURPOSES The purpose of the LLC is to own and operate a business, and such other lawful business purposes of which the LLC may elect to pursue in the fu.ure. VII. DIVISION OF PROFITS AND LOSSES • Each of the members shall own an interest in the LC as set forth in Paragraph N, entitled "Capital Contributions", except as the same may hereaft r vary or change as provided in Paragraph V, entitled "Contributions of Additional Capital" an as the same may be modified pursuant to this Paragraph VII. All profits of the LLC enterpris shall be shared by each of said members according to the percentage of ownership and profit) interest each member owns. A separate capital account shall be maintained for each memb r. No member shall make any withdrawals from capital without prior approval of the LLC. If t e capital account of the member becomes impaired, his share of subsequent LLC profits shall be f rst credited to his capital account until that account has been restored. All distributions of assets of the LLC, including cash, shall be made in the same allocations among members as described above. The managers shall determine, in their discretion, whether distributions of assets of the LLC should be made to the members; provided, however, that no distribution of assets may be made to a member if, after giving effect to the distribution, all iabilities of the LLC, other than liabilities to members on account of their capital and income acc unts, would exceed the fair value of the LLC assets. • A member has no right to demand and receive any distribution from the LLC in any form other than cash. The manner in which Capital Accounts are to be maintained pursuant to Paragraphs IV, V and VII is intended to comply with the requirements of Section 704(b) of the Code and the Treasury Regulations promulgated thereunder. If in the opinion of the Company's accountants the manner in which Capital Accounts are to be maintained pursuant to the Preceding provisions of this Paragraph VII should be modified in order to comply with Section 704(6) of the Code and the Treasury Regulations thereunder, then notwithstanding anything' to the contrary contained in the preceding provisions of this Paragraph VII, the method in whichl! Capital Accounts are maintained shall be so modified; provided, however, that any change in the manner of maintaining Capital Accounts shall not materially alter the economic agreement between or among the members. Upon liquidation of the Company (or any member's membership interest), liquidating distributions will be made in accordance with the positive Capital Account balances of the members, as determined after taking into account all Capital Account adjustments for the Company's taxable year during which the liquidation occurs. Liquidation proceeds will be paid in accordance with Paragraph XI. The Company may offset damages for breach of this Operating Agreement by a member whose interest is liquidated (either upon the disassociation of the member or the liquidation of the Company) against the amount otherwise distributable to such member. VIII. RULES RELATING TO THE MEMBERS A. Additional members may be admitted upon the unanimous written consent of all members. B. A member shall be entitled to one vote on any matter for which members are required to vote, with each vote to be weighted as to a member's percentage ownership interest of the LLC. A member may vote in person or by proxy at any meeting of members. All decisions of the members shall be made by a majority vote of the ownership interests owned by the members at a properly called meeting of the members at which a quorum is present, or by unanimous written consent of the members. C. Meetings of members may be held at such •time and place, either within or without the State of Colorado, as may be determined by the managers or the person or persons calling the meeting. D. An annual meeting of the members shall be held at a time and place designated by the managers. E. Special meetings of the members may be called by the managers or by at least one-tenth of the ownership interests entitled to vote at the meeting.', F. Written notice stating the place, day, and hour or the meeting and, in the case of a special meeting, the purpose for which the meeting is called, shall be delivered not less than ten (10) days nor more than fifty (50) days before the date of the meeting, either personally or by mail, by or at the direction of the managers or any other person calling the meeting, to each member of record entitled to vote at such meeting. A waiver of notice in writing, signed by the member before, at, or after the time of the meeting stated in the notice shall be equivalent to the giving of such notice. G. By attending a meeting, a member waives objection to the lack of notice or defective notice unless the member, at the beginning of the meeting, objects to the holding of the meeting or the transacting of business at the meeting. A member who attends a meeting also waives objection to consideration at such meeting of a particular matter nit within the purpose described in the notice unless the member objects to considering the matter when it is presented. H. A majority of the ownership interests in the LUC entitled to vote shall constitute a quorum at the meeting of members. If a quorum is not represented at any meeting of the members, such meeting may be adjourned for a period not to exceed sixty (60) days at any one adjournment; provided, however, that if the adjournment is for more than thirty (30) days, a notice of the adjourned meeting shall be given to each member entitled to',vote at the meeting. IX. MANAGERS A. Management and the conduct of the business pf the LLC shall be vested in the managers. The managers may adopt resolutions to govern their activities and the manner in which they shall perform their duties to the LLC. B. Managers shall be natural persons eighteen (1 ) years of age or older. C. The number of managers shall be two. Th number of managers shall be increased or decreased by the vote or consent of the members. Managers, employees, and agents of the LLC s all be entitled to be indemnified by the LLC to the extent provided in the Colorado Limited Lia ility Company Act, as amended from time to time, and shall be entitled to the advance of expense , including attorneys' fees, in the defense or prosecution of a claim against him or her in the capacit of manager, employee, or agent. X. BOOKS AND RECORDS A. The books and records of the LLC shall be maintained at the principal office of the LLC or at such other place as the managers by vote or consent shall designate. B. Each member shall at all times have access to the books and records of the LLC for inspection and copying. Each member shall also be entitled: i. To obtain from the managers upon reasonable demand for any purpose such information reasonably related to the member's membership interest in the LLC. , H. To have true and full information regarding the state of the business and financial condition and any other informatign regarding the affairs of the LLC. ' Hi. To have a copy of the LLC's federal, altate, and local income tax returns for each year promptly after they are available to the LLC; and iv. To have a formal accounting of the LLC affairs whenever circumstances render an accounting just and reasonable. : C. The books shall be maintained on a cash basis. The fiscal year of the LLC shall be the calendar year. Distributions to income accounts shall be made annually. The books shall be closed and balanced at the end of each calendar year and, if any au it is determined to be necessary by vote or consent of the managers, it shall be made as of the losing date. The managers may authorize the preparation of year-end profit-and-loss statements, b lance sheet, and tax returns by a public accountant. XI. DISSOLUTION A. The LLC shall be dissolved upon the occurrenc of any of the following events: i. At any time by unanimous agreement of he members. B.. Upon a dissolution of the LLC, the assets shill be used and distributed in the following order: I i. To pay or provide for the payment of all LLC liabilities to creditors other than members, and liquidating expenses anci obligations; ii. To pay the reasonable compensation and expenses of managers incurred in liquidation; and iii. The amount then remaining shall be paid to and divided among the members in accordance with the statutory scheme for distribution and liquidation of the LLC under the Colorado Limited Liability Compaty Act, as amended from time to time. Except as otherwise required in the Colorado Limited Liability Company Act (and subject to Articles V and VII, no member shall have any liability to restore all or any portion of a deficit balance in such member's Capital Account. XII. RESTRICTIONS ON TRANSFER I No member's interest in the LLC may be transferr d, or disposed of in any manner whatsoever to any person or firm, without the unanimous consent of all members and if applicable, all joint owners. None of the interests in the LLC shall be ple ged by any member without the written consent of the LLC and all other members. Each member by executing this Agreement hereby consents to the transfer and/or admission of members only:if made pursuant to the terms of this Agreement. • A purchaser of a Membership Interest of the LLC shall not become a member and shall not participate in management of the LLC without the unanimous consent of the non-selling members, but shall be entitled to receive the share of profits, gains, losses, deductions, credits, and distributions to which the selling member would be entitled. XIII. COLORADO LAW This Agreement and all questions arising under it Shall be determined in accordance with the laws of the State of Colorado. I XIV. NOTICE iI • Whenever under this Agreement, notice is required to be given, it shall be given in writing, and if such notice is served by certified mail, it shall be deemed to have been given on the date such notice is posted. Notices shall be addressed to the respective parties at the addresses listed on the corporation's books. XV. ACKNOWLEDGMENT OF INVESTORS Each member who is or becomes a party to this agreement acknowledges that he is a resident of Colorado, that he is acquiring the membership interest -or investment purposes only, for his own account, and that he does not intend to sell such intere t in the LLC in the foreseeable future; that he is aware that his investment in the LLC is strictly a eculation, and that he can afford any loss he might suffer as a result of acquiring such interest; that e is aware that the interest in the LLC of the LLC may be classified as a restricted security and that such may not be resold without a federal exemption from registration, or registration of the security t the time of sale; and that he has reviewed and understands the nature of the business and propc)sed business of the LLC to his satisfaction, and that no member, or agent of the LLC has made any representations to him as to how much the value of such interest in the LLC might increase or how much income might be realized by the LLC. XVI. BENEFIT This Agreement shall bind and extend to the heir, representatives, successors and assigns of the parties hereto, including their creditors. XVII. ATTORNEY'S FEES In the event any party hereto initiates legal proceedings to interpret or enforce any term of this Agreement, the prevailing party shall be entitled to an award of attorney's fees and costs incurred. XVIII. PRIOR AGREEMENT This agreement supersedes all prior agreeme is and no amendment of this agreement shall be effective unless set forth in a written amendme t signed by all the members and the LLC. As a resident within 500 feet of the proposed development, I have several concerns with this proposal. Compatibility of Land Uses: Safety The merging of these two lots is proposed for the purpose of building an indoor shooting range adjacent to high density single family housing. PUD Policy 4.1 states that "Flexible design elements of a Planned Unit Development should consider compatibility with existing and planned uses on adjacent properties." This proposal does not consider compatibility with existing uses on adjacent properties, locating a firearms facility within 70 feet of high density homes and less than %< mile from a future middle school. PUD Goal 1 states that, "In an effort to promote the Planned Unit Development process for development review, the County will cooperate with the development applicant to achieve the objectives of the applicant while ensuring the proposal meets all health and safety needs; meets the intent of the zone district(s) applicable to the land use proposed; meets the intent of the goals expressed in this section; and conforms to the Comprehensive Plan." Please explain how you find this proposal to meet these public values. Structural Land Use Map The 1-25 M.U.D. Structural Land Use Map (October 2006) identifies the subject property as Regional Commercial — Medium Intensity. According to Sec. 26-1-50 of the Comprehensive Plan, "Regional commercial centers are intended to provide safe, efficient areas offering convenience goods and services to residents of surrounding neighborhoods. These centers include commercial and industrial activities which are medium-intensity levels and have few environmental and service related impacts. Activities in these centers may include the following: 1. Retail shops. 2. Civic uses such as libraries, community centers and churches. • i 3. Service businesses such as offices. 4. Public facilities and utility service facilities. 5. Restaurants. 6. Retail and wholesale establishments. 7. Light manufacturing and research facilities." The proposed development is not compatible with adjacent land uses and does not provide convenience goods or services to the residents of surrounding neighborhoods. Urban Development This indoor firing range is proposed adjacent to an urban residential development. Section 22- 2-70 of the Comprehensive Plan defines urban residential development as "high density multi- family projects, single-family residential subdivisions and many variations between these two (2) categories". It also states that "some commercial or neighborhood service uses such as churches, day care, small-scale offices, schools, convenience stores, small shopping areas, etc., are usually associated with urban residential subdivisions." Furthermore, Section 22-2-170 (Commercial development goals and policies) of the Comprehensive Plan states, "Neighborhood commercial uses will be allowed in residential areas. These commercial uses will consist only of neighborhood-oriented businesses. Commercial uses that service a greater area than the neighborhood and create undesirable impact, such as increased vehicular traffic, are not considered appropriate in residential neighborhoods." The proposed development is not consistent with planned land uses, and deprives residents of these desired services and goods. Where are the residents supposed to shop or obtain local services if all of the surrounding land is developed with firing ranges, RV dealerships, and garage condominiums? Public Comment I can imagine that you or the Planning Commission will discard these concerns because the matter at hand at the March l8'" public hearing is the merging of two PUD lots, not an evaluation of intended use. That is an unfair position to take, as this is the only opportunity for public comment. Residents within 500 feet have been informed of an innocuous-sounding, jargonistic "Amendment to a PUD Final Plat Redesign." No one would interpret this to mean that a firing range is being proposed in their backyards, and near a future middle school. Weld County residents deserve the opportunity to know what is being proposed in their neighborhoods. The Comprehensive Plan includes two Guiding Principles that will be violated if land use is not considered in this public process: It is an open process to facilitate public information and input, and should not be approved or denied solely on the basis of public sentiment. • • It provides open communication through the development review process to neighbors and communities most impacted by proposed changes. Private Property Rights and Land Values I was informed that the proposed development is a Use by Right, and therefore not subject to public comment. It is assumed that this policy was adopted to protect private property rights. Yet, it is important to remember that an individual's (or corporation's) private property rights are not absolute. As stated in Section 22-1-120 of the Comprehensive Plan, "Private property rights are not unlimited rights but rather rights balanced with the responsibility of protecting community health, safety and welfare." It is the responsibility of Weld County Planners, the Planning Commission, and the Board of County Commissioners to respect this balance of rights and prevent incompatible land uses. It is also important to consider that adjacent homeowners have property rights as well. This development will lower land values throughout my community. (I think you would be hard- pressed to find a real estate agent to testify to the contrary.) By approving an incompatible land use on this property, you risk infringing on the private property rights of every homeowner in the Idaho Creek community and the possibility of a legal challenge to a poorly considered development.
