KAUFFMAN COMPANY, INC. ("KPK") with an address of 1675 Broadway, Suite 2800, Denver, Colorado 80202; and BARTEZ LLC ("Bartez") with an address of Post Office Box 888, Longmont, Colorado 80502. KMG and KPK are sometimes referred to hereinafter together as the "Oil Companies." A. Bartez owns property in Weld County Colorado, located within the NE/4 of Section 17, Township 2 North, Range 66 West and hereinafter referred to as the "Property" and more specifically described as: PT NE/4 of Section 17, Township 2 North, Range 66 West LOT B RECORDED EXEMPTION RE-3975 EXC UPRR RES (.98R) B. KMG and KPK each operates oil and gas wells and associated oil and gas production facilities and equipment within the NE/4 of Section 17 ("NE/4") and have certain oil and gas leasehold rights to drill, operate and maintain wells, equipment, pipelines and access within the NE/4. C. Bartez either has constructed or plans to construct a commercial shop building, commercial vehicle parking, and employee parking in the NE/4 and hereinafter referred to as the`Bartez Facilities." D. In order to conduct oil and gas operations on the Property and pursuant to oil and gas leasehold rights owned by KMG and/or KPK, KMG or KPK, as the case may be, caused to be constructed in the NE/4 the road identified on Exhibit A attached hereto, including the portion of the road that goes directly south from Weld County Road 22 and hereinafter referred to as the "Joint Use.Road"and identified as such on the Exhibit. E. The Oil Companies share the Joint Use Road for ingress and egress to their oil and gas operations in the NE/4 and together they maintain the road for their operations on the Property. F. Bartez has requested permission from the Oil Companies to use the Joint Use Road for ingress and egress to the Bartez Facilities. NOW THEREFORE, in consideration of the covenants and mutual promises set forth in this Road Sharing Agreement, including the recitals, the parties agree as follows: 1. Joint Use of the Joint Use Road. No Obligation to Upgrade/Costs to Maintain Joint Use Road. The Oil Companies have no obligation to upgrade the Joint Use Road and shall maintain the Joint Use Road only to that standard that they require for their operations on the Property. Costs to maintain the Joint Use Road shall be shared 50% by Bartez and 50% by the Oil Companies. 3. No Interference by Bartez/Restriction in Use of the Joint Use Road. Bartez shall not unreasonably interfere with the Oil Companies in the use of the Joint Use Road. Bartez understands and acknowledges that the Oil Companies may need to restrict or shut down the Joint Use Road or portions thereof, at such time as either KMG or KPK, in its sole discretion, determines that the use of the Joint Use Road will interfere with oil and gas operations in the NE/4. Except in the case of an emergency, the Oil Company will use best efforts to give Bartez forty-eight (48) hours advance notice that the Joint Use Road will be shut down or restricted and the period of time in which the Oil Company anticipates the Joint Use Road will be shut down or restricted. In the case of an emergency, the Oil Company will give notice to Bartez that the Joint Use Road will be restricted or shut down as soon as practicable after the Oil Company becomes aware of the emergency event. 4. Damage to Joint Use Road caused by Bartez. Bartez shall promptly pay the Oil Companies for all damages to the Joint Use Road that it or its officers, employees, agents, consultants, contractors, subcontractors or any other of its invitees (hereinafter the `Bartez Group") causes to the Joint Use Road within thirty (30) days from the receipt of an invoice from the Oil Company that documents the damages and the costs of repair. 5. Release by Bartez. Bartez hereby releases and waives all claims, both current and future, against each of the Oil Companies that in any way results from or is caused by the condition of the Joint Use Road, the maintenance of the Joint Use Road by the Oil Companies, or the use of the Joint Use Road by the Bartez Group. Bartez shall defend, indemnify and hold the Oil Companies harmless from and against any and all claims, demands, injuries, damages, expenses, costs, losses and liabilities of any kind or character that arise from, directly or indirectly, the use of the Joint Use Road by Bartez or any of the Bartez Group. 6. Individual Liability of Oil Companies. The liability of KMG and KPK to perform any obligation hereunder or to comply with any agreement included herein or with any state or local rule or regulation is individual and not joint or collective. 7. Successors and Assigns. The terms, covenants and conditions in this Road Sharing Agreement are binding upon and inure to the benefit of the parties and their respective successors and assigns; provided, however, successors and assigns of each of the Oil Companies shall be limited to only those assignees under the oil and gas lease owned by the Oil Company. 8. Notices. Counterpart Execution. This Agreement may be executed in any number of counterparts, each of which shall be deemed an original instrument, but all of which together shall constitute one and the same instrument. This provision excludes disclosure of terms necessary in legal counsel. Surface Owner understands that this Letter Agreement shall not be recorded. 3. Additional Provisions A) Ways of ingress and egress, well site areas, tank battery/treater locations and tanker truck service areas shall be discussed by and between Surface Owner and KMG prior to commencement of operations. B) Restoration of the Lands shall commence as soon as practicable after drilling and completion activities are concluded. The Lands shall be restored as close as reasonably practicable to their condition when KMG first commenced operations on them. The proposal was dated December 10, 2008. The proposal included referral responses and a Final Drainage Report. The drainage report is dated rDecember 9, 2008 and is signed and stamped by David E. Moore, P.E., number 22495. Our comments and requirements are as follows: COMMENTS: Weld County Strategic Roadway: WCR 22 is classified by the County is a Strategic Roadway, which requires a 140-foot right-of-way at full build out. There is presently a 60-foot right-of-way. This road is maintained by Weld County. Pursuant to the definition of SETBACK in the Weld County Zoning (23-1-90), the required setback is measured from the future right-of-way line. (WCRs 7, 9.5, 11, 13, 22, 24, 27, 37, 49 and 74) REQUIREMENTS: Final Plat: 1. The final plat appears to be acceptable to Public Works. Drainage Report: 1. The final drainage report appears to be acceptable to Public Works. Improvements Agreement: 1. A private maintenance agreement with both Exhibits A& B filled out shall be required. Collateral will be required.for 100% of the estimated costs on schedule A. 2. A public road maintenance agreement for improvements done in the right-of-way with both Exhibits A& B filled out shall be required. Collateral will be required for 100% of the estimated costs on schedule A. In light of this, CDOT would like to alter their official comments. We had originally asked the county to evaluate the possibility of having the developer improving the existing turn lanes on the basis of safety.
