RE: APPROVE PIPELINE RELOCATION AGREEMENT AND AUTHORIZE CHAIR TO SIGN-
SOURCEGAS DISTRIBUTION, LLC
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,the Board has been presented with a Pipeline Relocation Agreement between
the County of Weld, State of Colorado, by and through the Board of County Commissioners of
Weld County, on behalf of the Department of Public Works, and SourceGas Distribution, LLC,
commencing upon full execution, with further terms and conditions being as stated in said
agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Pipeline Relocation Agreement between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Public Works, and SourceGas Distribution, LLC be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 23rd day of January, A.D., 2008.

PIPELINE RELOCATION AGREEMENT
THIS PIPELINE RELOCATION AGREEMENT("Agreement")is made and entered into effective,;?]`$
day of Ate/ ,200$(the"Effective Date")by and between BOARD OF COUNTY
COMMISSIONERS OF WELD COUNTY, STATE OF COLORADO whose street address is 915 Tenth
Street, P. O.Box 758,Greeley,Colorado 80632("Weld County")and SOURCEGAS DISTRIBUTION
LLC,a Delaware limited liability company,whose address is 370 Van Gordon Street, Suite 4000,
Lakewood Colorado 80228("SourceGas")
WHERSAS,SourceGas owns easements on that certain parcel of real property situated in Weld
County,Colorado,as more particularly describe in Exhibit A attached hereto and by this reference made a
part hereof(the"Property");and
WHEREAS,SourceGas Distribution LLC is the successor in interest to the Kinder Morgan,Inc.
and Conoco Pipe Line Company with respect to that certain Right of Way Agreements recorded under
Reception No.'s 2743502 and 02289369 respectively,by Susan J. Troudt(Reception No. 1571285),GWS
Enterprises(Reception No. 3442207), LLC,John R. Haley(Reception No.3447426)to Kinder Morgan,
Inc.and Conoco Pipe Line Company,with the Clerk and Recorder of the County of Weld, State of
Colorado(the"Right of Way Agreements");and
WHEREAS,the pipelines and easements established under the Right of Way Agreements are
located on and effect portions of the Property and certain portions of a parcel located adjacent to the
Property which is Owned by Weld County on behalf of the State of Colorado;and
WHEREAS,Weld County is desirous of relocating and abandoning, in part,the natural gas
pipelines located in the easement described in the Right of Way Agreements and further diagrammed in
Exhibit B attached hereto(the"General Site Map")so that such pipelines will not cross or affect portions
of the Property;
NOW,THEREFORE, in consideration of the mutual covenants and agreements contained herein,
and for other good and valuable considerations,receipt and sufficiency of which are hereby acknowledged,
Weld County and SourceGas agree as follows:
1. SourceGas hereby agrees to relocate and remove those portions of its existing pipelines and
easements which are currently located on the Property pursuant to the terms and conditions
set forth in this Agreement. Those portions of the existing pipelines and under the Right of
Way Agreements which are to be relocated(the"Existing Easements),and the location for the
installation of the new pipelines and new locations on the Property(the"New Locations"),are
generally depicted on the General Site Plan attached as Exhibit B. Weld County,at its cost,
shall be responsible for staking on the ground the boundaries of the New Location,it being
the intent of the parties that the pipelines shall be relocated within twenty-five(25)feet and
along the centerlines so agreed to by SourceGas and the current owners of the Property.
2. Upon Weld County's completion of the survey and staking described in paragraph I,and
SourceGas obtaining all required permits or rights-of-way covering any portion of the
relocated route(s), including but not limited to the New Locations and subject to potential
delay caused by adverse weather conditions,availability of materials, supplies and labor,
SourceGas will commence the relocation of the existing pipelines as soon as practical. Weld
County agrees to cooperate with SourceGas in obtaining any and all necessary permits or
other documents, including right of way,required to accomplish the relocation of said
pipelines to the New Locations and Weld County grants to SourceGas rights-of-way and
easements to own,operate and maintain the SourceGas pipelines at and within the New
Locations and shall tender to SourceGas a recordable easement or right-of-way documents
evidencing the same. A copy of the survey indicating the easement crossing of lands owned
by the State of Colorado is attached as Exhibit D.

3. The cost of obtaining all necessary permits for the relocation and physically completing the
relocation work on the Property is estimated to be$268,772.00,which amount is inclusive of
all labor and materials,planning and permitting costs. The total final,actual cost of relocation,
abandonment of its existing pipelines and the installation of the new pipelines incurred by
SourceGas shall be paid by Weld County within thirty(30)days to SourceGas upon execution
and delivery of this Agreement,and SourceGas's completion of all required relocation work
and after Weld County receives from SourceGas an invoice of such costs. Once the forgoing
work is completed Weld County shall be obligated to pay to SourceGas the difference
between the$268,772.00 amount and the actual costs incurred by SourceGas.
4. Upon completion of the relocation work by SourceGas and receipt by SourceGas of the final
payment from Weld County in accordance with the terms of Paragraph 3 above,(i)SourceGas
will prepare and record in the real estate records of Weld County,Colorado,a written
document pursuant to which SourceGas terminates its right to use those portions of the
Existing Easements on the Property under the Right of Way Agreements which are to be
abandoned and(ii)Weld County shall execute and record in the real property records of Weld
County,Colorado,an Amendment to the Description of Pipeline Right of Way in the Form of
Exhibit C attached hereto(the Amendment"). SourceGas shall not under any circumstances,
be obligated to release portions of the existing Easements until SourceGas has determined that
the new pipelines have been properly constructed and that the gas is successfully flowing
through the relocated pipelines and that all requisite rights-of-way,easements,permits and
authorizations have been received by SourceGas are acceptable to SourceGas in form and
substance. Under no conditions shall SourceGas be prevented from flowing gas through the
existing pipelines system located upon the Property due to the relocation of the pipelines until
the relocated pipelines are completed and operational.
5. In connection with the relocation of the pipelines,SourceGas agrees to install the same in a
good and workmanlike manner, in compliance with applicable laws and regulations.
6. SourceGas agrees that between the date of execution of this Agreement and the date that the
pipeline is relocated, Weld County and/or its successors and assigns will be allowed to grade
within twenty five(25)feet of either side of the existing pipelines and the right of way and to
cross the existing pipelines easements with utility lines such as water, sewer,electric and
telephone at approximately right angles to the existing pipelines right of way and with
roadways of a temporary nature. Weld County agrees in connection with any of the foregoing
work and so as to minimize any potential problems in connection with such work,to notify
SourceGas of its intentions to commence work, Weld County and its successors and assigns.
Weld County agrees to indemnify and hold SourceGas harmless from and against all claims,
damages and liabilities resulting the same.
7. Upon completion of the relocation of the pipelines,and subject to SourceGas's reasonable
satisfaction that the new pipelines are successfully flowing gas, SourceGas shall blow-down,
cut and disconnect that portion of its pipelines to be abandoned which currently crosses the
Property,and upon completion if the foregoing,notify Weld County of such completion.
8. SourceGas agrees to indemnify Weld County and hold Weld County harmless from and
against all claims,damages and liabilities resulting from the use of transportation of
Hazardous Materials by SourceGas upon the Property.
9. The parties agree that this Agreement and the benefits and burdens herunder shall be binding
upon and inure to the benefit of the parties hereto and their heirs, successors and assigns.
10. This Agreement and all of the covenants in it shall be running with the land and shall be
binding on all parties who succeed to any interest which Weld County has in the Property.
Any subsequent sale of the Property shall be subject to the terms of this Agreement.
11. In the event that the operations by either SourceGas or Weld County are not at any time being
conducted in compliance with this Agreement,the defaulting party shall be notified in
writing,delivered by certified mail or commercial overnight courier,of the facts relied upon
as constituting a breach thereof,and the party, if in default,shall within thirty(30)days after
receipt of such notice,commence the compliance with the obligations imposed by virtue of
this Agreement.In event the defaulting party does not commence compliance with the
obligations imposed by virtue of this Agreement within said thirty(30)days period,this
Agreement may then be specifically enforced at the election of the non-defaulting party and
the defaulting party shall pay and all reasonable attorney's fee of the other party.
12. This Agreement sets forth the entire understanding between the parties and supersedes any
previous communications,representations or agreements,whether oral or written.No change
of any kind of the terms or conditions herein shall be valid or binding on any parties unless in
writing and signed by an authorized representative of each party.
IN WITNESS WHEREOF,the parties have executed this Agreement as of the day and year first
above written.

Brief description of the problem/issue:
SourceGas currently has an existing gas line located within a private gas easement along the new alignment of
SH 52. SourceGas is requiring relocation of the existing gas line into a new easement located outside of the
proposed WCR 13 and SH 52 ROW. CDOT's policy is that they will not permit private easements within their
ROW, SourceGas is thereby required to relocate within a new easement outside of the new ROW limits
What options exist for the Board? (Include consequences, impacts, costs, etc. of options)
The Board could either accept or not accept the relocation agreement. The costs for relocation are estimated at
$268,772.00, and the relocation must be completed in conjunction with the construction of the roadway this
spring. Not accepting this agreement could result in the WCR 13 project not meeting completion deadlines.
The cost of this work is included in the 2007 budget.
Recommendation to the Board:
Since SourceGas had an existing private easement and we are constructing over their easement, I recommend
approval for the relocation agreement.
