RE: APPROVE AMENDMENT TO AGREEMENT FOR INMATE HEALTH SERVICES AND
AUTHORIZE CHAIR TO SIGN -CORRECTIONAL HEALTHCARE MANAGEMENT, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Amendment to the Agreement for
Inmate Health Services between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, on behalf of the Weld County Sheriff's Office, and
Correctional Healthcare Management, Inc., commencing January 1, 2009, and ending
December 31, 2009, with further terms and conditions being as stated in said amendment, and
WHEREAS,after review,the Board deems it advisable to approve said amendment,a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Amendment to the Agreement for Inmate Health Services between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, on behalf of the Weld County Sheriffs Office, and Correctional Healthcare Management,
Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 1st day of December, A.D., 2008.

AMENDMENT TO THE AGREEMENT FOR INMATE HEALTH SERVICES AT
WELD COUNTY, COLORADO
(Effective Date January 1, 2009)
This Amendment, dated for reference purposes only, the 18th day of November, 2008 is made
and entered into by and between the County of Weld, a political subdivision in the State of
Colorado, acting by and through its duly elected Board of County Commissioners, (hereinafter
referred to as"County") and Correctional Healthcare Management, Inc., a Colorado Corporation
(hereinafter referred to as "CHM"). This Amendment is hereby attached to and shall become a
part of the"Health Services Agreement" (hereinafter referred to as "the Agreement")by and
between County and CHM, which was effective January 1, 2006.
WHEREAS, County and CHM entered into the Agreement effective January 1, 2006 through
December 31, 2008;
WHEREAS, CHM desires the Agreement to be renegotiated with the following changes, subject
to approval of the County;
NOW THEREFORE, for good and valuable consideration,the receipt of which is hereby
acknowledged, County and CHM agree to the following changes to the Agreement:
1. Effective August 21, 2008, CHM shall provide up to 5 hours per week of psychiatrist or
nurse practitioner services ("CHM mental health staff') at the Weld County North Jail
Complex. The Parties agree that County shall be responsible for all intake and post
admission mental health evaluations, and CHM mental health staff shall provide care and
treatment only upon referral from County. The Parties further agree that County mental
health staff shall work cooperatively with CHM's mental health staff, employees and
subcontractors to effectively carry out the terms and conditions of this Amendment.
2. In consideration of the above-mentioned mental health services, County shall pay CHM
$3,284.13 per month from September 1, 2008 through December 31, 2008. County shall
pay CHM $985.24 for services rendered in the month of August, 2008. The cost for
these services for the period from January 1, 2009 to December 31, 2009 shall be
included in the price listed in Section 5 of this Amendment.
3. CHM and County acknowledge and agree that the original Agreement was entered into
January 1, 2006 for a two-year term with the option to renew in one (1) year increments
for up to two (2) additional years. Pursuant to Section 7.1 of the Agreement, County and
CHM would like to renew the agreement for an additional one year period beginning
January 1, 2009 and ending on December 31, 2009.
4. For the renewal period from January 1, 2009 to December 31, 2009, CHM and County
agree to adjust the medical and mental health staffing plan as described in "Attachment
A,"hereby incorporated by reference.

5. For the renewal period from January 1, 2009 to December 31, 2009,the annual amount to
be paid by County to CHM is $2,621,486.88 (Two million, six hundred twenty-one
thousand, four hundred eight-six dollars and 88/100). Each monthly payment shall be at
$218,457.24 (Two hundred eighteen thousand, four hundred fifty-seven dollars and
24/100).
6. For the renewal period from January 1, 2009 to December 31, 2009, the per inmate per
day escalator/de-escalator is hereby adjusted to the following: If in any calendar month,
the ADP of the Facility exceeds 550 inmates, then County will pay CHM a per diem of
$1.57 per inmate per clay on the difference between 550 and the ADP for that month. In
any calendar month the ADP of the facility goes below 450 inmates, then CHM will
reimburse County a per diem of$1.57 per in inmate per day on the difference between
450 and the ADP for that month
7. For the renewal period from January 1, 2009 to December 31, 2009, CHM shall be
responsible for the cost of all pharmaceuticals provided under Section 1.15 of the
Agreement, including psychotropic medications, subject to the following limitations:
a) The cost of AZT or any other AIDS and/or Hepatitis related medications and
testing shall be limited to $5,000.00 in the aggregate per year. Should the cost
of these medications and testing not exceed $5,000.00 in the aggregate in any
contract year, CHM shall reimburse County for 100% of the difference
between the actual cost to CHM and the $5,000.00 aggregate cap.
Except for the provisions amended by this document, all other provision of the Agreement shall
remain in full force and effect and unchanged.
IN WITNESS WHEREOF, the parties have caused this Amendment to be executed in their
names or their official acts by their respective representatives, each of whom is duly authorized
to execute the same.
