delivered by and between PCC Composites, Inc., a Pennsylvania corporation headquartered at 7040 Weld County Road 20, Longmont, Colorado 80504 ("PCI') which is a wholly owned subsidiary of Precision Castparts Corp., an Oregon corporation with offices at 4650 S.W. Macadam Avenue, Suite 440, Portland, Oregon. 97239; and Rogers Corporation, a Massachusetts corporation headquartered at One Technology Drive,Rogers,Connecticut 06263-0188("Rogers'). 1. $ale and Transfer. For the sum of Eight Hundred Thousand Dollars ($800,000.00) in cash, the receipt (in two installments of Fifty ($50,000) and Seven Hundred Fifty Thousand Dollars ($750,000), respectively) and adequacy of which PCI hereby acknowledges, PCI hereby sells,transfers, assigns and delivers to Rogers or, in the case of the intangibles, to its designee World Properties,Inc. ("WPI'),the fallowing assets (collectively,the"Assets"),in each case limited to Assets used primarily in PCPs composite business (the "Composites Business"), except that the itenns listed in clause (b) below, if owned by PCI and used to a material extent in the Composites Business but not primarily therein,nevertheless shall be licensed on a royalty-free basis or otherwise shared with WPI (provided that PCI will have no obligation to seek or obtain any license from any third patty on behalf of WPI): (a)the patents and patent applications listed on the Patent Assignment of even date herewith, attached as Exhibit A; (b) all know-how, formulae, shop rights, unpatented inventions,concepts and discoveries;(c)all current customer and vendor contact lists, customer leads and prospect lists, telephone and fax numbers, dealer and distributor lists, and sales and business records from January 1, 2004 to date; (d) all fixed assets, including without limitation those fixed assets set forth on Schedule B hereto, templates, patterns, shop supplies, dies, molds, trade fixtures and tools; (e) any inventory on the premises,including raw materials,work in process,finished goods,samples and spare pans; and(f)any permits,licenses and other governmental,or private contractual,rights to operate the Composites Business,to the extent the same are transferable,and if not transferable then any divisible and transferable portion thereof For the avoidance of doubt, assets used by PCI other than primarily for the Composites Business are not assigned to Rogers. Moreover, the Assets do not include cash, cash equivalents,security deposits,insurance policies,expected tax refunds,prepaid expenses,or accounts receivable(billed or unbilled). All Assets are acquired on an"as is,where is"basis without any warranty or representation of any kind, and PCI disclaims any implied warranties with respect to the Assets, Inc hiding without limitation merchantability, mninfringement and fitness for a particular purpose. Further Actions. PCI hereby covenants that, from time to time after the delivery of this instrument, at Rogers's request and without further consideration, PCI will do,execute,acknowledge and deliver or will cause to be done,executed,acknowledged and delivered, all and every such further acts, deeds, conveyances, transfers, assignments, powers of attorney and assurances as reasonably may be required more effectively to convey,transfer to and vest in Rogers,and to put Rogers in possession of any of the Assets and, in the case of contracts and rights, if any, which cannot be effectively transferred to Rogers without the consent of third parties,to endeavor to obtain such consents promptly and if any be unobtainable, to use commercially reasonable efforts to assure Rogers the benefits thereof. 3. /assurances. PCI hereby represents and warrants to Rogers that it has all necessary rights,powers and authority to sell the Assets free of liens. To the knowledge of Gregory M. Delaney and Mark Rose,there are no distributorship agreements or licenses of intellectual property granted by PCI relating to the Composites Business. 4. No Assumntion of Liability;Indemnity. Rogers does not assume liability for environmental,product wananty,employment matters or any other claims arising out of the operation of the Composites Business prior to the date hereof PCI agrees to indemnify and hold Rogers harmless with respect to third party claims for environmental,product warranty and employment matters arising out of the operation of the Composites Business prior to the date beteo>;provided that(i)Rogers shall give PCI prompt notice of the receipt of any such third party claim,and(ii)PCI shall be entitled to control and defend such claims in its sole discretion, except that PCI will not,with respect to any such claim, enter into a settlement that would restrict Rogers'use of the Assets or require any other non-monetary concession by Rogers without its prior consent 5. Other Covenants and Agreement. Rogers shall,at Rogers'own expense,move the Assets out of PCI's facility no later than November 30, 2006. Rogers shall not be responsible for cleaning, repairing or restoring PCI's premises from the normal consequences of such removal, provided however that Rogers shall be responsible for repairing such damage to the premises as could reasonably be avoided in connection with removal of the Assets. PCI shall deliver to Rogers no later than November 30, 2006 all production, bill of materials, customer,and vendor records that comprise part of the Assets and are reasonably accessible to PCI. PCI hereafter shall endeavor,in good faith,to provide to Rogers, upon request, any specific additional documents pertaining exclusively to the Composites Business as Rogers reasonably may request from time to time. 6. Miscellaneous This agreement, together with the Patent Assignment of even date herewith, constitutes the fill and entire understanding and agreement between the parties with regard to the subject matter hereof; and supersedes all oral or written agreements and understandlnes with regard to such subject matter. The parties acknowledge that damages at law may be an inadequate remedy for the breach or threatened breach of this agreement and that, in the event of a breach or threatened breach by a party of any provision hereof; the other party's rights and obligations hereunder shall be enforceable by specific performance, injunction, or other equitable remedy, in addition to and not in lieu of any rights to damages at law or other rights provided by statute or otherwise for a breach or threatened breach of any provision hereof. This agreement shall be binding on and inure to the benefit of the parties' respective successors and assigns. This agreement shall be construed in accordance with the laws of the Commonwealth of Massachusetts. Changes,amendments or modification in,or additions to any provision under or of this agreement may be made only by a written instrument executed by the parties thereto. No waivers shall be valid unless in writing and signed by the waiving party.
