WITNESSETH: That for and in consideration of the payments and agreements hereinafter mentioned:
1. The Contractor will commence and complete the following: Aggregate Crushing at the
Fiscus Gravel Pit 2009 described in the Invitation for Bids, Bid No. B0900112
2. The Contractor will furnish all of the material, supplies, tools, equipment, labor and other
services necessary for the completion of the Project described herein.
3. The Contractor will commence the work required by the Contract Documents within ten (10)
calendar days after the date of the Notice to Proceed and will commence to supply
Aggregate Crushing at the Fiscus Gravel Pit 2009 as specified by the Contract
Documents.
4. The Contractor agrees to perform all of the Work described in the Contract Documents and
comply with the terms as shown in the Bid Schedule.
5. The term "Contract Documents" means and includes the following:
(A) Invitation for Bids
(B) Bid Proposal
(C) Bid Summary
(D) Bid Bond
(E) W-9, Request for Taxpayer Identification Number and Certification
(F) Statement of Qualifications and Subcontractors
(G) Anti -Collusion Affidavit
(H) Notice of Award
(I) Agreement
(J) Performance Bond
(K) Labor & Materials Payment Bond
(L) Change Order
(M) Lien Waiver
(N) Final Lien Waiver
(O) Project Special Provisions
(P) General Conditions and Information
(Q) Revision of Section 703, Aggregate (Alternate #3)

6. The Owner will pay to the Contractor in the manner and at such times as set forth by the
Contract Documents, or otherwise agreed upon in writing.
7. This Agreement shall be binding upon all parties hereto and their respective heirs, executors,
administrators, successors, and assigns.

8. Contract Appropriations: The Owner hereby states and affirms that the amount of money
appropriated for this Contract is equal to or in excess of the Contract amount. No change
order to this Contract requiring additional compensable work to be performed, which work
causes the aggregate amount payable under the Contract to exceed the amount appropriated
for the original Contract shall be issued by the Owner unless the Owner assures the
Contractor, in writing, that lawful appropriations to cover the costs of the additional work
has been made or unless such work is covered under a remedy -granting provision contained
in the Contract.
IN WITNESS WEIFREOF, the parties hereto have executed, or caused to be executed by their duly
authorized officials, this Agreement in three (3) copies each of which shall be deemed an original on the date
first above written.

no previous experience with Langston Concrete Inc.; however, after calling the supplied references and noting the
following agencies that Langston Concrete Inc. is pre qualified and licensed to work for.

Aggregate crushing and screening in various Weld County pits. The below pricing will remain
good for a period of not more than five (5) years and is intended to be applicable toward any pit
owned and/or operated by Weld County within such county limits.

Fuel Cost Adjustment
• The cost for crushing would remain the
same at $2.31 per ton unless diesel fuel
cost goes over $3.00 per gallon. For
every 10 cent rise in fuel cost per gallon,
crushing cost would rise 8 cents per ton.
For example, if fuel costs $3.00 per
gallon, crushing costs $2.31 per ton. If
fuel costs $3.09 per gallon, crushing stays
the same at $2.31 per ton. If fuel costs
$3.10 per gallon, then crushing cost rises
to $2.39 per ton. The diesel fuel price per
gallon is based off a price index
published on a website by OPIS. The base
cost of $2.31 per ton, however, will not
be lowered when fuel is under $3.00 per
gallon.

1) Unit cost is based upon the complexity of the item as shown. Additional work may
require unit cost adjustment.
2) This estimate does not include any cost for dewatering, blasting, potholed utility
locations, or other unknown or unforeseen complications.
3) This estimate is good for 30 days from the date as signed hereon, but may be withdrawn
by us if not accepted within 10 days.
4) All material is guaranteed to be as specified and the above work to be performed in
accordance with specifications submitted for above work and completed in a substantial
workmanlike manner for the sums as shown above with payments to be made on monthly
or bi-monthly billing cycle.
5) Any alteration or deviation from the above specifications including extra cost will be
executed only upon written orders, and Will become an extra charge over and above the
estimate. All agreements contingent upon strikes, accidents or delays beyond contractors
control.
6) This proposal is an estimate of cost and is based upon completion of similar projects.
Changes in scope, materials, quantities or other items will require re-evaluation and
additional acceptance of this estimate.
LIMITATION OF LIABILITY: By signing the acceptance statement below, the undersigner
hereby agrees to limit the liability of LANGSTON CONCRETE, INC to the amount of damages
incurred or to the amount of our liability insurance, whichever is lower. In no event may
LANGSTON CONCRETE, INC be held liable for any damages beyond those incurred as a direct
result from work performed by LANGSTON CONCRETE, INC., specifically including, but not
limited to, delays in construction schedule, materials and labor from other subcontractors and/or
suppliers, or any other claim not residing under the direct responsibility of LANGSTON
CONCRETE, INC.
