HomeMy WebLinkAbout20092550.tiffRESOLUTION RE: APPROVE CONTRACT AMENDMENT #1 FOR WELD COUNTY EMERGENCY EARLY WARNING AND SHELTER SYSTEM PROJECT AND AUTHORIZE CHAIR TO SIGN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with Contract Amendment #1 for the Weld County Emergency Early Warning and Shelter System Project between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Office of Emergency Management, and the Colorado Department of Local Affairs, commencing upon full execution, with further terms and conditions being as stated in said amendment, and WHEREAS, a hearing before the Board was held on the 21st day of September, 2009, at which time the Board deemed it advisable to continue said matter to September 28, 2009, based on staffs request, and WHEREAS, after review on September 28, 2009, the Board deems it advisable to approve said amendment, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that Contract Amendment #1 for the Weld County Emergency Early Warning and Shelter System Project between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Office of Emergency Management, and the Colorado Department of Local Affairs be, and hereby is, approved. Long 2009-2550 EM0014 EIAF #6605 — Weld County Emergency Early Warning & Shelter System CONTRACT AMENDMENT Amendment #: 1 Encumbrance #: F09S6605 Original Contract CMS or CLIN #: 09-1189 Amendment CMS #: („y-1 I 1) PARTIES This Amendment to the above -referenced Original Contract (hereinafter called the Contract) is entered into by and between the Board of County Commissioners, County of Weld (hereinafter called "Contractor"), and the STATE OF COLORADO (hereinafter called the "State") acting by and through the Department of Local Affairs, (hereinafter called "DOLA"). 2) EFFECTIVE DATE AND ENFORCEABILITY This Amendment shall not be effective or enforceable until it is approved and signed by the Colorado State Controller or designee (hereinafter called the "Effective Date"). The State shall not be liable to pay or reimburse Contractor for any performance hereunder including, but not limited to, costs or expenses incurred, or be bound by any provision hereof prior to the Effective Date. 3) FACTUAL RECITALS The Parties entered into the Contract for the purchase and installation of emergency equipment and the development of a county emergency shelter plan. 4) CONSIDERATION -COLORADO SPECIAL PROVISIONS The Parties acknowledge that the mutual promises and covenants contained herein and other good and valuable consideration are sufficient and adequate to support this Amendment. The Parties agree to replacing the Colorado Special Provisions with the most recent version (if such have been updated since the Contract and any modification thereto were effective) as part consideration for this Amendment. 5) LIMITS OF EFFECT This Amendment is incorporated by reference into the Contract, and the Contract and all prior amendments thereto, if any, remain in full force and effect except as specifically modified herein. 6) MODIFICATIONS The Amendment and all prior amendments thereto, if any, are modified as follows: a. Scope of Services: #1 Project Description, Objectives and Requirements: are modified as follows by deleting the current contract language and inserting the following: "The Project consists of the purchase and installation of 11 early warning sirens, 11 stationary generators, and the development of a county emergency shelter plan. Weld County (Contractor) is acting as the manager and coordinator for this multi -jurisdictional partnership project. The other partners include the municipalities of Ault, Eaton, Evans, Grover, Kersey, Johnstown, Milliken, Nunn, Pierce, Raymer, Severance, and Windsor. All partners receiving early warning sirens will submit an emergency operations plan that includes an integrated, multi -level early warning plan to the department. These partners will also need to purchase NOAA weather radios for themselves and develop a plan to educate citizens on weather radios and home emergency kits. These elements must be in place prior to final payment. One siren shall be installed in each of the municipalities of Ault, Eaton, Evans, Grover, Kersey, Johnstown, Milliken, Raymer, Nunn, Pierce, and Severance. A generator will be installed in each of the town halls of Grover, Kersey, Johnstown, Milliken, Nunn, Pierce, and Severance. In addition, a generator will be installed at the high schools in Ault and Eaton plus the community building in Raymer and the community center in Windsor. It is anticipated the county will apply for a FEMA training which will include the county and the local government jurisdictions in the county. Eligible expenses include the purchase and installation of 11 sirens and 11 generators. " Page 1 of 3 Form Revised: 11/20/08 (9009 - a 551- EIAF #6605 — Weld County Emergency Early Warning & Shelter System 7) START DATE This Amendment shall take effect on the later of its Effective Date or September 30, 2009. 8) ORDER OF PRECEDENCE Except for the Special Provisions, in the event of any conflict, inconsistency, variance, or contradiction between the provisions of this Amendment and any of the provisions of the Contract, the provisions of this Amendment shall in all respects supersede, govern, and control. The most recent version of the Special Provisions incorporated into the Contract or any amendment shall always control other provisions in the Contract or any amendments. 9) AVAILABLE FUNDS Financial obligations of the state payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted, or otherwise made available.
