ARTICLES OF MERGER
of
CROFT CREEK RANCH COMPANY
(a Colorado Corporation)
into
TWO E RANCHES, INC.
(a Colorado Corporation)
The Surviving Corporation
Pursuant to the provisions of the Colorado Corporation
Act, the undersigned corporations adopt the following Articles
of Merger:
FIRST: The Plan of Merger whereby Crow Creek Ranch
Company is merged into Two E'Ranches, Inc., the surviving
corporation, is as follows:
PLAN OF MERGER
This Plan of Merger sets forth the terms and conditions
agreed upon (the "Merger") by which Crow Creek Ranch Company,
a Colorado corporation (hereinafter called "Crow Creek") shall
be merged into Tuo E Ranches, Inc., a Colorado corporation
(hereinafter called "Two E" or the "surviving corporation")
under applicable laws of the State of Colorado.

ARTICLE I
Merger and Designation
of Surviving Corporation
Crow Creek shall be merged into Two E, which shall be
the surviving corporation. Two E as such surviving corporation,
shall have all the rights, privileges, immunities and powers,
and shall be subject to all the duties and liabilities of a
corporation organized under the Colorado Corporation Code,
ARTICLE II
Terms and Conditions
The terms and conditions of the Merger, and the mode
of carrying it into effect, are as follows:
1. The Merger shall become effective as of the close
of business on April 30, 1968, providing (i) it shall have been
approved by corporate action hereinafter provided, and (ii) duly
executed and verified Articles of Merger incorporating this Plan
of Merger shall have been filed in the Office of the Secretary
of State of the State of Colorado, and all other requirements
of law shall have been met. The time when the Merger shall.
become effective is referred to in this Plan of Merger as the
"effective date of the Merger".
2. Except as herein otherwise specifically set forth,
the corporate identity, existence, purposes, powers, franchises,
rights and immunities of the surviving corporation shall contin-
ue unaffected and unimpaired by the Merger, and the corporate
identity, existence, purposes, powers, franchises, rights and
immunities of Crow Creek shall be merged into the surviving
corporation. The separate corporate existence of Crow Creek,
except insofar as the same may be continued by statute, shall
cease upon the effective date of the Merger.

3. The Articles of Incorporation of Two E shall contin-
ue to be the Articles of Incorporation of the surviving cor-
poration following the effective date of the Merger, except as
herein amended, and until the same shall be altered or amended
according to the provisions thereof and the laws of the State
of Colorado. From and after the effective date of the Merger,
the surviving corporation shall have the right to amend its
Articles of Incorporation as authorized by the laws of the State
of Colorado at the time in force.
4. The By -Laws of Two E shall continue to be the By -
Laws of the surviving corporation following the effective date
of the Merger, and until the same shall be altered or amended
according to the provisions thereof or the laws of the State of
Colorado.
5. The surviving corporation shall pay all expenses
properly attributable to Crow Creek in carrying the Merger
into effect.
6. Upon the effective date of the Merger, all rights,
privileges, immunities and franchises, as well of a public as
of a private nature, and all property, real, personal and mixed
and all debts due on whatever account, and
action and all and every other interest of
Crow Creek shall become and be transferred
Two E as the surviving corporation without

against it to the same extent as if they had been incurred or
contracted by it.
7. If at any time Two E shall consider or be advised
that any confirmatory deeds, acknowledgments or assurances in
law or other similar actions are necessary or desirable in order
to vest, acknowledge or confirm in and to Two E for record pur-
poses or otherwise, any right, title or interest of Crow Creek
held immediately prior to the effective date of the Merger, Crow
Creek and its proper officers and directors shall and will execute
and deliver all such confirmatory deeds, acknowledgments or as-
surances in law and do all things necessary or proper to vest,
acknowledge or confirm such right, title or interest in Two E
as shall be necessary to carry out the purposes of this Plan
of Merger. All such confirmatory deeds, acknowledgments or
assurances, whether given at or after the effective date of the
Merger, shall be sufficient if executed by -the former officers
or directors or their nominees of Crow Creek, and the proper
officers and directors of Crow -Creek, and the proper officers
and directors of Two E are fully authorized in the name of
Crow Creek or otherwise to take any and all such action.
ARTICLE III
Directors and Officers
1, The number of directors of the surviving corporation
shall be three. The names and addresses of the directors who
shall hold office from the effective date of the Merger until
the annual meeting of shareholders of the surviving corporation
next following the effective date of the Merger, and until their
successors are chosen and qualified, are as follows:

2. The officers of the surviving corporation who shall
hold office from the effective date of the Merger and until
their successors shall have been chosen or appointed according
to law or the By -Laws of the surviving corporation, and their

ARTICLE IV
Capital •
1. Immediately prior to the effective date of the Merger,
Two E shall have authority to issue 49,000 shares of Common
Stock ($1 par value), all of which shall have been duly issued
and be outstanding.
2. Immediately prior to the effective date of the Merger,
Crow Creek shall have authority to issue 199,000 shares of
Common Stock ($1 par value), of which 178,000 shares shall have
been duly issued and be outstanding.

3. Immediately after the effective date of the Merger,
the surviving corporation shall have authority to issue 150,000
shares of Common Stock ($1 par value), of which 77,202 shares
shall be duly issued and outstanding.
ARTICLE V
Disposition of Shares
of constituent Corpora on
The manner and basis of converting the issued and out-
standing shares of Crow Creek and Two E into shares of the sur-
viving corporation shall be as follows:
1. Forthwith upon the effective date of the Merger, the
178,000 issued and outstanding shares of Common Stack ($1 par
value) of Crow Creek, and all rights in respect thereof, shall
be converted into and become 28,202 fully paid and non -assess-
able shares of the Common Stock ($1 par value) of the surviving
corporation. As soon as practicable after the effective date
of the Merger, the certificates representing shares of the Com-
mon Stock ($1 par value) of Crow Creek issued and outstanding
on the effective date of the Merger, shall be surrendered to
the surviving corporation for exchange in accordance with this
Section, and shall be canceled.
2. The shares of Common Stock ($1 par value) of Two
E to be issued and outstanding immediately prior to the effec-
tive date of the Merger shall remain as issued and outstanding
shares of Two E after the effective date of the Merger without
any requirement for exchange or reissue.

ARTICLE VI
Amendment to Articles of Incorporation
of the Survf in& Corporation
Upon the filing of Articles of Merger incorporating
this Plan of Merger, the Articles of Incorporation of the stir=
viving corporation shall be amended as' follows:
Article IV shall be amended as follows:
STOCK
"The authorized capital stock of this corporation
shall be One Hundred Fifty Thousand (150 000) shares of
common stock all of which shall be of the par value of
One Dollar ($1.00) per share. Each and every share of
common stock of the corporation shall be issued, held,
owned and transferred, subject to such restrictions or
conditions relating to the sale, transfer or alienation
thereof as shall be provided by the by-laws then in force
and effect. All certificates of stock issued shall have
endorsed thereon any such conditions or restrictions
and that they are transferable only in accordance therewith.
All stock shall be issued fully paid and non -assessable
and all unissued stock. may be issued and sold by the dir-
ectors at such prices -or for such considerations as they
may deem reasonable."
ARTICLE VII'
Corporate Approval
This Plan of Merger shall be submitted to the Board of
Directors of each of the corporate parties hereto either at
meetings called for such purpose or for their unanimous action
without a meeting. If approved by the required vote of the
Boards of Directors of both such corporate parties, this Plan
of Merger shall be submitted to the shareholders of each of the
corporate parties hereto either at meetings called for such
purpose or for their unanimous action without a meeting. If
approved by the affirmative vote of the holders of at least

two-thirds of the outstanding shares of each corporate party,
Articles of Merger in the form required by law shall be filed
with the Secretary of State of the State of Colorado.

SECOND: As to each corporation the number of shares
outstanding is as follows:
Crow Creek Ranch Company — 178,000 Shares
Common Stock ($1 par value)
Two E Ranches, Inc. 49,000 Shares
Common Stock ($1 par value)
Neither corporation has shares outstanding entitled to vote as
a class on the Plan of Merger.
THIRD: As to each corporation the number of shares voted
for and against the Plan of Merger, respectively, is as follows:
