RE: APPROVE MASTER PROFESSIONAL SERVICES AGREEMENT AND AUTHORIZE
CHAIR TO SIGN - 3T SYSTEMS, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Master Professional Services Agreement
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Services, Building Healthy
Marriages Program, and 3t Systems, Inc., commencing upon full execution, with further terms and
conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Master Professional Services Agreement between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf
of the Department of Human Services, Building Healthy Marriages Program, and 3t Systems, Inc.,
be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 8th day of June, A.D., 2009.

Master Professional Services Agreement between the Weld
County Department of Human Services' Building Healthy
Marriages and 3t Systems
Enclosed for Board Approval of the Master Professional Services Agreement between the
Department of Human Services' Building Healthy Marriages and 3t Systems. This
Agreement was presented at the Board's May 27, 2009, Work Session.
Building Healthy Marriages (BHM) has entered into an agreement via the JAC and SB94
with 3t Systems to design a data management system that will also assist in making
interagency referrals a smoother process for both the referral source and the client. The
agreement presented here will encompass the purchase of 10 pre -paid time and maintenance
hours by BHM at a cost of $183/hr (total of $1830) and will be paid for with BHM grant
dollars. These hours will allow 3t to perform maintenance work on the system.
The Master Professional Services Agreement (MPSA) with the BHM Times and Material
(TM) document spell out the terms of the working relationship between 3t and BHM now
that the design work is complete. The BHM Change Request document demonstrates the
process in which the 10 hours will be managed.

This Agreement is governed by the terms and conditions of the Master Professional Services
Agreement (MPSA) executed between Big Tree, Inc., by and through its wholly -owned
subsidiary 3t Systems, Inc., and Building Healthy Marriages ("Client").
SUMMARY OF SERVICES
This contract contemplates the provision of certain services by 3t Systems, Inc. ("3t"), such as
proactive maintenance, reactive support and strategic planning, to Building Healthy Marriages
("Client") specific to Client's ongoing IT support and growth needs. Comprehensive support and
strategic planning will help lower Client's total cost of technology ownership by catching
problems before they impact the business, improve Client's ability to respond to changing
business conditions, and ensure high availability at a predictable monthly cost.
Services Provided
3t agrees to supply Client with consulting and technical support services on a per -hour basis.
Specifics of this support include:
• 3t will provide up to 10 hours of support for the application and database on the website
hosted by 3t Systems and used by Building Healthy Marriages, including production issues
on the Client's system.
• Support will be provided by either a 3t Senior Consultant or a 3t Architect.
• Client understands that there are typically 3-5 business days of lead time when scheduling a
resource for support.
• This includes support for up to three Authorized Contacts. To specify which Client
employees are authorized to call in for support, please fill out Appendix A: Authorized
Contact Form.
• All labor overages in excess of those described above will be invoiced on a time and
materials ("T&M") basis according to 3t Systems Standard Rates, (see Appendix B: 3t
Systems Standard Rates). Unless otherwise provided herein, travel expenses for T&M
onsite work will be billed according to the Master Professional Service Agreement (MPSA).
Term of Performance
The hours included in this agreement are valid for 12 months from signature date. Any hours
remaining at contract expiration are forfeited and will not be carried over into future agreements.

Costs
$1830.00 —10 hours at $183.00 per hour
Fees will be due upon execution of this agreement. Any amounts remaining unpaid after thirty
(30) days from the date of invoice shall accrue interest at a rate of the lesser of: (a) 1.5% per
month; or (b) the highest rate allowed by law. If collection procedures are required, Client agrees
to pay all expenses of collection and all reasonable attorneys' fees and costs incurred by 3t in
connection with such collection proceeding, regardless of whether or not a suit is filed. Failure of
Client to make any payment of any fees within thirty (30) days of the due date shall be sufficient
cause for the immediate suspension of the Services until Client's account is brought current.

Client and 3t Responsibilities
The success of this Agreement requires a commitment of resources from Client and 3t. The
following list allocates the responsibilities among the parties:

• Participate in business planning sessions and provide pricing, business case explanations,
and other context for additional projects
• Provide a business escalation point
Client Commitments
• Provide 3t with a primary Client contact available during business hours
• Provide necessary executive sponsorship
• Participate in the planning and implementation processes where appropriate
• Provide all requested systems' documentation and other materials if needed
• Review, comment, and approve all provided documents in a timely manner
Assumptions
• Client will provide adequate bandwidth (including latency and packet loss) for connectivity to
the Internet.
• Client verifies that all manufacturer warranties for their server, routing and firewall appliances
are up-to-date and authorizes a 3t Consultant to contact these manufactures on behalf of
Client for support if needed.
• Client verifies that all business critical software licensing and support agreements are up-to-
date with their respective vendors and authorizes a 3t Consultant to contact these software
vendors on behalf of Client for support if needed.
• 3t resources will have necessary access to client environment, including those located at
remote locations.
• Requested enhancements that are deemed out of scope will be discussed with client and
handled on a T&M basis according to 3t Systems Standard Rates, (see Appendix B: 3t
Systems Standard Rates).

APPENDIX A: AUTHORIZED CONTACT FORM
In order to expedite the response and resolution time for trouble tickets opened with the Service
Desk, 3t Systems requests that a limited number of contacts be designated as "Authorized
Contacts" for each client.
Only authorized contacts will be able to open trouble tickets with the Service Desk. If an
unauthorized caller contacts the Service Desk, he/she will be directed to work with one of the
authorized callers to open the ticket. Please contact your 3t Systems account executive with
any questions.

This agreement is made and entered into on the last date of signature below by and between
Big Tree, Inc., by and through its wholly -owned subsidiary 3t Systems, Inc., and Building Healthy
