CAMAS COLORADO, INC., an Indiana corporation
WITH AM) .INTO

PLAN OP MERGER approved on December 22, 2000 by CAMAS Colorado, Inc.,
a business corporation of the State of Indiana ("CAMAS"), and by resolution adopted by its Board
of Directors on said date, and approved on December 22, 2000 by Aggregate Idustries-WCR,,iac.,
a business corporation organized under the laws of the State of Colorado ("AI WCR"), and by
resolution adopted by its Board of Directors on said date.
I. At 11:54 pan. M.S.T. on December 31. 2000 (the "effective time and date")
CAMAS shall, pursuant to the provisions of the Indiana Business Corporation Law and of the
Colorado Business Corporations Act, be merged with and into AI-WCR, which shall be the
surviving corporation at the effective time and date of the merger and which is sometimes
hereinafter tcfcucc1 to as the "surviving corporation", and which shall continue to exist as said
surviving corporation under its present name pursuant to the provisions of the Colorado Business
Corporation Act. The separate existence of CAMAS, which is sometimes hereinafter .referred to as
the "terminating corporation", shall cease at the effective time and date in accordance with the
provisions of the InchanaBusiness Corporation Law.
2. The Articles of Incorporation of the surviving corporation as in force and effect
at the effective time and date of the merger in the State of Colorado shall be the Articles of
lt,aoap<naiion of said surviving corporation and said Articles of Incorporation shall eS mtinue in full
force and effect until amended and changed in the manna prescribed by the laws, of the State of
Colorado.
3. The bylaws of the surviving corporation as in fate and effect at the effective
time and date of the merger will be the bylaws of said surviving corporation and will continue in
full fame and effect until changed, altered, or amended as therein provided and in the mariner
presetibed by the provisions of the laws of the State of Colorado.
4. The _ directors and officers in office of the surviving corporation upon the
effective date of the merger shall be the members of the fast Board of Directors and the first
officers of the surviving corporation, all of whom stall hold their fps and offices until the
election and qualification of their respective suxessots or until their tenure is otherwise teaatinated
in accordance with the bylaws of the surviving won.
5. Each issued share of the terminating corporation shall, upon the effective date of
the merger, be converted into five shares of the surviving corporation, and the issued shares of the
terminating corporation shall be canceled. The issued shares of the surviving corporation shall not
be converted in any manner.

6. The Plan of Merger herein mane and approved shall be submitted to the sole
shareholder of.the terminating corporation for its approval or rejection in the manner prescribed by

corporation for its approval or rejection in the minter pnssetlbed by the laws of the State of
Colorado.
7. If the Plan of Merger shall have been approved by the sole she eholder of the
terminating corporation in the manner prescribed by the provisions of the Indiana Business
Corporation Law and by the sole shareholder of the surviving corporation in compliance with the
laws of the State of Colorado, the terminating corporation and the surviving corporation hereby
stipulate that they will cause to be executed and filed and/or recorded any document or dommients
prescribed by the laws of the State of Indiana and by the State of Colorado, and that they will cause
to be performed all necessary acts therein and elsewhere to effectuate the merger.
8. The Board of Directors and the proper officers of the termiiaating corporation and
of the surviving corporation, respectively, are hereby authorized, empowered; and directed to do
any and all acts and things, and to make, execute, deliver, file, and/or record any and all
ice, papers, and documents which shall be or become necessary, proper, or convenient to

EASEMENT AGREEMENT
THIS EASEMENT AGREEMENT ("Easement Agreement") is entered into this
10th day of May, 2000, by and between Ed Orr ("Grantor") and CAMAS Colorado, Inc.,
an Indiana corporation d/b/a Aggregate Industries - West Central Region ("Grantee").
WITNESSETH
WHEREAS, Grantor owns certain real property more fully described on Exhibit
A hereto (the "Grantor's Property"); and
WHEREAS, Grantee owns certain real property more fully described on Exhibit
B. hereto (the "Grantee's Property"); and
WHEREAS, Grantor desires to grant to Grantee an access easement pursuant to
the terms and conditions described herein for access to Grantee's Property; and
WHEREAS, Grantor also desires to grant to Grantee an easement across
Grantor's Property for the construction, use, operation, connection, installation, repair,
maintenance and replacement of a conveyor system for the purpose of transporting
aggregate materials to Grantee's Property pursuant to the terms and conditions described
herein.
NOW, THEREFORE, in consideration of the foregoing premises, the terms and
provisions herein contained, and other good and valuable consideration, the receipt and
sufficiency of which are hereby expressly acknowledged, Grantor and Grantee hereby
state, declare and agree as follows:

1. Grantor hereby grants, sells, transfers and conveys to Grantee, its
employees, agents, licensees, contractors, invitees, successors and assigns, a temporary
non-exclusive easement on, over and across that portion of Grantor's Property as more
particularly described in the description attached hereto and incorporated herein as
Exhibit C (the "Access Easement") for construction, use, repair, maintenance and
replacement of a road twenty feet wide for the purpose of vehicular and pedestrian
access, ingress and egress to Grantee's Property. Grantee shall bear sole responsibility
for maintenance of the Access Easement which is located on Grantor's Property.
2. Grantee shall have no right whatsoever to construct or place any structure,
fence, building or other improvements on Grantor's Property or otherwise to interfere
with the use and operation thereof by Grantor, its agents, guests and invitees, except to
the extent reasonably necessary to maintain the Access Easement, as provided in
paragraph 1 above.
3. Grantor hereby grants, sells, transfers and conveys to Grantee, its
employees, agents, licensees, contractors, invitees, successors and assigns, a temporary
non-exclusive easement on, over and across that portion of Grantor's Property as more
particularly described in the description attached hereto and incorporated herein as
Exhibit D (the "Conveyor System Easement"), thirty feet wide, for the construction, use,
operation, connection, installation, repair, maintenance and replacement of a conveyor
system for the purpose of transporting aggregate materials to Grantee's Property.
Maintenance, repair and reconstruction of the conveyor system will be the responsibility
of Grantee at its sole cost and expense.

4. In the event the parties determine, prior to the construction of the
conveyor system, that it is in the best interest of both parties to relocate the conveyor
system to a more desirable location, and upon the request by either party, the other party
shall not be unreasonable in its consent of such relocation. Upon the request of Grantor,
prior to the construction of the conveyor system, Grantee shall provide for crossing of
the conveyor system to provide for pedestrian and equestrian access across the
Conveyor System Easement.
5. Notwithstanding the foregoing provisions, in the event that any fencing is
necessary, as determined by Grantee, in its reasonable discretion, Grantor shall install,
at its sole cost and expense, within 30 days of notice from Grantee, a six foot high chain
link security fence parallel to the Conveyor System Easement.
6. The term of the temporary Easement shall commence on the date hereof
and shall continue until the date upon which Grantee has completed its mining activities
on that part of the Grantee's Property, known as Lob B of Recorded Exception #0805-
32-7-RE1539, as determined in Grantee's sole discretion. Following the termination of
the Easement, Grantee shall, upon the request of Grantor, execute and deliver to Grantor
a document confirming the termination of this Easement, which may be filed of record
in the County and State in which the Property is located. Grantee shall, within ninety
days of such request, remove the conveyor system and reclaim the easement to its
present condition.
7. Grantor retains the right to the undisturbed use and occupancy of
Grantor's Property insofar as such use and occupancy is consistent with and does not
impair any rights granted in this Easement Agreement.

8. Grantor hereby represents that he has the full right and lawful authority to
grant and convey the rights as described in this Easement Agreement.
9. The obligations contained herein shall be covenants running with the land.

MEMORANDUM OF AGREEMENT
This Memorandum of Agreement is made and entered into this'd day of
February. 2008, by and between David L. Bagley and Michaeleen M. Bagley, owners of
the following described real property, hereinafter called "Bagleys", and Ed Orr,
hereinafter called "Orr", to memorialize a Real Estate Contract dated the 11th day of
January, 2008 between Bagleys and Orr for the following described real property:
Lot A of Recorded Exemption No. 0805-32-1-RE1539, according to the map
recorded October 28. 1993 in Book 1408 at Reception No. 2357087, being a part
of the following described parcel:
All that part of the Easy/ of the Northeast' of Section 32, Township 6 North,
Range 66 West of the Sixth Principal Meridian, County of Weld, State of
Colorado, lying East of the following described line and North of the center line
of the Cache La Poudre River:
Commencing at the Northeast corner of said Section 32 considering the North line
of said Section 32 to bear North 90 degrees 00 minutes West and with all other
bearings described herein being relative thereto; thence North 90 Degrees 00
Minutes West along the North line of said Section 32, a distance 985.50 feet to
