Please be advised of the following with respect to the Rocky Mountain Energy Center, LLC
Power Generation Facility located on the real property more particularly described on Exhibit A
attached to this letter (the "Rocky Mountain Energy Center," which term shall include, without
limitation, the energy generation facility, water storage ponds and tanks, water wells, wellfield
improvements, water and gas pipelines, wellfield manifold building and pumps, and all ancillary
improvements and facilities):
a. The Rocky Mountain Energy Center is located within unincorporated Weld County
Colorado. The area of Weld County in which the Rocky Mountain Energy Center is
located is zoned A (Agricultural).
b. The portion of the Rocky Mountain Energy Center which comprises the electric power
generation facility and ancillary improvements is an authorized use under Weld County
Permit Number USR-1339, approved by the Weld County Board of County
Commissioners on August 28, 2002 and recorded in the Weld County Clerk and
Recorder's Office at Reception No. 2984090, and the Partial Vacation of Permit Number
2009-3024

USR-1339 approved by the Weld County Board of County Commissioners on
February 17, 2005 and recorded at Reception No. 3262509 (together, the "USR Permit").
Those portions of the Rocky Mountain Energy Center located outside of the real
property boundaries described in the USR permit are permitted uses in the A
(Agricultural) zone district.
c. The USR Permit is in full force and effect and has not been amended except as set forth
in the foregoing paragraph. All required Weld County permits relating to the construction
and operation of the Rocky Mountain Energy Center have been obtained and there are
no zoning violations with respect to the Property.
d. All public improvements required in connection with development and construction of the
Rocky Mountain Energy Center have been completed and accepted by Weld County.
