Dear Mr. and Ms. Marick:
This letter will define our agreement in regards to an annual payment for the portion of your
surface that is described in the Surface Easement Agreement recorded in Book 1099 Rec 02039485
in Weld County, Colorado.
Walsh Production, Inc. ("WPI"), or it's assigns, will tender an annual payment of One
Thousand Dollars ($1,000.00) to Fred D. or Roxanne L. Marick ("Marick") commencing on July 1,
2006 and every year thereafter, as long as the Surface Easement is in existence. In the event an
annual payment is not received by Marick, and upon notification to WPI by Marick, WPI will have
30 days, from date of notification, to tender said annual payment. In the event WPI does not tender
said annual payment, within 30 days of notification, the Surface Easement shall then terminate.
Upon termination of the Surface Easement, Walsh Production, Inc., or it's assigns, will no
longer be required to make additional annual payments. In the event there is a conflict between this
agreement and the Surface Easement Agreement, the Surface Easement Agreement shall control.

Walsh Production, Inc. ("WPI"), or it's assigns, will tender an annual payment of One
Thousand Dollars ($1,000.00) to Fred D. or Roxanne L. Marick ("Marick") commencing on July 1,
2006 and every year thereafter, as long as the Surface Easement is in existence. In the event an
annual payment is not received by Marick, and upon notification to WPI by Marick, WPI will have
30 days, from date of notification, to tender said annual payment. In the event WPI does not tender
said annual payment, within 30 days of notification, the Surface Easement shall then terminate.
Upon termination of the Surface Easement, Walsh Production, Inc., or it's assigns, will no
longer he required to make additional annual payments. In the event there is a conflict between this
agreement and the Surface Easement Agreement, the Surface Easement Agreement shall control.
