Suite 1555 Denver, Colorado 80293 ("Assignor"), does hereby grant, bargain, sell and convey unto Petro -Canada Resources (USA) Inc., a Colorado Corporation, whose address is 999 18th Street, Suite 600 Denver Colorado 80202 ("Assignee"), all of its right, title and interest in and to the oil and gas leases described on Exhibit "A" attached hereto (the "Leases") together with all the property and rights appurtenant or incident thereto, including, without limitation, (a) the rights of Assignor in oil, gas and associated substances and other minerals produced or producible from or attributable to the Leases or to any units, pooled areas or communitized areas that cover or include all or any portion of the Leases, and (b) the rights of Assignor in, to and under all operating agreements, exploration agreements, surface damage agreements, pooling or unitization agreements, farmout agreement, product purchase and sale contracts, pipeline and transportation agreements, processing and treatment agreements, leases, permits, rights -of - way, easements, licenses, options, orders, contracts, and instruments in any way relating to the Leases. TO HAVE AND TO HOLD the Leases unto Assignee, its successors and assigns forever. By its acceptance hereof, and effective the date of this Assignment and Conveyance, Assignee agrees to comply with all of the terms and conditions of the Leases. Assignee agrees to protect, indemnify and hold Assignor harmless from and against any and all cost, risk or expense relating directly or indirectly to Assignee or its agents, subcontractors, representatives, successors and assigns, non- compliance with the terms and conditions of the Leases. This Assignment and Conveyance may be executed in any number of counterparts, which taken together shall constitute one instrument and each of which shall be considered an original. Assignor hereby agrees to warrant and defend title to the Leases against any person or entity claiming or to claim the same by, through and under Assignor, but not otherwise.
