RE: APPROVE PURCHASE OF SERVICES AGREEMENT AND AUTHORIZE CHAIR TO SIGN
- UNITED WAY OF WELD COUNTY
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Purchase of Services Agreement
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Services, and the United
Way of Weld County, commencing July 1, 2008, and ending June 30, 2009, with further terms and
conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Purchase of Services Agreement between the County of Weld, State
of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Human Services, and the United Way of Weld County be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 29th day of June, A.D., 2009, nunc pro tunc July 1, 2008.

Purchase of Services Agreement between the Weld County
Department of Human Services and United Way of Weld
County
Enclosed for Board approval is a Purchase of Services Agreement between the Weld County
Department of Human Services and United Way of Weld County. This Agreement was
presented at the Board's June 8, 2009, Work Session.
This Agreement is for the use of Colorado Child Care Assistance Program funds for the
purposes of the following:
A. Actively participate in the planning, development, and implementation of the Weld County
Tiered Reimbursement System and all Quality Improvement Project Planning.
B. Provide services utilizing 211 as a mechanism to educate parents on what quality child
care is, what to look for and how to access it.
C. Utilize Promises for Children's Early Childhood Council's services in supporting and
promoting quality child care improvement projects.
D. Provide Burmese Advocate Resource Training for two bilingual Burmese refugees
Total amount for services shall not exceed $235,435.00.
The term of this Agreement is July 1, 2008 through June 30, 2009.

PURCHASE OF SERVICES AGREEMENT
THIS AGREEMENT is made and entered into this.2tj1-day of
2009 by and between the Weld County Department of Human Services, hereinafter
referred to as "DHS", and United Way of Weld County, hereinafter referred to as "United
Way".
WITNESSETH:
WHEREAS, DHS' goals are to improve the quality of child care provided by
licensed home and center providers caring for Weld County's children, and to ensure that
providers have the skills and tools needed to provide nurturing, and stimulating early
learning environments to promote children's school readiness skills; and
WHEREAS, United Way, has the expertise and knowledge to assist DHS and its
collaborative partners in its efforts to improve the quality of care children receive,
through its existing Child Care Resource and Referral Program, and
WHEREAS, United Way has the connections and information to market provider
services to all licensed home and center child care professionals in Weld County.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein, the parties hereto agree as follows:
1. TERM: The term of this Agreement shall be from July 1, 2008 through June 30,
2009.
2. SERVICES PROVIDED BY UNITED WAY: United Way agrees to assist and
report directly to DHS in its preparation of recruiting new providers, marketing
and providing professional development; mentoring; coaching; ratings driven
quality improvement purchases; quality improvement mini -grants and all other
quality improvement activities approved by DHS for 2008-2009.
A. United Way shall actively participate in the planning, development and
implementation of the Weld County Tiered Reimbursement System and all
Quality Improvement Project Planning, and in support thereof, shall complete the
following activities:
United Way shall provide nine (9)professional development child care
provider training sessions for a total of 18 clock hours of continuing education
training that the State Department. of Licensing requires, covering topics
approved by DHS; United Way's responsibilities for these training sessions
includes planning the logistics of the trainings, marketing the training session,
contracting for the trainer(s), preparation of all handouts related to the training,
creation of the pre and post assessment of each training session and analyses and
evaluation of the assessments to determine the knowledge gained at each training
session.

• United Way shall provide a full -day child care conference for a total of 6
clock hours of continuing education training; United Way's responsibilities for
this conference shall include securing location, logistics, planning, registration,
providing food, creating of the certificates of attendance, and the creation of
evaluation materials for the 500 child care providers who are expected to attend.
• United Way shall interview, sell and assist new providers through the
licensing application process; shall provide provider orientation training; shall
establish and oversee a mentee/mentor program, which matches a new provider to
a skilled experienced provider who then meets monthly with them and attends
trainings with them to assist them in creating a "quality" early learning
environments.
• United Way shall expand the Raising a Reader Program into two additional
classrooms for three to four years old children in child care centers, which trains
parents on they how and why reading every day to your child(ren) is important
both for language development and building school readiness skills.
• United Way shall encourage existing child care providers to go through the
Qualistar Rating process, and shall provide the Orientation to the Ratings
Training, shall provide qualified coaches to assist with the Getting Ready for
Ratings training and coaching assistance in preparation for the observation by
Qualistar, shall attend the Consultation following the rating, and shall assist with
the implementation of the Quality Improvement Plan presented by Qualistar.
• United Way shall provide mini -grants to appropriate area agencies which
offer direct services to children in order to improve the quality of care.
• United Way shall send staff to all training sessions which are required to
provide these services.
• United Way shall provide DHS with a full report at the end of the year for
all services provided by this contract.
The total of Item A's services shall not exceed $170,000.
B. United Way shall provide services utilizing 211 as a mechanism to
educate parents on what quality child care is, what to look for and how to access
it.
The total of Item B's services shall not exceed $16,970.
C. United Way shall utilize Promises for Children's Early Childhood
Council's services in supporting and promoting quality child care improvement
projects.
The total of Item C's services shall not exceed $10,000.
D. United Way shall provide Burmese Advocate Resource Training for two
bilingual Burmese refugees. This training will take 30 days and each of the
advocates will train for 20 hrs. per week x 4 weeks at $7.28/hr. The total of the
training for the two advocates will not exceed $1,165.
• United Way shall purchase containers that include hygiene and
educational materials to be distributed to 126 Burmese and East African children
between the ages of infancy to 12 years of age. Each child will receive their own
bag and the items in the bag will total no more than $10,600.
• United Way shall purchase, distribute televisions sets, DVD players and
educate 40 families with children on the use of the TV's and DVD players along
with the ESL DVD's to help each of the families learn the English language (40
families x $300 [TV, DVD player and DVD's]. DHS shall reimburse United Way
for the cost of these items for an amount not to exceed $12,000.
• United Way shall purchase a Wal-Mart Gift Card for $50 for each of the
106 Burmese and East African children. These gift cards will be used to purchase
clothing and/or school uniforms for the school age children. DHS shall reimburse
United Way for the cost of these gift cards for a total amount not to exceed
$5,300.
• United Way shall purchase car seats for the 64 Burmese and East African
children that meet the car seat regulations for being required to be in a car seat.
DHS shall reimburse United Way for the cost of these items for an amount not to
exceed $100 per car seat for a total of $6,400.
• United Way shall purchase cleaning supplies and train families on how to
maintain a clean home so that children are raised in a healthy environment. DHS
shall reimburse United Way for the cost of cleaning items for an amount not to
exceed $1,000.
The total of Item D's services and expenses shall not exceed $38,465.
Total services purchases shall not exceed $233,435.00
3. COMPENSATION: DHS agrees to pay United Way for professional and related
services and to reimburse United Way for the items it has agreed to purchase pursuant to
this Agreement in an amount not to exceed $233,435.00.
A. United Way shall submit an itemized bill for all costs incurred and services
provided pursuant to this Agreement in accordance with criteria established by
DHS. United Way shall submit all itemized billings to DHS no later than the
twenty-fifth (25) day of the month following the end of the Agreement period
for all costs incurred.
B. United Way agrees to comply with and upon request from DHS provide
accounting records demonstrating compliance (general ledger) to the single
audit requirements set forth in OMB Circular A-133 and the OMB Circular A-
133 Compliance Supplement.
C. Payments of costs incurred pursuant to this Agreement are expressly
contingent upon the availability of the Colorado Child Care Assistance
Program and Colorado Works or Temporary Assistance for Needy Families
(TANF) funds.
D. DHS shall not be billed for, and reimbursement shall not be made for time
involved in activities outside of those defined in this Agreement.
E. DHS may withhold any payment if United Way has failed to comply with the
Financial Management Requirements, program objectives, contractual terms,
or reporting requirements. In the event of a forfeiture of reimbursements,
United Way may appeal such circumstance to the Director of DHS. The
decision of the Director of DHS shall be final.
4. TERMINATION: Either party may terminate this Agreement at any time by
providing the other party with a 30 -day written notice thereof. Furthermore, this
Agreement may be terminated at any time without notice upon a material breach of the
terms of the Agreement.
5. TIME OF THE ESSENCE: Time is of the essence in each and all of the
provisions of this Agreement.
6. ENTIRE AGREEMENT/MODIFICATIONS: This Agreement constitutes the
entire understanding between the parties with respect to the promises and covenants made
therein. No modification of the terms of this Agreement shall be valid unless made in
writing and agreed to by both parties.
7. NON -APPROPRIATION: No portion of this Agreement shall be deemed to
create an obligation on the part of DHS to expend funds not otherwise appropriated in
each succeeding year.
8. WAIVER OF IMMUNITIES/THIRD PARTY LIABILITY: No portion of this
agreement shall be deemed to constitute a waiver of any immunities of DHS or its
officers or employees may possess, nor shall any portion of this Agreement be deemed to
have created a duty of care with respect to any persons other than Department of Human
Services and not a part to this Agreement.
IN WITNESS WHEREOF, the parties hereto have signed the date and year set forth
above.
