TO HAVE AND TO HOLD the Leases unto Assignee, its successors and assigns forever. By its acceptance hereof, and effective the date of this Assignment and Conveyance, Assignee agrees to comply with all of the terms and conditions of the Leases. Assignee agrees to protect, indemnify and hold Assignor harmless from and against any and all cost, risk or expense relating directly or indirectly to Assignee or its agents, subcontractors, representatives, successors and assigns, non- compliance with the terms and conditions of the Leases. This Assignment and Conveyance may be executed in any number of counterparts, which taken together shall constitute one instrument and each of which shall be considered an original. Assignor hereby agrees to warrant and defend title to the Leases against any person or entity claiming or to claim the same by, through and under Assignor, but not otherwise.
