RE: APPROVE MEMORANDUM OF UNDERSTANDING FOR CATERING SERVICES FOR
WELD COUNTY BARBEQUE AND AUTHORIZE CHAIR TO SIGN - CARLSON BBQ
SPECIALTIES
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Memorandum of Understanding for
Catering Services for the Weld County Barbeque between the County of Weld, State of Colorado,
by and through the Board of County Commissioners of Weld County, on behalf of the Weld County
Fair Board, and Carlson BBQ Specialities, commencing August 2, 2009, with further terms and
conditions being as stated in said Memorandum of Understanding, and
WHEREAS, after review, the Board deems it advisable to approve said Memorandum of
Understanding, a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Memorandum of Understanding for Catering Services for the Weld
County Barbeque between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Weld County Fair Board, and Carlson
BBQ Specialities be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said Memorandum of Understanding.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 27th day of May, A.D., 2009.

MEMORANDUM OF UNDERSTANDING
CATERING SERVICES FOR WELD COUNTY BARBEQUE
THIS MEMORANDUM OF UNDERSTANDING ("MOU") is made this del --day of
, 2009, by and between the Board of County Commissioners of Weld County, on

80631, hereinafter referred to as "BOCC," and Carlson BBQ Specialties, c/o Chuck and
Charlotte Carlson, whose address is 340 "C" Street, Greeley CO 80631, hereinafter referred to as
"Caterers."
WITNESSETH:
WHEREAS, the Weld County Fair is holding an event known as the "Weld County Fair
BBQ" at //; 3D.grn on Sunday, August 2, 2009, at the Island Grove Regional Park, Greeley,
Colorado (hereinafter referred to as the "Fair BBQ"), and
WHEREAS, BOCC has asked Caterers to provide a barbeque dinner for the Fair BBQ for
the price of $1,750, and
WHEREAS, the parties hereto desire to enter into this MOU for the purpose of defining
their agreement and responsibilities with respect to the Fair BBQ.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein, the parties hereto agree as follows:
1. CATERERS AGREE:
a. To prepare, cook and serve meat and beans for approximately 2,250
people at the Fair BBQ.
b. To work with Fair BBQ Committee to procure ingredients and other menu
items and to fill out all required health papers.
c. To provide staff to prepare, cook and handle meat and beans and to bring
all necessary equipment for cooking and carving.
2. BOCC AGREES:
a. To work with Caterers to procure ingredients and other menu items and to

h To ensure access to the preferred location at the Island Grove Regional
1' Park by Caterers prior to on Sunday, August 2, 2009, for

c. To provide utensils, plates, napkins, sauces, etc., for the Fair BBQ.
d. To assist Caterers to ensure that the setup for their work place at the Fair
BBQ is to their satisfaction.
e. To provide additional servers for the serving of the meal items, if needed.
£ To pay the sum of $1,750 to the Caterers at the conclusion of the Fair
BBQ.

To provide to Caterers, no later than ten (10) days prior to the Fair BBQ,
the anticipated number of persons to attend the Fair BBQ if significantly
fewer than 2,250.
h. To provide after service cleanup.
3. LIMITATION OF REMEDIES: The parties agree that in the Fair BBQ of a
dispute between them regarding their respective duties detailed herein, or in the
Fair BBQ of allegation of breach by either party, the remedies available shall be
limited to the value of the items to be provided.
4. ENTIRE AGREEMENT: This MOU contains the entire agreement and
understanding between the parties to this MOU and supersedes any other
agreements concerning the subject matter of this transaction, whether oral or
written. No modification, amendment, novation, renewal, or other alteration of or
to this MOU shall be deemed valid or of any force or effect whatsoever, unless
mutually agreed upon in writing by the undersigned parties.
