SURFACE EASEMENT AND USE AGREEMENT
This surface Easement and Use Agreement made this 25th day of
October, 1995, by and between Dennis D. Bringelson and Nancy L.
Bringelson, whose address is 48904 CR 127, New Rayner, CO 80742,
(herein called "Owner") and Walsh Production, Inc., whose address
is P.O. Box 30, Sterling, CO 80751 (herein called "Walsh"). In
consideration of the mutual covenants and agreements contained
herein, the parties agree as follows:
1. Scone. Owner is the surface owner of the following
land located in Weld County, Colorado, (herein referred to as the
"Lands").

Section 4: A TEN (10) ACRE TRACT SURROUNDING THE
EXISTING OIL AND GAS FIELD FACILITY LOCATED IN THE
SW/4 SW/4
2. Basement and Lands Use. Owner hereby grants, conveys and
transfers to Walsh an easement and right of way on, across and
through the Lands for the purposes of installing, maintaining,
reoil and gas facilities

together with full rights of ingress to and egress from the Lands
across other lands owned by Owner continuous thereto or in the
vicinity thereof. Owner shall not conduct any activities on the
Lands nor permit any other person to conduct any activities on the
Lands which will conflict with Walsh's easement and right of way
granted hereunder or the operations and activities of Walsh thereon. y use any

3. Consideration. Owner hereby acknowledges the receipt of
full, adequate and satisfactory consideration for the granting of

of the Lands. No additional payment or
required to maintain this grant in full force and effect.
4. Term. This Agreement shall continue in full force and
effect for a primary term of ten (10) years, and so long thereafter
as Walsh continues to utilize the Lands for the purposes granted
herein, and thereafter for a period of one (1) year, during which
time Walsh may either recommence the utilization of the Lands for
the purposes stated herein or remove all facilities, equipment and
materials therefrom and restore the surface.
