RE: AUTHORIZE SUSPENSION OF OIL AND GAS LEASE COVERING CERTAIN PROPERTY
OWNED BY WELD COUNTY, COLORADO - NE1/4, S14, T7N, R64W
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, Weld County is the owner of vast mineral lands located in Weld County,
Colorado, and
WHEREAS, pursuant to paragraph #16 of the Lease approved on December 7, 2005, by
Resolution #2005-3589, Petro -Canada Resources (USA) Inc., submitted a request to suspend the
lease of 160.0 net mineral acres, more or less, described to -wit:
NE1/4 of Section 14, Township 7 North, Range 64
West of the 6th P.M., Weld County, Colorado, and
WHEREAS, after review, the Board deems it advisable to approve said request, submitted
by Petro -Canada Resources (USA) Inc., to suspend the lease on the above -described mineral
acreage, for a period of one year, commencing April 27, 2009, and ending April 26, 2010, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the request submitted by Petro -Canada Resources (USA) Inc., to suspend
the lease on the above -described mineral acreage, for a period of one year, commencing April 27,
2009, and ending April 26, 2010, be, and hereby is, granted and approved.

Dear Bruce:
Reference is made to your conversation of March 18, 2009 with Karen Shafer in our office regarding Petro -
Canada's ("PCR") request for "suspension of obligation" pursuant to paragraph 16 of the captioned Lease.
As discussed, PCR drilled and completed as producer, the Shable 14-11 well ("the Well"), and was shut-in on
January 21, 2009.
PCR hereby requests a suspension of our obligation to produce gas under the terms of the Lease, and pursuant to
paragraph 16, it shall be deemed that gas is being produced under the Lease in paying quantities.
In accordance with the above, and pursuant to paragraph 16 of the Lease, PCR shall submit a shut in royalty on or
before December, 2009 (one year from original lease expiration of December 6, 2008) in accordance with the
minimum requirement for the shut in royalty.
