KNOW ALL MEN BY THESE PRESENTS, that William Hoff and
William H. Hoff, father and son, whose addresses are City of
Keenesburg, County of Weld and State of Colorado, for the
consideration of Ten Dollars ($10.00) in hand paid, and
other valuable considerations including the fact that the
real estate and property described herein has been held and
farmed by William Hoff, Katharine M. Hoff and William H.
Hoff, husband, wife and son respectively, as a family
partnership, and that the true ownershipof said property is
not clearly reflected in the real estate records of Weld
County, Colorado; that following the death of Katharine M.
Hoff on January 20, 1976, a dispute as to true ownership of
said property has existed between William Hoff and William
H. Hoff; and that as a full settlement of all claims by
William Hoff and William H. Hoff, each against the other,
they have agreed to transfer all of said property to them-
selves as tenants in common, and that this deed has been
drafted in consummation of said settlement. Therefore, said
William Hoff and William H. Hoff hereby sell and convey
their respective interests to William Hoff and William H.
Hoff,whose addresses are City of Keenesburg, County of Weld
and State of Colorado, as tenants in common and not as joint
tenants, the following real estate and property, situate in

THIS PERSONAL REPRESENTATIVE'S DEED is made by Leslie Hoff, as Personal
Representative of the Estate of William H. Hoff, also known as William Harold Hoff, Deceased,
Grantor, Dacotah Concrete, Inc., a Colorado corporation, Grantee.
WHEREAS, the Last Will and Testament of the above -named decedent was made and
executed in the lifetime of the decedent and is dated November 4, 1980, which will was duly admitted
to probate on November 21, 1995; and the Grantor is the duly qualified and acting personal
representative of said estate, being Probate No. 95 PR 242, Weld County, Colorado.
THEREFORE, for the consideration of Sixty Thousand and no/100 Dollars ($60,000.00)
Grantor sells and conveys to Grantee, the following described real property in Weld County,
Colorado:

instrument recorded November 23, 1926 in Book 814 at Page 157,
with all appurtenances, subject to covenants, easements and restrictions of record, and subject to
