2009 Seal Coat Program (renewable bid for 2009/2010/2011)
THIS AGREEMENT, made this 26 day of April, 2010, by and between Weld County, Colorado,
hereinafter called "Owner" and Quality Resurfacing Co.
doing business as (an individual,) or (a partnership,) or (a corporation) hereinafter called "Contractor".
WITNESSETH: That for and in consideration of the payments and agreements hereinafter mentioned:
1. The Contractor will commence and complete the following: 2009 Seal Coat Program
described in the Invitation for Bids, Bid No. B0900077
2. The Contractor will furnish all of the material, supplies, tools, equipment, labor and other
services necessary for the construction and completion of the Project described herein.
3. The Contractor will commence the work required by the Contract Documents within ten (10)
calendar days after the date of the Notice to Proceed and will complete the 2010 Seal Coat
Program as specified in Commencement and Completion of Work Page 44 unless the period for
completion is extended otherwise by the Contract Documents.
4. The Contractor agrees to perform all of the Work described in the Contract Documents and
comply with the terms therein for the sum of $ 1.112.431.000, or as shown in the Bid Schedule.
5. The term "Contract Documents" means and includes the following:

6. The Owner will pay to the Contractor in the manner and at such times as set forth by the
Contract Documents, or otherwise agreed upon in writing.
7. This Agreement shall be binding upon all parties hereto and their respective heirs,
executors, administrators, successors, and assigns.
8. Contract Appropriations: The Owner hereby states and affirms that the amount of money
appropriated for this Contract is equal to or in exmcs of the Contract amount. No change
order to this Contract requiring additional compensable work to be performed, which
work causes the aggregate amount payable under the Contract to exceed the amount
appropriated for the original Contract shall be issued by the Owner unless the Owner
assures the Contractor, in writing, that lawful appropriations to cover the costs of the
additional work has been made or unless such work is covered under a remedy -granting
provision contained in the Contract
IN WITNESS WHEREOF, the parties hereto have executed, or caused to be executed by their duly
authorized officials, this Agreement in three (3) copies each of which shall be deemed an original on the

2010 Seal Coat Program
The project, 2010 Seal Coat Program, in general consists of:
❑ Slurry Seal on approximately 56 miles at various locations in Weld County.
❑ Sand Seal at one subdivision (70,400 SY)
(See project location maps starting on page 86)
The Owner has considered the Bid submitted by you for the above described Work in response to its
Invitation for Bids and Instructions to Bidders.
You are hereby notified that your Bid has been accepted in the amount of $ 1,112,431.00 or as shown in the
Bid Schedule.
You are required by the Instructions to Bidders to execute the Agreement and furnish the required
Performance Bond, Payment Bond and Certificates of Insurance within ten (10) calendar days from the
date of this Notice to you.
If you fail to execute said Agreement and to furnish said Bonds within ten (10) days from the date of this
Notice, said Owner will be entitled to consider all your rights arising out of the Owner's acceptance of your
bid as abandoned. The Owner will be entitled to such other rights as may be granted by law.
You are required to return an acknowledged copy of this Notice of Award to the Owner.

Project: The Weld County Seal Coat Program generally consists of applying a blend of liquid asphalt and aggregate to the
surface of paved roads on approximately one hundred and fifty miles annually. This program helps preserve and extend the life
of a paved road.

Contract Time Extension: The original Agreement for Professional Services is extended from 2009 to 2010 as
permitted by the contract. This extension is the second year of the four year term limit.

The 2009 Rate Schedule of the original contract shall be replaced with the attached

Bid Tab). The new total price of $1,112,431.00 submitted for services by Quality
Resurfacing is below the 2010 budget of $1,300,000.

RE: Quality Resurfacing Inc., Bid #B0900077, Change Order 1 for Paved road seal coat services 2010.
DEPARTMENT: Public Works DATE: March 11, 2010
PERSON REQUESTING: Dean Dreher, Pavement Management Supervisor.
Brief description of the problem/issue: The original agreement for Services could be extended from 2009 to
2010 as permitted by the contract. This extension would be in the second year of the four-year term limit. The
2010 Rate Schedule of the original contract would be replaced with the attached Exhibit A, 2010 Rate Schedule.
Change Order 1 — Public Works is proceeding with annual seal coat operations for the preservation and
maintenance for our paved roads. We have used Quality Resurfacing Inc._for pavement seal coat operations
with satisfactory results. These services are required to maintain the condition of paved roads to extend their
service life. Attached is Change Order 1 outlining the scope of services and the cost to complete the project.
Quality Resurfacing Inc. estimates the cost for 2010 sealcoat program to be $1,110,363.00, which is below the
2009 second low bid. Refer to the Exhibit A attached as the 2010 resurfacing costs.
What options exist for the Board? (Include consequences, impacts, costs, etc. of options)
BOCC can either approve Change Order No. 1 or rebid the project.
Recommendation to the Board: I recommend approval of Change Order No. 1 to extend Bid #B0900077 for
Quality Resurfacing Inc. to provide seal coat services for 2010.

Weld County reserves the right to terminate this contract at any time if, in the opinion of the Public Works Director,
the successful contractor(s) are not performing according to provisions outlined in this contract or according to
Colorado Department of Transportation Standard Specifications for Road and Bridge Construction.
Approximate quantities to be purchased are stated for 2009. Approximate quantities for 2010 (500,000 SY) and 2011
(500,000SY) each year having between 40 and 60 miles of work, are provided for estimating purposes only. The
Contractor shall anticipate 20,000 to 40,000 SY of rejuvenator application. The Contractor shall also anticipate
application of crack fill material and striping for future maintenance programs for 2010 and 2011. Final quantities
will be provided to the successful bidder(s) upon the actual completion of Weld County's maintenance programs for
2010 and 2011. Weld County reserves the right to increase or decrease the quantities up to twenty-five (25%) percent
of the total bid as best fits its needs.
These instructions, the Proposal Form and Specifications have been developed with the hope of raising the standard of
purchase negotiations to the satisfaction of all concerned. Your cooperation is invited.
Material cost adjustments will be considered at the end of each calendar year that this contract represents. Any price
adjustments must be verified by justification of base bid cost increases of materials, labor or other associated items
included in the original cost of the material supply. Cost increases must be consistent with regional trends. Weld
County will use the Denver/Boulder CPI Index as a measure of reasonableness for justified increases. Price
adjustments will not be implemented without final approval from Weld County. Weld County reserves the right to
cancel this contract and re -bid the contract if, in the opinion of the Public Works Director, the cost increases are not
justified or consistent with regional trends.

6. The Owner will pay to the Contractor in the manner and at such times as set forth by the
Contract Documents, or otherwise agreed upon in writing.
7. This Agreement shall be binding upon all parties hereto and their respective heirs,
executors, administrators, successors and assigns.
8. Contract Appropriations: The Owner hereby slates and affirms that the amount of money
appropriated for this Contract is equal to or in excess of the Contract amount. No change
order to this Contract requiring additional compensable work to be performed, which
work causes the aggregate amount payable under the Contract to exceed the amount
appropriated for the original Contract shall be issued by the Owner unless the Owner
assures the Contractor, in writing, that lawful appropriations to cover the costs of the
additional work has been made or unless such work is covered under a remedy -granting
provision contained in the Contract

2009 Seal Coat Program
The project, 2009 Seal Coat Program, in general consists of:
❑ Rejuvenator seal coat work in two locations (25 Miles of paved shoulders).
❑ Slurry Seal on approximately 41 miles at various locations in Weld County.
❑ Sand Seal at four subdivisions (245,900 SY)
(See project location maps starting on page 86)
The Owner has considered the Bid submitted by you for the above described Work in response to its
Invitation for Bids and Instructions to Bidders.
You are hereby notified that your Bid has been accepted in the amount of $ 964,432.00 or as shown in the
Bid Schedule.
You are required by the Instructions to Bidders to execute the Agreement and furnish the required
Performance Bond, Payment Bond and Certificates of Insurance within ten (10) calendar days from the
date of this Notice to you.
If you fail to execute said Agreement and to furnish said Bonds within ten (10) days from the date of this
Notice, said Owner will be entitled to consider all your rights arising out of the Owner's acceptance of your
bid as abandoned. The Owner will be entitled to such other rights as may be granted by law.
