RESOLUTION
RE: AUTHORIZE EXTENSION OF OIL AND GAS LEASE COVERING CERTAIN PROPERTY
OWNED BY WELD COUNTY, COLORADO - E112, S21, T7N, R63W
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, Weld County is the owner of vast mineral lands located in Weld County,
Colorado, and
WHEREAS, Noble Energy submitted a request to extend the lease of 320.0 net mineral
acres, more or less, described to -wit:
E1/2 of Section 21, Township 7 North, Range 63
West of the 6th P.M., Weld County, Colorado, and
WHEREAS, Weld County desires to approve the request submitted by Noble Energy, to
extend the lease on the above -described mineral acreage for $136.00 per net mineral acre, for a
total sum of $43,200.00, together with a rental fee of one dollar ($1.00) per net mineral acre, which
is to run for a period of six (6) months, commencing at twelve o'clock noon on October 3, 2009, and
ending at twelve o'clock noon on April 3, 2010.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the request submitted by Noble Energy, to extend the lease on the
above -described mineral acreage for $136.00 per net mineral acre, for a total sum of $43,200.00,
together with a rental fee of one dollar ($1.00) per net mineral acres, which is to run for a period
of six (6) months, commencing at twelve o'clock noon on October 3, 2009, and ending at twelve
o'clock noon on April 3, 2010, be, and hereby is, granted and approved.

Ladies and Gentlemen:
Noble Energy, Inc. ("Noble") is the current leasehold owner of the referenced Weld
County Oil and Gas Lease ( the "Lease"). Enclosed for your reference is a copy of the
Lease as well as a copy of the Assignment from Contex Energy Company, the Lessee, to
Noble. The Lease is due to expire at twelve o'clock noon on October 3, 2009.
Noble is hereby making written application for an extension of the Lease under the terms
provided for in Paragraph 24. The extension will be for six (6) months from October 3,
2009, with a bonus payment of $43,200, which sum represents one-third of the original
bonus, plus $320.00 as the delay rental for the term of the extension. Enclosed is Noble's
check in the amount of $43,520.00. The royalty for the extended term will remain the
same.
Once the extension is granted, Noble plans to stake a well location on the leased lands in
order to obtain a Permit to Drill a well before the expiration of the extended term.
