HomeMy WebLinkAbout20091266.tiffRESOLUTION RE: APPROVE MEMORANDUM OF UNDERSTANDING CONCERNING TRANSFER OF PROPERTY, AUTHORIZE CHAIR TO SIGN, AND ACCEPT DONATION OF EQUIPMENT FROM NCMC, INC. WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Memorandum of Understanding Concerning the Transfer of Property between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Paramedic Service, and NCMC, Inc., commencing June 1, 2009, with further terms and conditions being as stated in said Memorandum of Understanding, and WHEREAS, after review, the Board deems it advisable to approve said Memorandum of Understanding, a copy of which is attached hereto and incorporated herein by reference, and WHEREAS, through the terms of the Memorandum of Understanding, NCMC, Inc., will donate a Zoll Auto Pulse machine to the Weld County Paramedic Service, and WHEREAS, it is the policy of Weld County to formally accept all donations via Resolution. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Memorandum of Understanding Concerning the Transfer of Property between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Paramedic Service, and NCMC, Inc., be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said Memorandum of Understanding. Long 2009-1266 AM0020 • • MEMORANDUM OF UNDERSTANDING CONCERNING THE TRANSFER OF PROPERTY This Memorandum of Understanding ("MOU") is made this jay of May, 2009, by and between the County of Weld, State of Colorado, by and through its Board of County Commissioners, whose address is 915 10th Street, P.O. Box 758, Greeley, CO 80632, on behalf of the Weld County Paramedic Services, ("Weld County"), and NCMC, Inc. ("NCMC" Inc.), whose address is 1801 16t Street, Greeley, CO 80631. SUBJECT PROPERTY: Weld County owns a Crossvent Portable ventilator used for the transport of critical care patients requiring ventilator support. NCMC Inc. owns a Zoll Auto Pulse used for performing cardiac compressions on patients suffering cardiac arrest. TRANSFER OF PROPERTY: 1. The Zoll Auto Pulse- NCMC Inc. has expressed an interest in donating the Zoll Auto Pulse to Weld County, and Weld County would like to accept the donation of the said Auto Pulse. 2. The Crossvent Portable Ventilator- Weld County has determined that the Crossvent Portable Ventilator is no longer required for County use, and NCMC Inc. has expressed an interest in the Crossvent Portable ventilator. State statute and the Weld County Code require that all items disposed of be declared surplus by the Board of County Commissioners. Weld County has determined that upon Resolution by the Board of County Commissioners declaring the said Crossvent Portable ventilator surplus property that they will advise to approve a donation of said Crossvent Portable ventilator to NCMC Inc. NO WARRANTY: Both parties agree to accept the donation of the said equipment from the other party, in an "as is" condition. Through this MOU, neither party provides or promises to the other party or the other party's clients any warranty with respect to the said equipment and/or the fitness and suitability of the said equipment for any particular purpose. NO REFERRALS: NCMC Inc.'s donation specified above is not contingent on Weld County making any recommendation, or referral, of any patient, directly or indirectly, to Banner Health d/b/a North Colorado Medical Center or any other Banner Health facility. 2009-1266 REQUIRED SIGNATURES: Each party agrees to sign or execute any documents that may be required to effect the valid legal transfer of the subject property as agreed in this MOU.
