DCP Midstream would like to install the meter as shown in the building permit (inside the existing USR-542 boundary), but install the pump just west of the existing USR-542 boundary (inside the proposed expansion USR boundary) -see attached drawing. Additionally, the concerns raised regarding the entrance to the proposed expansion are addressed on the plot plan as well. Both the NGL pump and the entrance are highlighted with bold text on the plot plan. Please let me know if the NGL pump being installed just west of the permitted location will be OK. Section 35: SE/4 Weld County, Colorado Dear Jeffrey R. Bricco: This letter confirms and sets forth the terms of the agreement between Kerr-McGee Oil & Gas Onshore LP ("KMG") and DCP Midstream LLP ("DCP") (collectively the "Parties") concerning the operation of KMG's wells and related facilities proximate to the Duke Mewbourne Plant ("Letter Agreement"). The Parties agreed to execute this Letter Agreement to allow KMG to withdraw its protest of DCP's USR 542 permit while KMG and DCP negotiate a more detailed and definitive surface use agreement. The promises exchanged by both parties to this Letter Agreement are valuable consideration. Accordingly, the Parties agree to the following terms: 1. KMG holds valid and subsisting oil and gas lease rights in the captioned property and operates eight existing wells on the surface owner's property, three of which are impacted by the proposed expansion of the Duke Mewbourne Plant. The three impacted wells and their surface location are noted below ("Impacted Wells"): Lorenz 16-35: SE/4 of Section 35 Lorenz 39-35: SE/4 of Section 35 HSR-Bob 16-35: SE/4 of Section 35 2. KMG's Impacted Wells, associated facilities and equipment, are located within its Oil and Gas Operations Areas, which are designed to include, for each of the wells, a 150 -foot setback from each wellhead and allow KMG to conduct its workover, recomplete, refrac and other well operations in a safe manner. The 150 -foot wellhead setbacks are established and designated pursuant to a surface use agreement with J. Oliver Lorenz and Elma Elizabeth Lorenz, dated April 4, 2006. 3. DCP's proposed expansion of the Duke Mewbourne Plant includes pipelines, fencing and possibly other facilities or equipment that will encroach on KMG's Oil and Gas • • • DCP Midstream LLP April 14, 2009 Page 2 Operations Areas and setbacks. 4. DCP hereby agrees to install two (2), three -hundred -foot (300 foot) sections of removable barbed-wire fence as part of the exterior barbed-wire fence that will encompass the plant, as expanded. The two removable sections of barbed-wire fence will traverse KMG's Oil and Gas Operations Areas, as depicted on Exhibit A to this Letter Agreement, which is incorporated herein by reference. 5. DCP further agrees to bury any and all DCP pipeline that traverses the Oil and Gas Operations Areas to a depth of at least four (4) feet below ground surface. 6. Release: It is expressly understood that DCP, on behalf of its officers, agents, directors, employees, predecessors, successors, assigns and affiliates hereby releases and forever discharges KMG, and its affiliates, general and limited partners and their officers, agents, directors, employees, insurers, contractors and representatives, predecessors, successors, parents, assigns and affiliates from any and all claims, damages, costs, including but not limited to, attorneys' fees and expert witness fees, actions, causes of action, suits, demands, covenants, contracts, or promises of every nature, character and description, known or unknown, arising out of or related in any way to the Impacted Wells regarding or in any way related to encroachment of DCP's Duke Mewbourne Plant on KMG's Oil and Gas Operations Areas, including but not limited to damaged or destroyed pipelines, or any other theory of law, including but not limited to, contract, tort, statutory, and/or regulatory with respect to the Impacted Wells. 7. Indemnity: DCP shall defend, release, indemnify, and hold harmless KMG, its respective affiliates, general and limited partners and their officers, directors, employees, agents, insurers, contractors and representatives and any person or entity not a party to this Letter Agreement (collectively, the "Indemnified Party") from and against all claims, damages, costs, including but not limited to, attorneys' fees and expert witness fees, losses, fines, demands, and causes of action of every kind and character ("Claims") arising out of or in connection with this Letter Agreement, (i) for bodily injury or death incurred by any member of the Indemnified Party or their invitees, or (ii) for property damage or property loss, including environmental damages or losses, incurred by any member of the Indemnified Party of their invitees.
