Annexation requires the consent of both the landowner and the annexing municipality, unless certain conditions—which are unavailable here—are met. The State Land Board has not provided, does not provide in this letter, and does not intend to provide any such consent at this time. The application should move forward accordingly. The Colorado Enabling Act and the Colorado Constitution require state trust lands be used to benefit public schools. We believe that the success of the proposed project is in the clear interest of the trust. Annexation into the Town, however, provides no clear demonstrable benefit to the trust. In fact, it is our understanding that, due to timing considerations relating to Weld Energy Storage, LLC's in-place agreements, the timeline required in pursuing annexation would jeopardize the success of the entire project. In sum, the State Land Board does not desire to annex the property associated with USR25-0018 at this time, as such annexation is not to the benefit of the trust. WELD COUNTY-SEVERANCE CPA This response letter meets the requirement of Section 19-13-50.A. of the Weld County Code which states, in part, that: "If the municipality submits recommendations, the County shall either include within its written decision the reasons for any action taken contrary to the same or furnish such reasons to the municipality by a separate writing." A review of the procedural actions and the applicable Code provisions, Weld County has determined that the actions taken have met the requirements for accepting and processing a USR under the Weld County Code, specifically Section 19-17-50.A of the Coordinated Planning Agreement (CPA) chapter. Weld County IGA Response USR25-0018 I Page 2 SEVERANCE FUTURE LAND USE MAP DESIGNATIONS The Town's land use designation for the subject property is Rural Residential Agriculture (RR-A) and Rural Residential Conservation (RR-C) per the Town's 2020 Comprehensive Plan. The Comprehensive Plan states: "RURAL RESIDENTIAL: Beyond the Sub-Urban perimeter are lands intended for rural residential use. These areas may have centralized water but are not served by central sewer. Within the Rural Residential zoning there are three zoning sub- categories: RURAL RESIDENTIAL ESTATE - Development in this planning area is intended to be large lot residential subdivisions with a pre-determined number of acres per lot combined with the limitations of infrastructure that may be accessible or obtainable. RURAL RESIDENTIAL AGRICULTURE - This [is] within or outside the rural residential area. Agricultural residential development is intended to be large lot residential subdivisions with an agricultural component that is associated with each lot, or a select number of lots, or is a stand alone agricultural parcel. The designation of Rural Residential Agriculture has certain requirements that are more clearly explained in the Severance Land Use Code. RURAL RESIDENTIAL CONSERVATION - The Conservation designation allows for altered standards of development in exchange for a larger percentage of open space within a rural development. The intention of the Town is to continue to preserve the rural character of the area through designated agricultural open space. Further standards and criteria are set forth in the Land Use Code." Per these detailed land use descriptions the County determines that this BESS is not compatible with the Town's land use designation. SUMMARY As required in Section 19-13-50.A the following are the reasons that the County will move forward with the BESS USR contrary to the Town's referral of denial: 1. The pre-application request submitted in 2022 (PRE22-0133) for a 1,478-acre solar facility and a BESS. The Town's submitted an NOI that stated no interest in annexation. 2. The landowner has stated that they have no interest in annexation, and the property is not an enclave, nor municipally owned. 3. The BESS does not require municipal services such as water or sewer, and while technically feasible, extending services over 3-6 miles is not considered practical. 4. The County has adhered to all procedural requirements in Chapter 19, the CPA regulations, including timely referral and consideration of municipal comments. 5. The BESS is not compatible with the Town's land use designations RR-A and RR-C on the subject property. Given the complexities of determining accurate tax calculations for battery storage projects, we engaged outside counsel to ensure we provided you with reliable information. Use Tax Estimates: Weld Energy Storage:We estimate the use tax amount to be$30k.This was primarily impacted by our tax counsel finding that the battery storage containers themselves,which make up the bulk of the cost, are not considered construction or building material. They concluded the following: The battery energy storage system components located within the company's modular, skid- mounted containers do not meet the definition of"construction or building materials"as that term has been authoritatively construed by the Colorado Court of Appeals and, subsequently, affirmed by the Colorado Supreme Court. See Bd. of Cty. Comm'rs of Rio Blanco v. ExxonMobil Oil Corp., 222 P.3d 303, 303 (Colo. 2009). Each unit retains its identity, is readily removable, and does not form part of a building or structure integrated into real property. These are precisely the attributes the ExxonMobil court relied upon in excluding similar industrial assets from construction use tax • Solar Component: Due to the early development stage of our solar site,we cannot provide a definitive estimate at this time. However, based on our planned 150 MW capacity,you can reference the Black Hollow Solar payment structure to calculate a reasonable approximation of our expected contribution to the town.This is something that we as NextEra would be interested in working with the town on and can discuss the benefits with the land owners for the project. State Land Board Annexation Update: I've been in discussions with the State Land Board regarding potential annexation as well.They have declined to pursue annexation at this time and have provided the attached email outlining their position for your records. I can provide what was discussed with State Land Board and then hopefully connect on Monday to get your thoughts. I spoke with David Rodenberg at the State Land Board who oversees their renewable energy program. David understands the contract start date of January 2026 that we have with our customer, and I explained the general timeline of when we felt we could be annexed and permitted through the Town of Severance. He informed me that the annexation would need to be approved by the board and based on their schedule, approval would not happen until September/October. Due to schedule risk,the State Land Board is not interested in annexing the parcel at this time. I asked him about annexing the possible solar project that we have that sits on the same state land as well as other contiguous parcels adjacent to the Black Hollow Solar site adding that if the town wants to annex our site there is a high likelihood that our permit would get approved. David said,they would be interested at that point as it increases the likelihood of us building the project and State Land Board receiving annual revenue. Going forward, I want to maintain our relationship with the Town of Severance and will start discussing possible annexation with our landowners for our possible solar project.
