Burke (hereinafter"Lessor"), and Greenlight Energy, Inc., a Virginia corporation (hereinafter"Lessee"). RECITALS A. Lessor is the owner of the property described on attached Exhibit A(the "Property"). • B. The parties entered into a Land Lease and Wind Easement(the "Agreement") on the 17th day of January, 2006 (the"Effective Date"). C. The Agreement by its terms grants to Lessee the exclusive right to use the Property for the purpose of constructing, installing, operating and maintaining wind energy conversion turbines, wind resource and weather measurement equipment, supporting structures, foundations and pads, footings, electrical transformers, fixtures, and storage equipment, electric distribution and transmission lines, access roads, interconnection facilities and related facilities and equipment on the Property to the extent set forth in the Agreement. D. The term of the Agreement is forty(40) years from the Effective Date. E. The parties desire to enter into this Memorandum which is to be recorded in order that third parties may have notice of the interest of Lessee in the Property and of certain easements and rights granted to Lessee in the Property as part of the Agreement. NOW,THEREFORE, in consideration of the rent and royalty payments and covenants provided in the Agreement to be paid and performed by Lessee,Lessor hereby grants to Lessee certain easements with respect to the Property as more particularly set forth in the Agreement. All of the terms, conditions, provisions and covenants of the Agreement are hereby incorporated into this Memorandum by reference as though fully set forth herein, and the Agreement and this Memorandum shall be deemed to constitute a single instrument or document. Lessor has granted to Lessee as of the Effective Date the exclusive right to use the Property for constructing, installing, operating and maintaining Wind Facilities on the Property during the term of the Agreement. In connection therewith, during the full term of the Agreement (notwithstanding any potential early termination thereof), any obstruction to the free flow of the wind is prohibited throughout the entire area of the Property, which shall consist horizontally three hundred and sixty degrees(360°) from any point where any Wind Facility is or may be located at any time from time to time (each such location referred to as a ("Site")) and for a distance from each Site to the boundaries of the Property, together vertically through all space located above the surface of the Property, that is, one hundred eighty degrees (180°) or such greater number or numbers of degrees as may be necessary to extend from each point on and along a line drawn along the surface from each point along the exterior boundary of the Property through each Site to each point and on and along such line to the opposite exterior boundary of the Property. 2. Lessor has also granted to Lessee as of the Effective Date the right of access on, over and across the Property for ingress and egress to and from its Wind Facilities and appurtenant equipment and electrical power lines on the Property and such additional areas of the Property as shall be reasonably necessary to access a public roadway. 3. The Agreement requires Lessor, during the term of the Agreement, not to grant any third party any rights in or allow any activities on the Property that (a) interfere with any of Lessee's activities pursuant to the Agreement, (b) interfere or allow interference with the wind speed or wind direction over the Property, (c) might otherwise impede or decrease the output or efficiency of the Wind Facilities, or (d) relate to the development, construction and/or operation of any Wind Facilities. 4. All of the terms, conditions, provisions and covenants of the Agreement • are hereby incorporated into this Memorandum by reference as though fully set forth herein, and the Agreement and this Memorandum shall be deemed to constitute a single instrument or document. Should there be any inconsistency between the terms of this Memorandum and the Agreement, the terms of the Agreement shall prevail. 5. The Property shall be subject to the provisions set forth in the Agreement and herein, which provisions shall run with the Property and shall be binding upon and inure to the benefit of the parties and each other person and entity having any interest therein during the term of the Agreement and their respective heirs, successors and assigns. 6.
