RE: APPROVE AGREEMENT FOR PRELIMINARY ENGINEERING SERVICES ON COUNTY
ROAD 80 AND AUTHORIZE CHAIR TO SIGN-UNION PACIFIC RAILROAD COMPANY
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,the Board has been presented with an Agreement for Preliminary Engineering
Services on County Road 80 between the County of Weld, State of Colorado, by and through the
Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and
Union Pacific Railroad Company, commencing upon full execution,with further terms and conditions
being as stated in said agreement, and
WHEREAS,after review, the Board deems it advisable to approve said agreement, a copy of
which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Agreement for Preliminary Engineering Services on County Road 80
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Public Works, and Union Pacific
Railroad Company be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 13th day of December, A.D., 2010.

Attached please find the above agreement for new warning devices for the existing at-grade WCR 80
roadway crossing of the UPRR. The Project is for the installation of a railroad crossing protection
devices (flashing lights, gates and new cabinet) at the intersection of the Union UPRR railroad
tracks,National Inventory Number 804-860T, UPRR Mile Post 61.99 Central Region Division,
Wyoming Division Subdivision, DPML Branch and WCR 80 south of Ault, Colorado.
Our Board of County Commissioners requires that two(2)original copies of this agreement be signed by
Union Pacific Railroad Company prior to submitting them to the Board for their approval and signature.
Please address all correspondence from this date forward to me.

Dear Kelly:
Weld County Public Works Department is preparing a PUC Application to request funding and approval
to improve the at-grade warning devices at location referenced above. —see Exhibit A. In connection
with this project,Weld County considers it is necessary for the advancement of the project for your
company to collaborate in the development of the project by performing the following:
• Preliminary engineering and other related services
• Development of cost estimates
• Review of the project's preliminary layouts
• Submit currant train and switching moves
Weld County authorizes and agrees to reimburse the Railroad for its expenses and actual costs that are
incurred for the collaborating in the development of the project's preliminary engineering and other
preliminary activities. The Railroad has estimated that these preliminary and other preliminary costs will
be ten thousand dollars($10,000.00). Payment will be made in thirty(30) days from Weld County's
receipt and approval of the Railroad's request for reimbursement. Railroad will refer to Weld County's
Number GR-5, 2010 RR,WCR 80 and forward Invoices to:

Additionally, attached for your company's review are photographs of the existing at-grade crossing
marked Exhibit A,
The project may require the Railroad to incur costs for force account activities. Please prepare the railroad
force account estimate for the work activities to be provided by your company,as identified herein and
submit them at your earliest convenience so that they may be attached to the railroad generated
Construction &Maintenance (C&M)agreement and Weld County's PUC application for funding and
approval of improvements.
Please verify the number of current regular train fifteen(15)and switching movements zero (0)with
Maximum Speed of 49 MPH(freight)and 79 MPH(Amtrack)at this location as currently shown on our
inventory records. If required, this information will be used by Weld County's contractor to obtain
Railroad Protection Liability Insurance.
This agreement is intended to address Preliminary Engineering. It is understood by both parties that
railroad may withhold its approval for any reason directly or indirectly related to safety or its operations,
property issues or effect to its facilities. If the Project is approved,Union Pacific will continue to work
with Weld County to develop Final Plans, Specifications and prepare material and Cost Estimates for the
Railroad Construction Work associated with the Project. It is also understood that if the Project is
constructed the railroad and Weld County will be responsible for their portion of the costs as defined in
the PUC Application.
Weld County and the Railroad will enter into separate License,Right of Entry, Construction and
Maintenance Agreements associated with the actual construction of the Project if the project is accepted
and approved by the railroad. The Agreements will be drafted by Union Pacific and forwarded to Weld
County after Exhibit A and cost estimate have been approved.
