Home My WebLink About20100485.tiff RESOLUTION RE: APPROVE THIRD AMENDMENT TO AMBULANCE SERVICES AGREEMENT AND AUTHORIZE CHAIR TO SIGN -BANNER HEALTH, DBA NORTH COLORADO MEDICAL CENTER WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with the Third Amendment to the Ambulance Services Agreement between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Paramedic Service, and Banner Health, dba North Colorado Medical Center, commencing January 1, 2010, and ending December 31, 2010, with further terms and conditions being as stated in said amendment, and WHEREAS, after review,the Board deems it advisable to approve said amendment, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Third Amendment to the Ambulance Services Agreement between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Paramedic Service, and Banner Health, dba North Colorado Medical Center, be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said amendment. Long Date of signature: 31'5 i/0 2010-0485 AM0020 CC' : nUCIL'ICIC Gas//7 /L` THIRD AMENDMENT TO AMBULANCE SERVICES AGREEMENT #0314-02-02202 THIS THIRD AMENDMENT TO AMBULANCE SERVICES AGREEMENT (this "Third Amendment") is made and entered into as of the signature dates set forth below, to be effective as of the 1st day of January, 2010, (the "Effective Date"), by and between Banner Health, an Arizona nonprofit corporation, d/b/a North Colorado Medical Center ("Banner"), and The County of Weld d/b/a Weld County Paramedic Services ("Transporter"). WITNESSETH: WHEREAS, Banner and Transporter are parties to that certain Ambulance Services Agreement dated effective as of January 1 , 2007, as the same has been amended by that certain First Amendment to Ambulance Services Agreement dated effective as of January 1, 2008 and by that certain Second Amendment to Ambulance Services Agreement dated effective as of January 1 , 2008 (the "Second Amendment") (as amended, the "Agreement"), pursuant to which the Transporter agreed to provide emergency and non-emergency medical transportation (ambulance) services, as more particularly described therein; and WHEREAS, the parties desire to amend the Agreement to extend the term of the Agreement and update the services fees in accordance with the terms and conditions hereof. NOW, THEREFORE, for and in consideration of the mutual covenants and promises contained herein, the receipt and sufficiency of which are hereby acknowledged, it is understood and agreed upon by the parties hereto as follows: 1 . Amendment of the Agreement. a. The preamble of the Second Amendment is hereby amended to change the effective date of the Second Amendment from January 1, 2008 to January 1, 2009. From and after the date hereof all references in the Second Amendment to the defined term "Effective Date" shall mean and refer to January 1 , 2009. b. Section 2 of the Agreement is hereby amended to extend the term of the Agreement for a period of one (1) year, commencing as of the Effective Date and continuing until December 31, 2010, subject to earlier termination as provided in the Agreement. c. Exhibit "A" to the Agreement is hereby deleted in its entirety and Exhibit "A-1 ", a copy of which is attached hereto, is hereby substituted in I:\Legal\Colorado Region Facility Contracts&Matters\NCMC\Weld County\NCMC-Weld County Ambulance 2007.3.am.3.doc a©io — YY its place. From and after the Effective Date, all references in the Agreement to Exhibit "A" shall mean and refer to Exhibit "A-1 ". 2. Agreement Effective. Except as otherwise expressly provided herein, all terms and conditions of the Agreement shall remain unmodified and in full force and effect. 3. Precedence of Third Amendment. In the event of a conflict between the terms and conditions of this Third Amendment and the terms and conditions of the Agreement, the terms and conditions of this Third Amendment shall govern and control. 4. Capitalized Terms. All capitalized terms used in this Third Amendment and not otherwise defined herein shall have the meaning ascribed to such terms in the Agreement. 5. Incorporation. This Third Amendment shall be attached to, and made a part of, the Agreement. 6. Counterparts. This Third Amendment may be executed in one or more copies or counterparts, each of which when signed shall be an original, but all of which together shall constitute one instrument.
