HomeMy WebLinkAbout20102976.tiff RESOLUTION RE: APPROVE SERVICE AGREEMENT AND AUTHORIZE CHAIR TO SIGN - STERIS CORPORATION WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS,the Board has been presented with a Service Agreement between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Department of Public Health and Environment, and STERIS Corporation, commencing January 1, 2011, and ending December 31, 2015, with further terms and conditions being as stated in said agreement, and WHEREAS, after review,the Board deems it advisable to approve said agreement,a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Service Agreement between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Department of Public Health and Environment, and STERIS Corporation be, and hereby is, approved. Wallace, MD, MPH, Department %),V of Public Health and Environment --N' > Date: November 29, 2010 Subject: Steris service agreement renewal Enclosed for Board review and approval is a service agreement renewal for the autoclave located in the Environmental Health Laboratory. This contract has been in place since the purchase of the autoclave and includes quarterly maintenance. The quarterly maintenance assures that the autoclave meets recommended maintenance and safety standards and includes the quarterly scheduled labor but excludes parts. The annual cost is $2006.73 but it is billed and paid out quarterly after the maintenance has been performed. This year Steris has offered a 5 year contract to help keep prices down as well as assist in future budgeting. The agreement was referred to Stephanie Arries for review and she drafted an Amendment to the Steris Service Agreement to address five issues that were identified. Steris has reviewed and signed the amendment. I recommend your approval of this Amended Steris Maintenance Contract. Enclosure 2010-2976 AMENDMENT TO STEMS SERVICE AGREEMENT 03ouv7 31 I l b THIS AMENDMENT TO STEMS SERVICE AGREEMENT,made and entered into this day of November, 2010,by and between the County of Weld, State of Colorado,by and through the Board of County Commissioners of the County of Weld, whose address is 915 Tenth Street,Greeley,Colorado 80631,hereinafter referred to as ACounty,@ in this Amendment and as "Subscriber"in the Service Agreement,and STERIS Corporation,whose address is 5960 Heisley Road,Mentor, Ohio 40060,hereinafter referred to as ASTERIS.@ WI NESSETH: WHEREAS, County owns certain specialized equipment which the Weld County Department of Health and Environmental Services uses to sterilize equipment which it uses in providing services to Weld County residents, and WHEREAS, STEMS and County desire to enter into an Agreement in which STEMS will provide repair and maintenance services for the equipment referenced above, and WHEREAS, STERIS has provided County with a Services Agreement,a copy of which is attached hereto and made a part hereof by this reference,(hereinafter referred to as the "Agreement"), which,with the exception of the paragraphs enumerated below,sets forth terms and conditions which STERIS and the County agree are mutually acceptable, and WHEREAS,the Agreement consists of three parts: the Agreement a/k/a Agreement Renewal;Attachment A, Service Coverage Description; and Attachment B,Terms and Conditions,and WHEREAS,the parties desire to amend the Agreement which STEMS has provided to the County in order to accurately and completely reflect the entire understanding and agreement of the parties, and intend to execute the Agreement and this Amendment contemporaneously so that this Amendment shall be effective upon the execution of the Agreement. NOW,THEREFORE, in consideration of the mutual promises and covenants contained herein,the parties hereto agree to amend the Agreement a/k/a Agreement Renewal as follows: Add the following paragraph to the Agreement a/k/a Agreement Renewal: 1. Agreement Term: Financial obligations of the County payable after the current fiscal year are contingent upon funds for that purpose being appropriated,budgeted and otherwise made available. By execution of this Agreement, County does not warrant that monies will be available to fund this Agreement beyond the current fiscal year.Therefore,the initial term of this Agreement is one year,beginning January 1,2011. This Agreement is,however, automatically renewable annually for four(4) additional terms depending upon the availability of funds as follows: January 1, 2012 through December 31, 2012; January 1, 2013 through December 31,2013; January 1,2014 through December 31, 2014; January 1, 2015 through December 31, 2015. Subscriber shall provide STERIS a thirty(30)day written notice if the Agreement is not to be renewed according to the foregoing schedule. 2. Replace paragraph 12.Limitation of Liability, contained in Attachment B, Terms and Conditions,with the following paragraph: 12.Limitation of Liability: In no case,whether as a result of breach of contract,breach of warranty or tort(including STERIS's or Subscriber's willful acts or negligence or strict liability)shall STERIS or Subscriber be liable to the other for any consequential or incidental damages incurred by the other,including,but not limited to loss of revenue,profits or goodwill. No term or condition of this contract shall be construed or interpreted as a waiver,express or implied,of any of the immunities,rights,benefits, protections or other provisions, of the Colorado Governmental Immunity Act§§24-10-101 et seq., as applicable now or hereafter amended. 3. Replace paragraph 13.Indemnity, contained in Attachment B,Terms and Conditions, with the following paragraph: 13.Indemnity13.Indemnity: Nothing contained in this Agreement is intended to relieve STERIS from claims, liability, damages or expenses resulting from bodily injury, including death, or from property damage incurred due to the willful acts,the negligence or the strict liability of STERIS. STEMS agrees to defend, indemnify and hold Subscriber harmless from any and all claims, liability,damages or expenses (including reasonable attorneys' fees)due to personal injuries, including death to employees of STERIS or Subscriber or to third parties and for property damage to the extent caused by the willful acts or the negligence of STEMS or the strict liability of STERIS. 4. Replace paragraph 14.Non Disclosure, contained in Attachment B,Terms and Conditions, with the following paragraph: 14.Non Disclosure: Subscriber acknowledges that in the course of preparing to perform and performing its obligations under this Agreement, STERIS has spent and will spend considerable effort and expense in compiling information and developing maintenance schedules,reports,protocols and procedures for STERIS's use in administering this Agreement. Portions of this Information, including but not limited to maintenance schedules,reports, compilations of information, procedure manuals and forms,may be provided to Subscriber and its employees from time to time in written materials (the"STEMS Materials"). In addition, STERIS will make use of a computer system utilizing custom software developed by STERIS at great expense(the "STEMS Software"). Subscriber acknowledges that the STERIS Materials, STERIS Software, and the compilations of data prepared for use with the STERIS Software are the property of STERIS; agrees to treat them as confidential; agrees,to the extent it is permitted to do so under the requirements of Colorado Revised Statutes, Sections 24-72-101 through 24-72-502, not to permit their disclosure to any third party; and agrees not to copy or use the STERIS Materials or STEMS Software except in accordance with this Agreement. Upon termination of this Agreement, Subscriber agrees to return all STEMS Materials, STEMS software,or any copies thereof which are within its possession or control (other than reports which have been delivered to Subscriber by STERIS and which must be maintained by Subscriber for regulatory compliance)to STERIS and to refrain from making any claim to or use of the STEMS Materials, STERIS Software and related compilations of data. STEMS agrees that all information of Subscriber which is marked"confidential" and which comes into STERIS's possession during the term of this Agreement will be treated as such,will be used only for provision of the Services, and will not be disclosed by STERIS to third parties. Subscriber acknowledges that all equipment data collected through ProConnect Remote Monitoring shall be considered STEMS confidential information. 5. Replace paragraph 20. Complete Agreement,Modification and Applicable Law contained in Attachment B,Terms and Conditions, with the following paragraph: 20.Complete Agreement,Modification and Applicable Law: This Agreement, including the Attachments hereto, together with this Amendment, constitutes the entire agreement and understanding between the parties hereto and supersedes all other agreements (whether written or oral with respect to the subject matter hereof.No waiver or modification shall be effective unless in writing and signed by an authorized representative of each party. No course of dealing or trade usage not contained herein will be binding upon the parties hereto. Colorado law, and rules and regulations established pursuant thereto,shall be applied in the interpretation,execution,and enforcement of this Agreement.Any provision included or incorporated herein by reference which conflicts with said laws,rules and/or regulations shall be null and void. In the event that legal proceedings arise concerning this Agreement, each of the parties agrees to be subject to the Courts of Weld County, Colorado. This is a contract that we have had for a long time which covers the quarterly maintenance for our laboratory autoclave. It is usually a one year contract so I have been told it is ok for me to sign it but this one is for five years and I am not sure where that falls within the county contract policies. The price is comparable with the present contract and doesn't increase too badly for the following four years. I don't know of any competitor for this service and it is a service that is required by our laboratory certifications. This company is the same company which we used to purchase the autoclave so they have been maintaining it since it's purchase. Please let me know your thoughts on this. Thanks for your help.
