Please place these Agreements on the Consent Agenda. No. Provider Term Rate 1 ABC Child Development April 1, 2010-December 31, 2010 $75.00 per Term Centers 2 Airborne Flying Tigers April 1, 2010-December 31, 2010 $75.00 per Term Gymnastics 3 Greeley Evans Youth April 1, 2010-December 31, 2010 $75.00 per Term League If you have questions, please give me a call at extension 6510. 2010-2118 Contract No. 10-TANF-SY-06 14 AGREEMENT FOR RECREATIONAL/EDUCATION SERVICES 22 FOR COLORADO WORKS SUMMER ACTIVITIES PROGRAM ''r7 THIS AGREEMENT is made and entered into this_day of August 2010,by and between the Board of County Commissioners of the County of Weld, State of Colorado, sifting on behalf of the Weld County Department of Human Services,hereinafter referred to as"Human Services", and ABC Child Development Centers,5000 W 11°'Street, Greeley,CO 80634 hereinafter referred to as"Summer Provider". WITNESSETH: WHEREAS,the Human Services provides supportive services to eligible children and juveniles who need educational and/or recreational activities as outlines in its Colorado Works Plan for Weld County,and WHEREAS,Human Services is in need of recreational and educational providers to assist Human Services' Summer Activities program in providing services to eligible children and juveniles, WHEREAS, Summer Provider has educational or recreational activities available for eligible children and juveniles of Human Services at fees,which is set forth below. NOW,THEREFORE, in consideration of the mutual promises and covenants contained herein,the parties hereto agree as follows: 1. TERM: The term of this Agreement shall be from April 1,2010,through and until December 31, 2010. 2. SERVICES PROVIDED BY SUMMER PROVIDER: Summer Provider agrees to provide educational and/or recreational services for eligible children and youth involved in the Summer Activities Program according to enrollment activities of the Summer Provider. 3. COMPENSATION: Human Services agrees to pay Summer Provider for educational and/or recreational services performed pursuant to this Agreement at the rate not to exceed$75 per term of the Agreement and at the rate charged to other non-Human Services participants receiving the same recreational or educational services. The parties agree that the service rate as contemplated herein shall constitute the entire amount of compensation due to the Summer Provider for any work performed hereunder. 4. INDEPENDENT CONTRACTOR: Summer Provider agrees that it is an independent contractor and will not become an employee of Human Services,nor is the Summer Provider entitled to any employee benefits under Human Services as a result of the execution of this Agreement. 5. INDEMNIFICATION: Summer Provider shall indemnify Weld County, its officers and employees,against liability for injury or damage caused by any negligent act or omission by Summer Provider in the performance of this Agreement and shall hold Weld County harmless from any loss occasioned as a result of the performance of this Agreement. 6. NON-ASSIVNMEIMISainther Provider may not assign or transfer this Agreement,any interest therein or cliiilnO*tI ekr,without the prior written approval of Human Services. 7. ACCESS TO RECORDS: Human Services shall have access to Summer Provider's financial records for the purposes of audit. Such records shall be complete and available for audit 90 days Page 1 of 2 Contract No. 10-TANF-SY-06 after final payment hereunder and shall be retained and available for audit purposes for at least five years after final payment hereunder. 8. TERMINATION: Either party may terminate this Agreement at any time by providing the other party with a 10-day written notice thereof. Furthermore,this Agreement may be terminated at any time without notice upon a material breach of the terms of the Agreement. 9. TIME OF THE ESSENCE:Time is of the essence in each and all of the provisions of this Agreement. 10. ENTIRE AGREEMENT/MODIFICATIONS:This Agreement constitutes the entire understanding between the parties with respect to the promises and covenants made therein. No modification of the terms of this Agreement shall be valid unless made in writing and agreed to by both parties. 11. NON-APPROPRIATION:No portion of this Agreement shall be deemed to create an obligation on the part of Human Services to expend funds not otherwise appropriated in each succeeding year. 12. WAIVER OF IMMUNITIES/THIRD PARTY LIABILITY:No portion of this Agreement shall be deemed to constitute a waiver of any immunities of Human Services or its officers or employees may possess,nor shall any portion of this Agreement be deemed to have created a duty of care with respect to any persons other than Human Services and not a party to this Agreement.
