RE: APPROVE CONSENT TO ACQUISITION OF ALL STAR FLEET SERVICES, LLC, BY
WACKENHUT SERVICES, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Public Works, has been presented
with a letter, dated February 10, 2010, announcing the Acquisition of All Star Fleet Services, LLC, by
Wackenhut Services, Inc., and
WHEREAS, after review, the Board deems it advisable to consent to said acquisition,a copy
of said letter is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department of Public
Works, that it hereby Consents to the Acquisition of All Star Fleet Services, LLC, by Wackenhut
Services, Inc.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 24th day of February, A.D., 2010.

All Star Contracts:
Announcement: Acquisition of All Star International
We are pleased to inform you that All Star International, including All Star Facility Services,LLC,All
Star Technical Services, Inc, All Star Maintenance, Inc., All Star Services Corporation, All Star Fleet
Services, LLC,AS Gebaudemanagement GmbH, and All Star Maintenance GmbH, has been acquired
by Wackenhut Services, Inc. (WSI), 7121 Fairway Drive, Palm Beach Gardens, FL 33418, and is now
a wholly owned subsidiary. WSI is a premier provider of security,fire,and base operations support
services to the United States Government. The acquisition of All Star provides significant
diversification of capabilities to an extended client base that compliments the strategic model of
both companies.
WSI is a member of the G4S family of companies with affiliates world-wide. WSI operates under a
U.S. Government approved proxy agreement. This agreement mandates a separation from G4S and
a U.S. Board of Directors, which exercises independent oversight and control in a manner that
ensures protection of classified information and complete mitigation of foreign ownership and
control.
At this time, and for the foreseeable future,All Star will be operated as a wholly owned subsidiary
and is contemplating no changes to the contracts being managed and operated as a result of this
transaction. There will likely be a name change at some point in the future but a change is not
imminent at this time. Our legal counsel and the WSI ACO have both opined that this acquisition
does not necessitate novation of contracts.
As the former owner of All Star, I have been offered the opportunity and elected to remain a key
employee in the role of President. My entire All Star management team,which was in place prior to
this acquisition, remains in their respective positions. Therefore, our belief is this change in
ownership will be largely transparent to customers. The team is now also supported by the WSI
Headquarters staff and Board of Directors.
We look forward to blending our two companies into one organization that capitalizes on each
other's core competencies. We provide you our assurance of a seamless transition without any
negative impact to the operation of your contract.
