Dear Mr. Garcia:
Pursuant to provision number 9.A. contained in the following described leases, I hereby request
your consent to the assignment of all of my right, title and interest in each of said leases to Rubicon Oil &
Gas II, L.P., whose address is 508 West Wall, Suite 500, Midland, Texas 79701:
1) Weld County Oil and Gas Lease dated November 9, 2009, between Weld County,
Colorado, as Lessor, and T. Verne Dwyer, as Lessee, covering the W/2SE/4 of
Section 14, Township 8 North, Range 66 West, Weld County, Colorado, recorded as
Reception No. 3661568 in the Weld County Clerk and Recorder's office.
2) Weld County Oil and Gas Lease dated November 9, 2009, between Weld County,
Colorado, as Lessor, and T. Verne Dwyer, as Lessee, covering the NW/4 of Section
14, Township 8 North, Range 66 West, Weld County, Colorado, recorded as
Reception No. 3661567 in the Weld County Clerk and Recorder's office.
3) Weld County Oil and Gas Lease dated November 9, 2009, between Weld County,
Colorado, as Lessor, and T. Verne Dwyer, as Lessee, covering the SE/4 of Section
14, Township 9 North, Range 66 West, Weld County, Colorado, recorded as
Reception No. 3661569 in the Weld County Clerk and Recorder's office.
4) Weld County Oil and Gas Lease dated November 9, 2009, between Weld County,
Colorado, as Lessor, and T. Verne Dwyer, as Lessee, covering the NW/4 of Section
24, Township 9 North, Range 66 West, Weld County, Colorado, recorded as
Reception No. 3661564 in the Weld County Clerk and Recorder's office.
5) Weld County Oil and Gas Lease dated November 9, 2009, between Weld County,
Colorado, as Lessor, and T. Verne Dwyer, as Lessee, covering the E/2SE/4 of
Section 26, Township 9 North, Range 66 West, Weld County, Colorado, recorded as
Reception No. 3661565 in the Weld County Clerk and Recorder's office.

Please signify your consent to the above assignment by signing, dating and returning one (1)copy
of this letter to me in the stamped envelope provide herewith.
