HomeMy WebLinkAbout20100005.tiff RESOLUTION RE: APPROVE MEMORANDUM OF UNDERSTANDING CONCERNING UNITED WAY 2-1-1 SERVICES AND AUTHORIZE CHAIR TO SIGN - UNITED WAY OF WELD COUNTY WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Memorandum of Understanding Concerning United Way 2-1-1 Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Sheriff's Office, and United Way of Weld County, commencing January 1, 2010, and ending June 30, 2010, with further terms and conditions being as stated in said memorandum, and WHEREAS, a hearing before the Board was held on the 28th day of December, 2009, at which time the Board deemed it advisable to continue said matter to January 4, 2010, in order to allow adequate time for the County Attorney to modify the Memorandum of Understanding. WHEREAS, after review on January 4, 2010, the Board deems it advisable to approve said modified memorandum, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Memorandum of Understanding Concerning United Way 2-1-1 Services, as modified, between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Sheriff's Office, and United Way of Weld County be, and hereby is, approved. Long Date of signature: 'II' lit' 2010-0005 SO0030 MEMORANDUM OF UNDERSTANDING FOR UNITED WAY 2-1-1 TRAINING THIS MEMORANDUM OF UNDERSTANDING ("MOU") is made and entered into this _day of January, 2010, by and between the County of Weld, State of Colorado, on behalf of John Cooke, Weld County Sheriff, by and through the Board of County Commissioners of Weld County, whose address is 915 10th Street, Greeley, Colorado 80631, hereinafter collectively referred to as "County", and United Way of Weld County, whose address is 814 9th Street, Greeley, Colorado 80631, hereinafter referred to as "United Way 2-1-1." WITNESSETH: WHEREAS, County desires to improve the content, awareness and access to the 2-1-1 centralized data base in Weld County, to ensure that law enforcement professionals have the skills and tools needed to access resources regarding meth and substance abuse, and to provide clients with referral information to facilitate their finding help and assistance, and WHEREAS, United Way 2-1-1 has the centralized data base and information to train and empower law enforcement, other professionals and concerned citizens to access meth and substance abuse prevention resources in Weld County, and WHEREAS, the parties hereto desire to enter into this MOU for the purpose of memorializing their respective roles in accomplishing the desires of the County, as stated above, with the resources United Way 2-1-1 has at its disposal. NOW, THEREFORE, for and in consideration of the mutual covenants, conditions and promises contained herein, the parties hereto agree as follows: I. SERVICES PROVIDED BY UNITED WAY 2-1-1. A. Professional Development Training Services. United Way 2-1-1 shall provide professional development training sessions for law enforcement, educators and health and human services professionals totaling approximately 200 hours at locations throughout Weld County through the end of the term of this MOU. United Way 2-1-1's responsibilities for these training sessions include collaborative planning of logistics for the trainings,joint marketing, provision of trainer(s), preparation of handouts, creation of the pre- and post assessment of each training session and analysis and evaluation. B. Reporting. United Way 2-1-1 shall provide County with a full report at the end of the term of this MOU for all of the services provided pursuant to this MOU. Page 1 of 4 Pages 670/0- 0005 IL COMPENSATION. A. Not to Exceed. All compensation paid by County for the services to be provided by United Way 2-1-1 shall not exceed $15,000 during the term of this MOU. B. Estimated Costs. The estimated costs to be paid by County to United Way 2-1-1 shall be as follows: 1. Outreach, building and maintenance database records. $4,550. Paid quarterly. 2. Database navigation training, agency update procedures and training briefs supplied by United Way 2-1-1 and covered in person on the United Way 2-1-1 site. $3,730. Paid quarterly. 3. Direct costs, good purchased, and mileage reimbursed. a. Business cards/fliers/posters. $700. b. 2-1-1 reminder item that adhere to police vehicles or desktops. $750. c. Mileage related to Item B. 1, above. $2,716. d. Mileage related to Item B. 2, above. $1,716. e. Printing of informational handouts. $300. 4. United Way 2-1-1 shall submit itemized bills for all travel and marketing costs incurred and services provided pursuant to this MOU according to procedures established by County. United Way 2-1-1 shall submit all itemized billings to County no later than the 25th days of each month for all travel costs incurred. County shall reimburse United Way 2-1-1 within 21 days of receiving its itemized bills. 5. County may withhold any payment if United Way 2-1-1 fails to comply with the financial Management Requirements, program objectives, MOU terms, or reporting requirements. In the event of a forfeiture of reimbursements, United Way 2-1-1 may appeal such circumstances to the Board of County Commissioners of Weld County, pursuant to the provisions of Section 2-4-10 of the Weld County Code. United Way 2-1-1 shall comply with and upon request from the County provide accounting records demonstrating compliance (general ledger) to the single audit requirements set forth in OMB Circular A-133 and the OMB Circular A-133 Compliance Supplement. United Way 2-1-1 shall also comply with any applicable requirements of OMB Circular A-87. III. TERM. The term of this MOU shall be from January 1, 2010, to and until June 30, 2010. IV. TERMINATION. This MOU may be unilaterally terminated by either party with or without cause by thirty (30) days written notice thereof. Furthermore, this MOU may be terminated at any time without notice upon a material breach of the terms of the MOU. V. NOTICES. Any notice provided for in this MOU shall be in writing and shall be served by personal delivery or by U.S. mail at the addresses listed above. VI. NO THIRD PARTY BENEFICIARY ENFORCEMENT. It is expressly understood and agreed that enforcement of the terms and conditions of this MOU, and all rights of action relative to such enforcement, shall be strictly reserved to the United Way 2-1-1 and the County, and nothing contained in this MOU shall give or allow any claim or right of action whatsoever by any other person on this MOU. It is the express intention of the United Way 2-1-1 and County that any entity other than the United Way 2-1-1 or the County receiving services or benefits or who is otherwise affected by the performance of the terms of this MOU shall be deemed an incidental beneficiary only. VII. MODIFICATION AND BREACH. This MOU and the attached Schedules contain the entire MOU and understanding between the parties and hereby supersedes any other MOUs concerning the subject matter of this transaction, whether oral or written. No modification, amendment, novation, renewal or other alteration of or to this MOU and the attached Schedules shall be deemed valid or of any force or effect whatsoever, unless mutually agreed upon in writing by the parties. No breach of any term, provision or clause of this MOU and the attached Schedules shall be deemed waived or excused, unless such waiver or consent shall be in writing and signed by the party claimed to have so waived or consented. Any consent by any party to, or waiver of, a breach by the other, whether express or implied, shall not constitute a consent, waiver of, or excuse for any other different or subsequent breach. VIII. SEVERABILITY. If any term or condition of this MOU shall be held to be invalid, illegal or unenforceable, this MOU shall be construed and enforced without such a provision, to the extent this MOU is then capable of execution within the original intent of the parties.
