Y v I , 3 o po,,r, ' ' / / v pv.Lrt w.vr. __ a o•oo,en ` o,t1 i \I/ $ a°ii o o ° 4 - 1 a � i :. a E .f , t • - RESOLUTION WHEREAS, a public hearing was held on July 28, 1975, in the chambers of the Board of County Commissioners, Weld County, Colorado, for the pur- pose of hearing the petition of Manning Gas & Oil Company, 1660 Lincoln Street, Denver, Colorado, requesting approval of site for the construction of a natural gas processing plant and supporting facilities on the following de- scribed property, to-wit: All that part of the Southeast Quarter of the Southwest Quarter (SE1SW4) of Section Eight (8), Township Two (2) North, Range Sixty-six (66) West of the 6th P. M. , Weld County, Colorado, lying South and East of the centerline of the Platteville Ditch and containing 7. 66 acres, more or less, and WHEREAS, the petitioner was present, being represented by Mr. John Cranor, President of the corporation, and WHEREAS, there was no opposition to the request of petitioner for the location of said natural gas processing plant and supporting facilities, and WHEREAS, said requested location for said natural gas processing plant and supporting facilities is located in an agricultural zone as set forth by the Weld County Zoning Resolution, and WHEREAS, according to Section 3. 3 (2) of the Zoning Resolution of Weld County, said location for said natural gas processing plant and support- ing facilities may be authorized upon the approval of the Board of County Commissioners of Weld County, and WHEREAS, the Board of County Commissioners heard all the testi- mony and statements of those present; has studied the request of the petitioner and studied the recommendations of the Weld County Planning Commission, and having been fully informed; NOW, THEREFORE, BE IT RESOLVED, by the Board of County Commissioners, that the application of Manning Gas & Oil Company, 1660 Lincoln Street, Denver, Colorado, to locate a natural gas processing plant and supporting facilities on the premises indicated above be, and it hereby is granted under the conditions following: 1. That any water and sanitation facilities to be installed shall be approved by the State Health Department. 2. That petitioner shall proceed with due diligence to effect said construction of said natural gas processing plant and supporting facilities and that it shall have up to one year from date hereof to begin the construction of same; otherwise, the Board may, for good cause shown, on its own motion, revoke the permit herein granted. 3. That such natural gas processing plant and supporting facilities shall be limited to the items as shown on plans as submitted and attached hereto and made a part hereof by reference. 4. Subject to a suitable chain-link fence six feet high being erected along the front side of said premises if and when requested by the Board of Weld County Commissioners, and a suitable wire fence with four strands of barbed wire with additional in-between wire stays, around the other three sides of said premises. 750440 PL 11.567 • 5. That all structures erected upon said premises be removed within one year from the time that said natural gas processing plant and supporting facilities cease to operate and are closed. 6. That all applicable subdivision regulations and zoning regulations shall be followed and complied with in accordance with the Zoning Resolutions of Weld County, Colorado. STATEMENT OF OPERATIONS MANNING GAS & OIL COMPANY Agricultural Unit Development - 7.66 Acres in SE%of SW4, Sec. 8, 2N-66W. , Weld County, Colorado 1. The proposed plant will operate 24 hours per day, processing natural gas to produce a consumer grade natural gas and a liquid product. 2. Equipment will consist of gas and refrigeration compressors, processing equipment, and liquid product storage tanks, all located as shown on PLOT PLAN, Sheet 3 of 3. 3. Residue gas from the plant will be continually flowed into a sales pipeline owned by Colorado Interstate Gas Company. Liquid product will be shipped by tank truck, averaging an estimated two truckloads every three days. 4. Personnel in attendance will be limited. It is estimated that one person will visit the facility each day for a duration of to 11 hours, for routine maintenance. 5. In view of the limited personnel attendance, no sanitary facilities or drinking water facilities are planned. 6. Water usage and make-up requirements will be minimal. Initial water and make-up volumes will be supplied by water truck. 7. Safety features in the plant include the following: a) High and low compressor suction pressure shutdowns. b) High and low compressor discharge pressure shutdowns. c) High compressor suction temperature shutdown. d) High compressor discharge temperature shutdown. e) Compressor excess vibration shutdown. f) Suction scrubber high liquid level shutdown. Activation of any malfunction shutdown will automatically energize a telephone alarm signal to a 24-hour information center. 8. A minimum of one 150# dry chemical extinguisher on wheels will be provided at a strategic location, along with other smaller hand-held dry chemical extinguishers, as required for adequate pro- tection. Mango shall have the right to assign this Lease or sublet the permises at any time during the term of this Lease to Tone Gas Processing Co . , a Colorado corporation, otherwise Mango agrees not to assign this Lease or sublet said permises without the written consent of Ione, and at the expiration of this Lease to surrender possession of said premises , with the improvements , if not removed, to Ione, in as good condition as when taken - usual wear, tear , and damage by the elements excepted. It is .further agreed, that in case of the breach by Mango , of any of the covenants or agreements herein f mentioned, by Mango to be performed, then and in that case this Lease shall terminate without notice of any kind ; and upon its termination, either by reason of lapse of time or breach of any of the covenants or agreements herein, it shall be lawful for Ione to re-enter into said premises , and Mango and each and every other occupant to remove and put out. Mango is given permission to fence or make other improvements on the premises during the term of Lease, at its own expense, and remove them from the permises at the termination of this Lease. Provided, however , any improvements , facilities , fixtures , equipment or installations not removed within sixty (60) days following the end of the term of this Lease shall become the property of Ione unless otherwise agreed between the parties . It is further agreed, that Mango , during the term of this Lease or sixty (60) days thereafter , unless written consent is given by Ione in advance, shall in no way inter- fere with Zone' s agriculture operations conducted on the adjoining premises , including but not limited to irrigation, planting, harvesting or stock raising . Mango shall be liable to any damages occassioned to Ione by any such interference. Mango shall also be liable for and shall indemnify, hold harmless and defend, unless the same be caused by the negligence of Ione, Ione from any claim, demand , cause of -2- • action or otherwise arising from the construction, operation, maintenance, installation, replacement or removal of the plant or the property, products , fixtures , equipment , installations , facilities or other improvements used in connection with or manufactured or processed at the plant . Mango shall pay all taxes levied or assessed against the permises . In the event that a separate tax assessment is not made on the leased premises , Mango shall reimburse Ione for the amount of taxes paid by Ione attributable to the leased premises . This amount shall be determined by the percentage of increase in taxes Ione had to pay on its lands in Section 8 after the first full year of operation of the plant above the taxes on the same lands for the year preceding operation of the plant appropriately adjusted for changes in mill levy assessments . After such percentage is established any such taxes shall be prorated for any period less than a full year that this Lease is in force and effect . Mango agrees that it will keep the leased premises free from any liens or encumbrances which might affect Ione. Mango agrees that it will comply with any statute, ordinance, rule or regulation of any governmental authority insofar as the same shall be applicable to the leased premises . Ione agrees that it will not unreasonably interfere with the plant, the leased premises or Mango ' s activities thereon or in connection therewith during the term of this Lease. Ione warrants that it has full authority to execute this Lease and agrees to defend its title to the leased premises . It is further agreed, that in the event that during the term of this Lease, the leased premises or a part there- of are taken by eminent domain, condemnation or other similar action, Ione and Mango shall divide the consideration received -3- from each taking as, their interests may appear at the tune.
