RE: APPROVE TWO PURCHASE OF SERVICES AGREEMENTS WITH VARIOUS
PROVIDERS AND AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with two Purchase of Services Agreements
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Services, and the following
providers, commencing October 1, 2010, and ending September 30, 2011, with further terms and
conditions being as stated in said agreements, and
1. Community Mediation Project, Inc.
2. United Way of Weld County
WHEREAS,after review,the Board deems it advisable to approve said agreements,copies
of which are attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the two Purchase of Services Agreements between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County,on behalf of
the Department of Human Services, and the above listed providers be, and hereby are, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreements.

RE: Purchase of Services Agreements between the Weld County
Department of Human Services' Building Healthy Marriages
and Various Providers
Enclosed for Board approval are Purchase of Services Agreements between the Department's
Building Healthy Marriages and Various Providers. These Agreements were presented at the
Board's September 27, 2010, Work Session.
As Building Healthy Marriages ends year four (4), contracts need to be renewed in order to
continue services through the end of the grant and wishes to continue the following contracts:
1. Community Mediation Project: CMP has been contracted with to administer the
educational portion of Building Healthy Marriages. The Department agrees to reimburse
CMP for professional and educational services pursuant to this Agreement a sum of
$359,280, which includes $113,280 for staff and overhead costs and $246,000 for services
provided. The term of this Agreement is October I, 2010 through September 30, 2011.
2. United Way of Weld County: United Way has been contracted with to administer the
community outreach and marketing for BUM. The Department agrees to pay United Way
for professional and related services pursuant to this Agreement a sum of$285,000,
including $209,953 for services and $75,047 for staff and overhead costs. The term of
this Agreement is October 1, 2010 through September 30, 2011.

PURCHASE OF SERVICES AGREEMENT
THIS AGREEMENT is made and entered into this _ day of 2010, by
and between the Weld County Department of Human Services' recipients of the Healthy
Marriages Demonstration Grant, hereinafter referred to as "DHS", and Craig Conrad on
behalf of Community Mediation Project, Inc., hereinafter referred to as "CMP."
WITNESSETH:
WHEREAS, Building Healthy Marriages, hereinafter referred to as"BHM" supports the
DHS' goal to intervene successfully with families in the least intrusive manner while maximizing
safety before they enter the judicial system; and upon their entry into the child welfare and
juvenile justice systems, to expedite the positive resolution of their treatment or case plans;
and
WHEREAS, BHM supports the DHS' desire to develop balanced systems of care in Weld
County under a community based services integration process, emphasizing family strengths
through interagency and community collaboration; and
WHEREAS, BHM supports the development of balanced systems of care with
evidenced-based and promising practices that are outcome based; and
WHEREAS, under the Personal Responsibility and Work Opportunity Reconciliation Act,
the Temporary Assistance for Needy Families (TANF), which is the Colorado Works Program,
BHM supports the DHS' desire to encourage the formation and maintenance of two-parent
families; and
WHEREAS, BHM is to provide marriage/relationship education, marriage skills, and
relationship skills programs that may include, financial management, and conflict resolution for
non-married pregnant women and non-married expectant fathers; pre-marital education and
relationship/marriage skills training for engaged couples and for couples or persons interested
in bettering current and future relationships, marriage skills training programs for married
couples, and marriage mentoring programs, which use married couples as role models and
mentors in at-risk communities.
WHEREAS, CMP, as the successful bidder, has the expertise and knowledge to provide a
marriage education program under the Federal Marriage Education Demonstration Grant, and
WHEREAS, CMP will focus on the expectations of marriage related services under the
Federal Marriage Education Demonstration Grant and promote a balanced system of care to
families in Weld County,

WHEREAS, CMP has the expertise and knowledge to develop and organize a county-
wide Healthy Marriage effort,
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein, the parties hereto agree as follows:
1. TERM: The term of this Agreement shall be from October 1, 2010
through September 30, 2011.
2. SERVICES PROVIDED BY COMMUNITY MEDIATION PROJECT; CMP agrees
to assist and directly report to DHS in developing and providing
marriage/relationship education programs and services under the DHS'
Federal Marriage Education Demonstration Grant structure for 2010-2011
Project related to:
A. Providing marriage/relationship education services by trained and certified
educators, including Relationship Seminars, Conflict Resolution Training, and
Premarital/Relationship Inventories;
a. Reviewing the current literature and resources that support marriage/
relationship education, culturally relevant curriculums and related
services to develop a marriage/relationship education component with
the retention of marriage/relationship education skills.
b. Identifying the best process to support individuals within the target
populations as described by the grant which will bring a community
saturation type model of service delivery of marriage/relationship
education.
c. Identifying and acquiring all marriage/relationship education curricula
being utilized by BHM.
i. Ensuring that any new curriculum be sent to the Federal Project
Officer via the Program Manager (DHS) to be reviewed and
given approval for its use.
d. Hiring and training the necessary number of instructor(s) needed to
conduct the required number of classes to meet goals who meet
qualifications as required by the project design; and
i. Ensuring instructor's knowledge of marriage/relationship related
information and trends remains current; and
e. The scheduling of marriage education classes that will meet the
scheduling demands of the couples participating in the project; and

f. The reporting of outcomes of classes and participation of couples.
B. Actively participating as a Partner of Building Healthy Marriages in the ongoing
design of the Federal Marriage Education Demonstration Grant Project with
DHS, and United Way of Weld County with special emphasis on the
marriage/relationship education and community saturation component; and
a. Actively participate in the planning and implementation of the Federal
Marriage Education Demonstration Grant project revisions as identified
by the Federal Project Officer (FPO) and/or Technical Assistance (TA)
with representatives of Human Services and United Way of Weld
County: and
b. Integrating the definitions, practices, and broad values agreed upon by
the partners and approved by the FPO systematically into preliminary
evaluative criteria to be utilized by the University of Northern Colorado
evaluators of the Federal Marriage Education Demonstration Grant.
i. Assisting in the identification of the necessary data to be
provided to support the evaluation; and
ii. Utilizing tracking forms that assist in the collection of accurate
data that are used in evaluating the success and practices of the
Federal Marriage Education Demonstration Grant with the
University of Northern Colorado; and
c. Reviewing ongoing reports and outcomes of the Federal Marriage
Education Demonstration Grant Project with DHS, and United Way of
Weld County with special emphasis on the marriage/relationship
education component; and
d. The coordination and collaboration of support services and related
activities to include Intake Support and Marketing as required by the
project design and in accordance with the requirements of Weld County
DHS and the Federal Grant; and
C. Assisting with and ensuring those grant requirements that pertain to the
marriage/relationship educational component by:
a. Maintain service agreement documents that include providing oversight
with consequences and training for the educators, facilitators, and
coaches to ensure compliance with the Federal Guidance to Faith-Based
and Community Organizations on Partnering with the Federal
Government and the Faith-based protocol set by the Weld County
Building Healthy Marriage Program; and

b. Implementing marriage/relationship education curriculum with related
services that comply with the Federal Healthy Marriage Demonstration
Grant to include the Federal Guidance to Faith-Based and Community
Organizations on Partnering with the Federal Government and the
Faith-based protocol set by the Weld County Building Healthy Marriage
Program to allow 1,430 individuals that meet the requirements of the
grant specified allowable activities #3, 4, 5, and 7 to participate in the
marriage/relationships skills training prior to September 30, 2011.
D. Actively participating in the resolution of problems and issues with DHS during
the planning and implementation of the Federal Marriage Education
Demonstration Grant Project; Building Healthy Marriages Program as identified
by the Partners DHS, Community Mediation Project and United Way of Weld
County.
a. Meet a minimum of once a month with the Project Manager in addition
to the Partners meetings which will also be held at a minimum of once
a month; and
b. Committing 2.25 FTE to the planning, development and delivery of the
BHM per the guidelines of the Federal Marriage Education
Demonstration Grant; and
c. Providing monthly activity reports and other reports as required to DHS
monthly for review.
3.COMPENSATION: DHS agrees to pay CMP for professional and educational
services pursuant to this Agreement a sum of $359,280, which includes
$113,280 for staff and overhead costs and $246,000 for services provided
according to attached budget. CMP shall submit invoices in accordance to the
following criteria:
• Itemization of all monthly bills shall be in accordance to the CMP
budget attached to this contract. (Exhibit A)
• Any requests for reimbursement for expenses not included on the
CMP budget must have pre-approval from DHS prior to the
expenditure.

• CMP shall submit an itemized monthly bill, according to proper
invoices to the Program Manager, for all costs incurred and services
provided pursuant to this Agreement in accordance with criteria
established by DHS. Monthly invoices should reflect 1/12 of the
costs for Healthy Marriage Education Administration (HMEA) and
actual costs identified with marriage education services, including
marriage seminars, conflict resolution education, relationship
inventories, and marriage mentoring seminars, marriage educator
certification, and financial management education. CMP shall submit
all itemized monthly billings to DHS no later than the twenty-fifth
(25) day of the month following the month the cost was incurred.
• CMP agrees to comply with Federal administrative requirements, cost
principles outlined in OMB Circular A-87 and other requirements set
forth in Title 45 of the Code of Federal Regulation, "Uniform
Administrative Requirements for Grants and Cooperative State and
Local Governments."
• CMP agrees to comply with and upon request from DHS provide
accounting records demonstration compliance (general ledger) to the
single audit requirements set forth in OMB Circular A-133 and the
0MB Circular A-133 Compliance Supplement.
• Payments of costs incurred pursuant to this Agreement are expressly
contingent upon the availability of the Colorado Works or Temporary
Assistance for Needy Families (TANF) funds and/or Federal Marriage
Education Demonstration Grant.
• DHS shall not be billed for and reimbursement shall not be made for
time involved in activities outside of those defined in this Agreement.
Work performed prior to the execution of this Contract shall not be
reimbursed or considered part of this Agreement.
• DHS may withhold any payment if CMP has failed to comply with the
Financial Management Requirements, program objectives,
contractual terms, or reporting requirements. In the event of a
forfeiture of reimbursements, CMP may appeal such circumstance to
the DHS Director. The decision of the DHS Director shall be final.
• All computer equipment will be owned by CMP and will be
maintained by CMP.
• The parties agree that the service rate as contemplated herein shall
constitute the entire amount of compensation due to CMP for any
work performed hereunder.

4. ASSURANCES: CMP shall abide by the following Assurances.
5. TERMINATION: Either party may terminate this Agreement at any time by
providing the other party with a 30-day written notice thereof.
Furthermore, this Agreement may be terminated at any time without notice
upon a material breach of the terms of the Agreement.
6. TIME OF THE ESSENCE: Time is of the essence in each and all of the
provisions of this Agreement.
7. ENTIRE AGREEMENT/MODIFICATIONS: This Agreement including Exhibit A
constitutes the entire understanding between the parties with respect to the
promises and covenants made therein. No modification of the terms of this
Agreement shall be valid unless made in writing and agreed to by both
parties.
8. NON-APPROPRIATION: No portion of this Agreement shall be deemed to
create an obligation on the part of DHS to expend funds not otherwise
appropriated in each succeeding year.
9. WAIVER OF IMMUNITIES/THIRD PARTY LIABILITY: No portion of this
Agreement shall be deemed to constitute a waiver of any immunities of
DHS or its officers or employees may possess, nor shall any portion of this
Agreement be deemed to have created a duty of care with respect to any
persons other than DHS and not a party to this Agreement.

THIS AGREEMENT is made and entered into this day of 2010 by and between the

hereinafter referred to as"DHS", and United Way of Weld County, hereinafter referred to as"United
Way."
WITNESSETH:
WHEREAS, DHS' goal to intervene successfully with families in the least intrusive manner while

WHEREAS, DRS' desire to develop a balanced system of care in Weld County under a
community based services integration process, emphasizing family strengths through interagency and
community collaboration; and
WHEREAS, DHS' desire to development of balanced systems of care with evidenced-based and
promising practices that are outcome based; and
WHEREAS, under the Personal Responsibility and Work Opportunity Reconciliation Act,the
Temporary Assistance for Needy Families (TANF), which is the Colorado Works Program, encourages the
formation and maintenance of two-parent families; and
WHEREAS, DHS supports the Families First Programs, which are designed to maintain two-
parent families and to intervene with families under a balanced system of care; and
WHEREAS, DHS' included the Weld County Healthy Marriages Initiative, which will promote
marriage education with related supportive services, and collaborative processes among, United Way of
Weld County,the Community Mediation Project, and DHS; and
WHEREAS, United Way, as the successful bidder for the Weld County Building Healthy
Marriages Program, has the expertise and knowledge to assist DHS and its collaborative partners in its
efforts to recruit participants through a recruitment and marketing campaign,to further define
expectations of a recruitment and marketing campaign that will complement the components of intake,
enrollment, and the family mentoring program and the public marriage education program and is
designed to recruit those populations specified under the Federal Marriage Education Demonstration
Grant allowable activity areas; and
WHEREAS, United Way will focus on DHS' expectations of recruitment and marketing under the
Weld County Building Healthy Marriages Project to promote a balanced system of care as specified in
the Federal Marriage Education Demonstration Grant received by DHS.

2. SERVICES PROVIDED BY UNITED WAY; United Way agrees to assist and report directly to
DHS in its preparation of recruiting and marketing for the Building Healthy Marriages Program for 2010-
2011, related to:
A. Create public informational advertising campaigns on the value of healthy marriage and
relationships and the skills needed to increase family stability and health.
a. Defining and implementing the substantive content of a recruitment and marketing
campaign in conjunction with marriage/relationship education services and the intake
team that will target individuals interested in marriage, non-married expectant couples,
engaged couples, in committed relationships and married couples; and
b. The development of a recruitment and marketing strategy that will incorporate needs of
the intake and enrollment; and focus on the populations specified in the Federal
Demonstration Grant for allowable activity areas 3,4,5, and 7; and
c. The hiring of appropriate contract staff, who meet qualifications as required by the
project design; and
B. Reviewing and participating in the ongoing design of the Building Healthy Marriages Program
with DHS and Community Mediation, Inc.with special emphasis on the recruitment and
marketing.
a. Actively participate in the planning and implementation of the Federal Marriage
Education Demonstration Grant project revisions as identified by the Federal Project
Officer and Technical Assistance with representatives of Human Services and
Community Mediation Project, and
b. Assisting in developing the definition of services to be provided including how these
services will be quality-driven, cost-effective, community-and faith-based, and culturally
inclusive; and
c. Assisting in identifying and tracking outcomes that will be used in evaluating the success
and promising practices of the Building Healthy Marriages Program.
d. Reviewing ongoing reports and outcomes of the program evaluation with DHS and the
Community Mediation, Inc. with special emphasis on recruitment and marketing
campaign.
C. Assisting in integrating standardized definitions, practices, and broad values systematically into
preliminary evaluative criteria to be utilized by the University of Northern Colorado, evaluators
of the Federal Marriage Education Demonstration Grant and Building Healthy Marriages
Program, respectively.

a. Reviewing the literature and resources that suggest specific recruitment and marketing
strategies that will initially and continually enhance participation in a marriage/
relationship education program.
D. Ensuring that public statements, promotion and marketing in print, and internet are inclusive of
the recognition of Human Services, United Way of Weld County, and Community Mediation
Project, Inc.
a. Ensuring that public statements, promotion and marketing in print, and internet is in
compliance with the Federal Guidelines to Faith-based and Community Organization on
Partnering with Federal Government and have been presented to the Program Manager
for approval by the Federal Project Officer assigned to this grant, prior to its public
appearance.
b. Ensuring that public statements, promotion and marketing in print, and internet
intended for mass marketing also include the following federally approved disclaimer:

Human Services,Administration for Children and Families, Grant: 90FE0134. Any
opinions,findings, and conclusions or recommendations expressed in this material are
those of the author(s) and do not necessarily reflect the views of the United States
Department of Health and Human Services,Administration for Children and Families.
E. Actively participating in the resolution of problems and issues during the implementation of the
Building Healthy Marriages Program as identified by the planning team of Community Mediation
Project, Human Services, University of Northern Colorado and United Way of Weld County.
a. Meet a minimum of monthly with the Project Manager in addition to the Partners

b. Providing monthly activity reports and timelines for recruitment and marketing activities
and other reports as required to DHS.
c. Committing appropriate and approved FTE to the planning, development, and

o Payments of costs incurred pursuant to this Agreement are expressly contingent upon
the availability of the Colorado Works or Temporary Assistance for Needy Families
(TANF)funds and/or Federal Marriage Education Demonstration Grant.
o OHS shall not be billed for, and reimbursement shall not be made for time involved in
activities outside of those defined in this Agreement.
o DHS may withhold any payment if United Way has failed to comply with the Financial
Management Requirements, program objectives, contractual terms, or reporting
requirements. In the event of a forfeiture of reimbursements, United Way may appeal
such circumstance to the Director of DHS. The decision of the Director of DHS shall be
final.
o All equipment purchased will be owned by United Way and will be maintained by United
Way.
4. ASSURANCES: United Way shall abide by the following Assurances.
5. TERMINATION: Either party may terminate this Agreement at any time by providing the other
party with a 30-day written notice thereof. Furthermore,this Agreement may be terminated at any
time without notice upon a material breach of the terms of the Agreement.
6. TIME OF THE ESSENCE: Time is of the essence in each and all of the provisions of this
Agreement.
7. ENTIRE AGREEMENT/MODIFICATIONS:This Agreement including Exhibit A constitutes the
entire understanding between the parties with respect to the promises and covenants made therein.
No modification of the terms of this Agreement shall be valid unless made in writing and agreed to by
both parties.
8. NON-APPROPRIATION: No portion of this Agreement shall be deemed to create an obligation
on the part of DHS to expend funds not otherwise appropriated in each succeeding year.

9. WAIVER OF IMMUNITIES/THIRD PARTY LIABILITY: No portion of this Agreement shall be
deemed to constitute a waiver of any immunities of DHS or its officers or employees may possess, nor
shall any portion of this Agreement be deemed to have created a duty of care with respect to any
persons other than DHS and not a party to this Agreement.
