RE: RESCIND RESOLUTION #2010-2541, DATED OCTOBER 25, 2010, AND APPROVE
MODIFIED PERMIT AGREEMENT FOR SEISMOGRAPHIC SURVEY AND AUTHORIZE
CHAIR TO SIGN - GEOKINETICS USA, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, by Resolution #2010-2541, dated October 25, 2010, the Board approved a
Seismic Mineral Permit Agreement with Geokinetics USA, Inc.,with terms and conditions stipulating
payment of$5.00 per acre owned by Weld County, and
WHEREAS, the Board has been presented with a modified Permit Agreement for
Seismographic Survey between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, and Geokinetics USA, Inc.,with terms and conditions being
as stated in said agreement, and additional listed properties being described in Exhibit A to said
modified agreement, and
WHEREAS, after review, the Board deems it advisable to rescind Resolution#2010-2541,
and approve said modified agreement, a copy of which is attached hereto and incorporated herein
by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the modified Permit Agreement for Seismographic Survey between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, and Geokinetics USA, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said modified agreement.

Dear WELD COUNTY,
Geokinetics, and/or its assigns hereby requests your permission to conduct a seismographic survey, including the right
to ingress and egress for such purposes, across your land in Weld County, CO and more fully described below in
Exhibit A:
Total Acres: 39.36 PER ACRE: $7.50 Total Check: $295.16
This permit shall include any surface or mineral interests you own within this seismic survey, including but not limited
to, the surface interests described above.
Our operations will be conducted in accordance with standard industry practices and in a prudent and careful manner,
and we agree to indemnify and hold you harmless from all liability and claims, if any,which may result from the
operations conducted under this permit. In addition, Geokinetics USA, Inc. agrees to indemnify and reimburse
landowner for any physical loss or damage to the property as described in the land description resulting from the
seismic and/or geophysical testing conducted by Geokinetics USA, Inc. In the unlikely event that this survey is
cancelled or moved, we will notify you and this permit shall become null and void. Unless otherwise voided by
conditions stated herein, this agreement shall survive any lease, sale, trade or conveyance of property interests
described above and made after executed date of this agreement and will be binding on successors or assigns.
If your permission is granted, please so indicate by signing this permit form in the space provided below and return
one copy of the permit in the enclosed courtesy envelope and retain the other copy for your records. Please fill in
your phone number if it is not already indicated below. It is very important that you include your SSN or Tax I.D. for
payment and inform us of any Oil and Gas lease and tenant/renter information affecting the lands covered by this
Permit. Permittee represents that he/she has full legal authority to grant permission for entry to the described lands
for the purpose of conducting the requested survey. This Agreement(a) constitutes the entire agreement of the
Parties with respect to the subject matter and supersedes any prior agreement or understanding with respect to the
subject matter hereof and (b) may be executed in separate counterparts via facsimile or telecopy.
The Forest Service has requested that Geokinetics conduct Archaeological Inventories on your personal property. By
this request we are informing you of the request and now asking permission to have a team of Archaeologists survey
your property for the above listed inventories. You have the option of allowing this to be conducted on your property.
We request that you mark the option below with an "X"that you would like. If you have any question please call my
number below to discuss.
