RE: APPROVE AGREEMENT CONCERNING TRANSFER OF SURPLUS ABMULANCES AND
AUTHORIZE CHAIR TO SIGN - CENTURA HEALTH PREHOSPITAL SERVICES
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement Concerning the Transfer of
Surplus Ambulances between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Weld County Paramedic Service, and
Centura Health PreHospital Services, commencing upon full execution, with further terms and
conditions being as stated in said agreement, and
WHEREAS,after review,the Board deems it advisable to approve said agreement,a copy of
which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado,that the Agreement Concerning the Transfer of Surplus Ambulances between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, on behalf of the Weld County Paramedic Service, and Centura Health PreHospital Services
be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 10th day of February, A.D., 2010.

AGREEMENT CONCERNING THE
TRANSFER OF SURPLUS AMBULANCES
THIS AGREEMENT entered into this day of 1/4orv, , 2010, by and
between the County of Weld, State of Colorado, by and through its Board of County
Commissioners, whose address is 915 10th Street, P.O. Box 758, Greeley, CO 80632 ("Weld
County"), and Centura Health PreHospital Services. 4231 West 16`" Avenue, Suite 408, Denver,
CO 80204 ("Centura").
SUBJECT PROPERTY:
Weld County owns two ambulance vehicles, more particularly described as follows:
2003 Ford E-450 Ambulance, YIN IFDXE45FX3HB35069 with a 1999 Braun Box;
2005 Ford E-450 Ambulance, YIN 1FDXE45P75HA59922 with a 1999 Braun Box.
("The subject ambulances").
The subject ambulances have been declared surplus by the Board of County Commissioners,
allowing the ambulances to be placed for sale.
SALE OR EXCHANGE OF SUBJECT PROPERTY:
Centura has expressed an interest in purchasing the ambulances through an exchange of services
to Weld County from Centura. Centura agrees to provide six (6) tuition free spaces in Centura's
Paramedic program for eligible employees of Weld County Paramedic Services, a value
equivalent to thirty-six thousand, six hundred ($36,600) dollars, upon the following conditions:
1. Eligible employees shall be employees of Weld County designated by Weld County
Paramedic Services who also successfully complete Centura's application and admission
process.
2. Centura's agreement is to provide tuition only. Centura shall not be responsible for any
additional expenses for books, uniforms, travel, salaries, or any other expenses incurred
by any Weld County employee participating in Centura's Paramedic Program.
3. An eligible employee from Weld County shall be selected through the established process
for selecting Weld County employees to attend paramedic programs.
4. Centura will provide to Weld County Paramedic Services on or before January 31 of each
year, an accounting of the number of tuition free spaces used and the number of tuition
free spaces remaining to Weld County, until such time as the six tuition free spaces have
been used by Weld County. If Weld County does not agree with the accounting report

from Centura, Weld County must notify Centura within thirty (30) days after receipt of
the accounting from Centura. If Centura is notified of a discrepancy in the accounting
report, the parties will work together in good faith to resolve the matter.
NO WARRANTY:
Centura agrees to accept title and ownership of the subject ambulances in an "as is - where is'
condition, without warranty including the absence of warranty of fitness or marketability.
OWNERSHIP:
Upon transfer of title to the subject ambulances, Centura shall be the sole owner of the subject
ambulances.and accepts full responsibility for the ambulances, together with the operation of the
ambulances, including any maintenance and insurance required to maintain the ambulances.
Weld County will have no further interest in the ownership of the ambulances upon transfer of
title.
TERM:
This Agreement shall be effective upon signing, and the portions of the Agreement concerning
the use of tuition free spaces shall remain in effect until such time that the last of the six tuition
free spaces has been utilized by Weld County, at which time this Agreement shall terminate.
NOTICES:
All notices required or permitted under this Agreement shall be in writing and delivered
personally, by facsimile or by first class certified mail, return receipt requested. If delivered
personally, notice shall be deemed given when actually received. If delivered by facsimile,
notice shall be deemed given upon full transmission of such notice and confirmation of receipt
during regular business hours. If delivered by mail, notice shall be deemed given at the date and
time indicated on the return receipt. Notice shall be delivered to the name of the representative
and the address as noted on the signature page for each Party.
GENERAL PROVISIONS:
A. The parties to this Agreement intend that the relationship between them contemplated by
this Agreement is that of independent entities working in mutual cooperation. No
employee, agent, or servant of one party shall be or shall be deemed to be an employee,
agent, or servant of another party to this Agreement.
B. Nothing in this Agreement shall be construed to require Weld County or the Weld County
Paramedic Services to provide funding not previously budgeted.

C. It is expressly understood and agreed that enforcement of the terms and conditions of this
Agreement and all rights of action relating to such enforcement, shall be strictly reserved
to the undersigned parties and nothing contained in this Agreement shall give or allow
any claim or right of action whatsoever by any other person not included in this
Agreement. It is the express intention of the undersigned parties that any entity, other
than the undersigned parties receiving benefits under this Agreement shall be deemed an
incidental beneficiary only.
REQUIRED SIGNATURES:
Each party agrees to sign or execute any documents that may be required to effect the valid legal
transfer of the subject ambulances as agreed in this Agreement. The parties agree that the
transfer of the subject ambulances shall be completed on or before
2010.
