The improvements agreement and collateral has been reviewed by the Departments of Planning Services and Public Works and it has been determined that the amount of collateral is sufficient to cover the proposed improvements. The Departments of Planning Services and Public Works recommend acceptance of this collateral. SERVICE,TEAMWORK,INTEGRITY,QUALITY EXECUTION COPY IMPROVEMENTS AGREEMENT Cedar Creek II -USR-1723 THIS AGREEMENT (this "Agreement") is made and entered into this 28th day of June, 2010, by and between the County of Weld, State of Colorado, acting through its Board of County Commissioners, hereinafter called "County," and Cedar Creek II, LLC, a Colorado limited liability company, hereinafter called "Applicant." WITNESSETH: WHEREAS, Applicant is the owner and or tenant of the following described property in the County of Weld, Colorado: See attached Exhibit A hereinafter referred to as the "Property," and WHEREAS, County has approved a Site Specific Development Plan and Use by Special Review Permit (No. USR-1723) (the "Permit") for a Major Facility of a Public Utility (A wind energy facility with a generating capacity up to 250.8 megawatts (MW) along with a 230- kilovolt (kV) electric transmission line, an interconnection facility to tie into an existing 72-mile transmission line, existing collector transmission lines, up to five (5) permanent 80-meter meteorological towers, one (1) substation, an operations and maintenance building/facility, and one (1) temporary batch plant and construction facility) in the A (Agricultural) Zone District(the "Project"), and WHEREAS, Applicant acknowledges that the Permit is conditional upon, inter alia, Applicant's construction of certain improvements to certain County Roads (the "County Roads") which are necessary for Applicant to construct the Project and which are more particularly described in the attached Exhibit B, as well as certain improvements to the Property (the "On- Site Improvements") as more particularly described in the attached Exhibit C, and WHEREAS, the parties agree that Applicant shall not be required to commence construction of the Road Improvements until Applicant receives a permit for grading or a right- of-way permit from County, and WHEREAS, the parties agree that Applicant shall be responsible for damages the Project causes to County rights of way, including the County Roads, and agrees to keep them open and passable for public use, all as contemplated herein. Required Improvements 1.0 Road Improvements Defined: The "Road Improvements" shall mean those improvements to County Roads that are required by Applicant in order to construct the Project, all as more particularly described on Exhibit B. By way of example, the Road Improvements will generally consist of grading, improvements to the turning radii at designated intersections, improvements to existing cattle guards and the installation of warning signs at designated locations. Upon completion of the Project, or a portion thereof which will no longer utilize a portion of the County Roads for construction purposes, the "Road Improvements" shall include the return of the County Roads to their pre-Project condition as evidenced by the pre- construction survey required in Section C.2.0, except as may otherwise be set forth in Exhibit B or as may otherwise be agreed to by the County Public Works Department ("Public Works"). 2.0 Road Improvements Responsibilities: Applicant shall be solely responsible for the construction of all Road Improvements, as well as any improvements required by the Colorado Department of Transportation ("CDOT"), and for any expenses associated therewith. These include, but are not limited to, the following: design and construction of the Road Improvements, surveys, utility locates, right-of-way clearances and permits, coordination with oil and gas operators and facilities, affected railroad facilities and affected irrigation facilities, traffic control, and Project safety during construction. Construction of the Road Improvements shall be in accordance with all applicable regulations issued by the Occupational Safety and Health Administration, CDOT, Colorado Department of Public Health and Environment and other regulatory agencies. 3.0 Road Improvements Construction Standards: All construction and materials for the Road Improvements shall conform to the standards and specifications for the Road Improvements set forth in Exhibit B. 4.0 Traffic Control: Prior to any construction by Applicant in County right-of-way and as a condition of issuance of any access permit or right-of-way permit, Applicant shall submit a traffic control plan for County review. During construction, signage on County Roads shall be posted in accordance with the accepted traffic control plan and the then current version of the "Manual of Uniform Traffic Control Devices" issued by the Federal Highway Administration. 5.0 Dust Control: Applicant shall be responsible, at Applicant's expense, to apply an appropriate dust suppressant (water, calcium chloride, or magnesium chloride) on all County Roads used by Project traffic. Magnesium chloride shall be used on those County Roads identified on Exhibit E. Dust suppressant shall be applied approximately 150 feet on either side of any residential driveway located on an Approved Haul Route (as hereinafter defined), as shall be reasonably determined by Public Works, and taking into account average daily traffic generated by the Project, background traffic levels, and resident complaints. 6.0 Acceptance of Road Improvements: See Section D.5.0 below. gill lilt lilt 3707991 07/28/2010 02:15P Weld County, CO 4 of 18 R 0.00 D 0.00 Steve Moreno Clerk& Recorder 2- 18SU/ou-y 7.0 On-Site Improvements Defined: The "On-Site Improvements" shall mean those improvements to Property described on Exhibit C. 8.0 On-Site Improvements Responsibilities: Applicant shall be solely responsible for the construction of all On-Site Improvements and for any expenses associated therewith. These include, but are not limited to, the following: design and construction of the On-Site Improvements, surveys, utility locates, right-of-way clearances and permits, coordination with oil and gas operators and facilities, affected railroad facilities and affected irrigation facilities, traffic control, and Project safety during construction. Construction of the On-Site Improvements shall be in accordance with all applicable regulations issued by the Occupational Safety and Health Administration, Colorado Department of Public Health and Environment and other regulatory agencies. 9.0 On-Site Improvements Construction Standards: All construction and materials for the On-Site Improvements shall conform to the standards and specifications for the On-Site Improvements set forth in Exhibit C. 10.0 Decommissioning Plan. Each party hereto agrees that the Project shall be decommissioned, and security therefore shall be provided, in accordance with the terms and conditions set forth in Exhibit F. 11.0 Temporary Met Towers: Applicant shall have the right to construct, operate and maintain, at its sole cost and expense, nine (9) eighty (80) meter temporary meteorological towers (the "Temporary Met Towers") within the sections/townships/ranges identified on Exhibit G. 11.1 Each Temporary Met Tower shall be located at least 1 times its height from (a) occupied residences, unless written permission for a shorter distance is received by the landowner, and (b) County Roads. 11.2 Applicant shall remove the Temporary Met Towers no later than one (1) year after the completion of the construction thereof. In the event that Applicant does not remove the Temporary Met Towers within such time period, County shall have the right to draw on the Temporary Met Tower Collateral and use such funds to perform such removal. B. Haul Routes 1.0 Established Haul Routes: 1.1 Applicant shall take reasonable steps to prevent heavy truck and equipment traffic associated with the Project from using any County Roads other than those shown on the attached Exhibit D and any changes thereto under Section B.2.0 below(the "Approved Haul Routes"). 1.2 No haul truck may exceed applicable CDOT required specifications for 1850760.9 3 _ 1IIIIII IIIII11111111111111111111111111III1111111111111 3707991 07/28/2010 02:15P Weld County, CO 5 01 18 R 0.00 D 0.00 Steve Moreno Clerk& Recorder pounds per axle. 1.3 Applicant recognizes that first use priority to certain Approved Haul Routes belongs to the United States Air Force. 2.0 No Deviation from Approved Haul Routes: Except as expressly set forth herein, no deviation in the use of any roads other than the Approved Haul Routes by vehicles accessing the Project shall be permitted without the prior written approval of Public Works, not to be unreasonably withheld, conditioned or delayed. Without limiting the generality of the foregoing, in the event any changes to the Approved Haul Routes are accepted by Public Works, Applicant shall be required to address, at Applicant's expense, any impacts associated with the use of such revised haul routes, including dust control, upgrading, or maintenance of such revised haul routes. Applicant shall recommend that passenger vehicles and light trucks use the Approved Haul Routes to access the Project whenever possible. When passenger vehicles and light trucks access the Project via non-Approved Haul Routes without the approval of Public Works, Applicant shall provide dust suppression at required locations or reimburse Public Works for any incremental impacts associated with the use of such routes, including dust control and maintenance if Public Works advises Applicant that such Project traffic has increased traffic counts beyond the applicable threshold per Weld County Code Section 8-6-100. 2.1 Applicant may request deviation, modification or termination of or from one or more of the Approved Haul Route(s) by submitting, in writing to Public Works, a request detailing the dates and locations of the proposed changes in the Approved Haul Route(s). In the case of a deviation or modification, the written request shall identify the specific proposed new haul route(s) and interval(s) for the proposed new haul route by identifying the bounding roads (road number X between road number Y and road number Z). The written request should include identification of any site and road limitations of which the Applicant is aware. Public Works will evaluate the request, perhaps by field visit, and respond to the requested change(s) in writing within 5 working days. The Applicant shall be responsible for any road improvements identified by Public Works that may be necessary to render the new proposed haul route serviceable for the Project traffic. C. Road Maintenance Requirements 1.0 Obligation to Maintain Current and Future Routes: Applicant shall promptly repair or cause to be repaired any material damage to the Approved Haul Routes that is caused by Project traffic. The type and method of repair shall be consistent with the applicable standard set forth in Exhibit B. 2.0 Preconstruction Survey: Applicant and County have jointly inspected the Approved Haul Routes and established a baseline of current road conditions on the Approved Haul Routes so that subsequent inspections will be able to identify any material damage or maintenance issues on the Approved Haul Routes that are attributable to Applicant's use of the Approved Haul Routes. 111111111111111111111111111111111111111111111111111111 707 , 6 of 991 18 R07/02.80/020100 0.0007/28/2010 D 0.0002:15P SteveWeld Moreno ClerkCounty &CD Recorder 1850760-9 4 - 3.0 Need for Immediate Repairs: In the event of damage to an Approved Haul Route by Project traffic that causes an immediate threat to public health and safety or renders the road impassible ("Significant Damage"), County shall, after inspection, notify Applicant of such Significant Damage and Applicant will thereafter cause all hauling operations over the damaged portion of such haul route to cease until adequate repairs to such haul route can be made. Applicant shall identify the repair required and shall consult with County on the extent, type, timing, materials and quality of repair (i.e. temporary versus permanent) within twenty-four (24) hours after receipt of such notice and shall commence such repair within forty-eight (48) hours after receipt of such notice. If such repair is not commenced within such forty-eight (48) hour period, County shall have the right to draw on the Road Maintenance Collateral and use such funds to perform such repair. If Applicant identifies Significant Damage prior to receiving notice thereof from County, Applicant may commence repair of such Significant Damage and shall concurrently notify County of the extent, type, timing, materials and quality of repair (i.e. temporary versus permanent). 4.0 Stockpiling of Repair Materials: During each construction phase of the Project, Applicant will maintain a stockpile of repair materials on the Property, primarily consisting of three (3) gravel stockpiles of not less than one thousand (1,000) cubic yards per stockpile for road repairs at the locations set forth on the attached Exhibit H. Applicant shall replenish each stockpile until such time as Applicant has notified Public Works that heavy hauling operations for the Project has ceased and Public Works has concurred. 5.0 Dispute Resolution: In the event of a disagreement between County and Applicant pertaining to Applicant's responsibility for damage to or maintenance of the Approved Haul Routes, Applicant and County shall meet on-site as soon as reasonably possible to attempt to resolve such differences. If such efforts are not successful, senior executives from Applicant and County shall meet to resolve such differences. D. General Requirements 1.0 Engineering Services: Applicant shall furnish, at its own expense, all engineering and survey services in connection with the design and construction of the Road Improvements and the On-Site Improvements. 1.1 The required engineering and survey services shall be performed by a Professional Engineer and Land Surveyor registered in the State of Colorado. 1.2 Applicant has furnished the Issued for Construction Drawings attached to Exhibits B and C to Public Works for review and acceptance (the "Construction Drawings") and such Construction Drawings are acceptable to Public Works. 2.0 Rights-of-Way and Easements: If necessary, Applicant shall acquire, at its own expense, good and sufficient rights-of-way and easements on all lands and facilities traversed by the proposed Road Improvements. The Road Improvements and the On-Site Improvements shall be completed by Applicant as required to provide for construction of the Project. 3.1 Construction of the Road Improvements and the On-Site Improvements shall be in strict conformance with this Agreement and with the Construction Drawings. 3.2 To the extent reasonably required by County and consistent with a sampling plan to be developed by and reasonably acceptable to both Applicant and County (the "Sampling Plan"), Applicant shall employ, at its own expense, a qualified testing company that is reasonably acceptable to both Applicant and County to perform all testing of materials or construction to confirm that they are consistent with the standards and specifications contained in Exhibit B, Exhibit C and the Construction Drawings, and shall furnish copies of all such test results to County. 3.3 Prior to the acceptance of the Road Improvements and the On-Site Improvements as set forth in Section D.5.0 below, Public Works shall have the right to test and inspect or to require testing and inspection in accordance with the Sampling Plan, of material and work with respect to the Road Improvements at Applicant's expense. Any material or work not conforming to the Construction Drawings including but not limited to damages to property adjacent to the construction area, shall be repaired, removed or replaced, at Applicant's expense, to be consistent with the Construction Drawings. 4.0 Release of Liability: Each party to this Agreement (the "Indemnifying Party") shall indemnify and hold harmless the other party (the "Indemnified Party") from any and all liability, loss and damage, including reasonable attorneys' fees and costs, that the Indemnified Party may suffer as a result of all suits, actions or claims of every nature and description caused by, arising from, or on account of the negligent or intentional act of the Indemnifying Party or its officers, agents, employees, or otherwise except for the liability, loss, or damage arising from the negligent or intentional act of the Indemnified Party. All contractors and other employees engaged by Applicant in construction of the Road Improvements and the On-Site Improvements shall maintain adequate worker's compensation insurance and public liability insurance coverage, and shall operate in strict accordance with the laws and regulations of the State of Colorado governing occupational safety and health. The obligations of Applicant under this paragraph shall not extend to any judgments against County which are in excess of the limitations on liability set forth in the Colorado Governmental Immunity Act, C.R.S. Section 24-10-101, et. seq. to the maximum extent that such limitations on liability are applicable. 1111111 11111 DTI Ell 11111111111111111 Dint till 3707991 07/28/2010 02:15P Weld County, CO 8 of 18 R 0.00 D 0.00 Steve Moreno Clerk& Recorder 1850760-9 -6- 5.0 Acceptance of Improvements by County: Upon completion of each phase of the Project and compliance with the following procedures by Applicant, the Road Improvements and the On-Site Improvements shall be deemed accepted by County. 5.1 Portions of the Road Improvements and the On-Site Improvements may be placed in service when completed but prior to the completion of the Project. Such use and operation shall not constitute an acceptance of the uncompleted portions of the Road Improvements and the On-Site Improvements. 5.2 County shall issue building permits as required for construction of the Project if Road Improvements and the On-Site Improvements have been started but not completed and shall continue to issue building permits so long as the progress of work on the Road Improvements and the On-Site Improvements is reasonably satisfactory to County, and Applicant is not in breach of this Agreement. 5.3 Upon the completion of all or any portion of the Road Improvements or the On-Site Improvements and the filing of a Statement of Substantial Compliance by Applicant's engineer, Applicant may request in writing that County inspect the portion of the Road Improvements or the On-Site Improvements specified in such written notice thereof. As soon as possible, but in any event within twenty-eight (28) days of receipt of any such request for inspection by Application, or such longer period of time as may reasonably be necessary under the circumstances, County shall perform such inspection and notify Applicant in writing of any deficiencies or County will notify Applicant in writing that no inspection is needed. If any deficiencies are discovered during an inspection and County has provided written notice thereof to Applicant, Applicant shall correct the deficiencies. The County Engineer and /or the Department of Planning Services shall reinspect the Road Improvements or the On-Site Improvements or applicable portion thereof after notification from Applicant that said deficiencies have been corrected. If the County Engineer and/or the Department of Planning Services find that such portion of the Road Improvements or the On-Site Improvements have been completed in accordance with the Construction Drawings and Exhibit B or Exhibit C, as applicable, he or she shall recommend partial or full acceptance. Upon the receipt of a positive unqualified written recommendation from County Engineer and/or the Department of Planning Services for acceptance, Public Works shall fully accept the Road Improvements or the On-Site Improvements or applicable portion thereof. 5.4 Applicant shall warranty all Road Improvements and On-Site Improvements for a period of one (1) year. Upon completion of the one (1) year warranty period, Applicant may request in writing that County inspect the portion of the Road Improvements and On-Site Improvements specified in such written notice thereof. As soon as possible, but in any event within twenty-eight (28) days of receipt of any such request for inspection by Applicant, or such longer period of time as may reasonably be necessary under the circumstances, County shall perform such inspection and notify Applicant in writing of any deficiencies or County will notify Applicant in writing that no inspection is needed. If any deficiencies are discovered during an inspection and County has provided written notice thereof to Applicant, Applicant shall correct the deficiencies. County shall reinspect the Road Improvements, the On-Site Improvements or applicable portion thereof after notification from Applicant that said deficiencies have been corrected. If County find that such portion of the Road Improvements or On-Site Improvements have been completed in accordance with the Construction Drawings and Exhibit B or Exhibit C, as applicable, a written recommendation of acceptance for all or a portion of such Road Improvements or On-Site Improvements will be presented to the Board for consideration of collateral release. 6.0 General Requirements for Collateral: 6.1 Road Improvements Collateral shall be in the amount of Two Hundred Forty Eight Thousand Three Hundred Sixty Dollars ($248,360) and shall be provided by Applicant to County prior to the issuance of any grading or right-of-way permits for the Project. Road Improvements Collateral may be released in part as portions of the Road Improvements are accepted by County. 6.2 On-Site Collateral shall be in the amount of Three Hundred Thirty Five Thousand One Hundred Twelve Dollars ($335,112) and shall be provided by Applicant to County prior to the issuance of any grading or right-of- way permits for the Project. On-Site Collateral may be released in part as portions of the On-Site Improvements are accepted by County. 6.3 Road Maintenance Collateral shall be submitted to County prior to commencement of construction on the Project and shall be in the amount of Five Hundred Thousand Dollars ($500,000). Road Maintenance Collateral shall be held by County until such time as the Project is complete and the post-Project condition of County Roads has been accepted by County. Introduction 1.1 Project Description Cedar Creek II, LLC (Developer) is proposing to construct and operate a wind energy facility, called the Cedar Creek II Wind Farm (project), located approximately 25 miles north of New Raymer, Colorado in Weld County, Colorado. The project is sited on private and State lands that are currently primarily used for agricultural and livestock purposes. The project would include construction of 123 wind turbines, with a total capacity of 250.8 MW, on approximately 26,000 acres. To deliver electricity to the grid, the project would build approximately 20 miles of new 230 kilovolt (kV) transmission infrastructure to tap into an existing 72 mile 230 kV transmission line that runs from the Cedar Creek wind farm to the Keenesburg substation. In addition, the project would include the construction of approximately 45 miles of new roads and buried collector lines and an operations and maintenance (O&M) building. The term of the power purchase agreement for this project is 25 years, after which time a new power purchase agreement may be negotiated. At the end of its useful life (which is defined as the point at which the facility generates no electricity for a continuing period) the site would be decommissioned and reclaimed within 18 months of Developer filing a Notice of Termination of Operations with the County. Developer has negotiated lease agreements and easements with participating property owners. These agreements provide the rights to develop, construct, maintain, and operate wind energy systems on the leased property. Separate easements have been established to provide the rights of access and transmission of electricity across County Road easements. All lease agreements and easements would be in place for 40 years, with the option to extend. If any material lease agreement was breached, the participating property owner could give a Notice of Default to Developer in writing. If the breach continues for thirty (30) days after written notice of default, or if the cure will take longer than thirty (30) days, the landowner could seek remedies as may be available at law or equity from Developer, in accordance with the termination provisions of the lease. 1.2 Purpose This Decommissioning Plan (plan) is being submitted to Weld County to fulfill one of the requirements of the Use by Special Review (USR 1723) permit issued for the project. The terms of this Decommissioning Plan shall be binding upon the wind farm owner, Developer and any of its successors, assigns, or heirs. The plan will be implemented to ensure that the project and associated structures are removed after operations cease and that the property is reasonably restored in accordance with the applicable lease agreements. 1850760-9 -1- This plan generally outlines the procedures for decommissioning the project and restoring lands to their original condition. Decommissioning procedures involve the physical removal of certain facilities, structures and components associated with the project, the disposal of solid and hazardous waste, and identification of physical elements that may remain on the property at the discretion of the participating property owners. Restoration includes the stabilization or re- vegetation of the project site to minimize erosion and facilitate subsequent land uses as determined by the property owner. Provisions for financial assurance for decommissioning and reclamation activities are described in this plan. 2. Decommissioning In the context of this plan, decommissioning is the act of removing the wind energy system from service. Decommissioning is a step-by-step deconstruction process that involves carefully and safely removing and appropriately salvaging, recycling and disposing of the infrastructure and appurtenant facilities. It includes the physical removal of facility-associated structures and components (including portions of the foundations) from the Project Area. In accordance with existing lease agreements decommissioning of the project will include removal of the following infrastructure: • Aboveground equipment, including towers, concrete pads (does not include foundations), anchors, guy wires, fences, fixtures, materials, buildings, structures, improvements, and personal property installed by Developer or by its agents, will be removed and recycled or disposed of at approved off-site facilities. • Where feasible, wind turbines, including blades and towers, will be removed in a manner to allow for refurbishment and resale of each component. Removal will require cranes, construction of temporary crane pads, plus some access road improvements to accommodate large cranes and trucks. • Foundations will be removed to a depth of three (3) feet (or such greater depth as required under the applicable lease agreement) below the surface. Structures and debris located below the soil surface will also be removed to a depth of three (3) feet (or such greater depth as required under the applicable lease agreement) below the surface. All pit holes, trenches or other borings or excavations (but not roads) created during decommissioning will be properly filled and compacted. • Underground power and communication lines will be decommissioned in place. Underground cables will be cut off at ground surface at the cabinets. Transformers will be removed from the site. • Solid waste and hazardous material will be disposed of offsite in accordance with applicable state and federal regulations. Decommissioned gearboxes, transformers, and hydraulic systems will be drained of fluids, put into appropriate containers before dismantling, and then transported and disposed of off-site in accordance with state and federal regulations. • Should the property owner request that a road(s) constructed for the wind energy system be removed, the property owner would notify Developer on or before the lease termination date. Roads requested to be removed and restored will be reclaimed pursuant to guidelines in Section 3 below. 1850760-9 -2- 3. Reclamation In the context of this plan, reclamation is the process of restoring lands affected by the project or its dependent components to a land use condition that satisfies the landowner and complies with County requirements. The process may require grading, contouring, removal of compacted soils, stabilization, re-vegetation, and drainage control. Reclamation of the project will include the following: • Disturbed on-site soils and vegetation will be restored to their original condition or better. Reclamation procedures will be based on site-specific requirements and techniques commonly employed at the time the area is reclaimed. If the area is reclaimed as agricultural crop land, reclamation may include re-grading, application of soils and tilling. If the land is to be reclaimed to its natural state, reclamation will include re- grading, seedbed preparation, and revegetation with native seed. • Should the property owner request removal of certain wind project roads, these roads will be scarified, decompacted, and recontoured as needed to provide a condition that will facilitate revegetation or agricultural use, allow for proper drainage, and prevent erosion. If requested by the property owner, the area will be reseeded with native grass seed. 4. Schedule The wind turbines proposed for use in the project are expected to be operational for 25 years. It is anticipated that as these turbines reach the end of their expected life, technological advances may allow for a repowering where the existing turbines would be replaced with more efficient and cost-effective generators that extends the life of the project. Many older wind energy facilities have been re-powered by upgrading or replacing existing towers and other infrastructure with more efficient turbines and related equipment. Should the operation of the project be terminated, Developer would provide County with a written Notice of Termination of Operations. The date of the Notice of Termination of Operations is the Termination Date. The notice will be provided within 30 days of terminating operation of the system. The project will be removed in accordance with the terms of existing easement and lease agreements with the landowners. Decommissioning and reclamation prior to the end of the 25 year life-expectancy of the project could occur under certain unlikely conditions such as condemnation or the cessation of power generation by the project. 5. Estimated Decommissioning and Reclamation Costs Total decommissioning and reclamation costs will be offset by the salvage value of towers, turbines and associated facilities that were sold or reused. Developer will cause the estimated decommissioning and reclamation costs to be updated by an independent engineer every five years beginning in year 10 of the project. 6. Responsibility Developer, and its successors or assigns or heirs, would be responsible for decommissioning the facility and all costs associated with decommissioning the project and associated facilities. Developer will be responsible for ensuring that decommissioning activities occurred in 1850760-9 -3- accordance with this plan. Upon completion of decommissioning, Weld County will have the right to review final decommissioning and reclamation to confirm it was consistent with this plan. If decommissioning does not proceed in accordance with this plan, Weld County will have the right to enter the property and cause the appropriate abandonment and decommissioning measures as determined by this plan. Following satisfactory decommissioning and reclamation, all requirements for Developer to provide financial assurance hereunder will cease. 6.1 Financial Assurance Financial assurance will be provided by Developer in a manner sufficient to adequately satisfy decommissioning and reclamation commitments under this plan. Financial assurance will be provided in the form of an irrevocable letter of credit, surety bond or cash. To determine the amount of financial assurance, Developer will hire an independent engineer to provide an estimate of the salvage value of the towers, turbines and associated facilities as well as an estimate of the decommissioning reclamation costs for the project every five years beginning in year 10 of the project. If the decommissioning and reclamation costs exceed the estimated salvage value of the towers, turbines and associated facilities, Developer will post financial assurance for 1.2 times the difference between the salvage value of the towers, turbines and associated facilities and the decommissioning and reclamation costs. Any letter of credit shall be subject to the requirements of Weld County Code Section 2-3-30 B. Developer shall utilize only a County approved form when obtaining a letter of credit: (IRREVOCABLE STANDBY LETTER OF CREDIT FOR BOARD OF COUNTY COMMISSIONERS OF WELD COUNTY, COLORADO). A copy of said form shall be provided to Developer upon request. Any surety bond shall be given by a corporate surety authorized to do business in the State of Colorado. The surety bond shall conform to and be subject to the requirements of Weld County Code Section 2-3-30 B.4. Developer shall utilize only a County approved form when obtaining a surety bond: (PERFORMANCE BOND FOR BOARD OF COUNTY COMMISSIONERS OF WELD COUNTY, COLORADO). A copy of said form shall be provided to Developer upon request. The Board of County Commissioners of Weld County reserves the right to reject collateral which is deemed inappropriate or insufficient, which may be either as collateral in the form of a letter of credit offered by a banking institution which has at least a"three star" rating as determined by Bauer Financial or a financial institution or company that is major United States commercial bank or foreign bank with a United States branch office, with a senior unsecured bond rating (unenhanced by third party support), equivalent to A- or better as determined by Standard & Poor's or A3 or better as determined by Moody's, or as collateral in the form of a performance bond offered by an insurance company which does not have at least a B+ rating given by A.M. Best. The Board further reserves the right to require Developer to obtain replacement collateral if the rating of the financial institution providing any collateral drops below the levels stated above. Replacement collateral shall be submitted by Developer within sixty (60) days of the Board's notice to Developer that the rating has fallen and that the collateral must be replaced.
