RESOLUTION RE: APPROVE INTERGOVERNMENTAL AGREEMENT TO SHARE ZONE CONTROLLER MAINTENANCE COSTS AND AUTHORIZE CHAIR TO SIGN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS,the Board has been presented with an Intergovernmental Agreement to Share Zone Controller Maintenance Costs among the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Regional Communications Center, Jefferson County,Arapahoe County, Douglas County,ADCOM, 911, Inc., Consolidated Communications Network of Colorado, and the Northern Colorado Regional Communications Network, commencing upon full execution,with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Intergovernmental Agreement to Share Zone Controller Maintenance Costs, among the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Weld County Regional Communications Center, Jefferson County, Arapahoe County, Douglas County, ADCOM, 911, Inc., Consolidated Communications Network of Colorado, and the Northern Colorado Regional Communications Network be, and hereby is, approved. The Consolidated Communications Network of Colorado currently in agreement with the Northern Colorado Radio Communications Network operates a radio zone controller which processes radio traffic throughout northern Colorado identified as zone 3. Currently public safety radio traffic which occurs in Weld County moves through this zone controller. The zone controller is the backbone of a trunked radio system. The attached agreement is directed at sharing the annual maintenance costs among the user counties identified as Jefferson, Douglas. Arapahoe, Adams. and Weld. The agreement has been staffed with the Weld County Attorney's Office and they have approved it to move forward as to legal form. The annual cost associated with this contract is currently $16,000.00. For the past two years this had been paid by the E911 Board. With our continued participation in the state-wide system I would recommend approval of the contract. If you have any questions, concerns or direction, please do not hesitate to contact me. 2010-1941 INTERGOVERNMENTAL AGREEMENT TO SHARE ZONE CONTROLLER MAINTENANCE COSTS This Intergovernmental Agreement to Share Zone Controller Maintenance Costs (the "Agreement") dated for reference purposes January 1, 2010 (the "Reference Date") between Jefferson County,Arapahoe County, Douglas County, and Weld County, each, on behalf of such county's Sheriffs Office,ADCOM 911, Inc., a governmental organization established to provide communications and dispatch services for Adams County government agencies, Consolidated Communications Network of Colorado, a Colorado nonprofit corporation, ("CCNC") and the Northern Colorado Regional Communications Network, a communications authority established via intergovernmental agreement ("NCRCN"). Each of the foregoing named parties shall be referred to in this Agreement individually, as a "Party" and collectively, as the "Parties". WHEREAS, each of the counties named above together with ADCOM, 911, Inc., and NCRCN are legally authorized to cooperate and contract with each other pursuant to C.R.S. §29-1- 203 and Article XIV, §18(2)(x) of the Colorado Constitution for the purpose of providing any function, service or facility authorized to it,including the sharing of costs for such function, service or facility; WHEREAS,CCNC is authorized under its articles of incorporation and bylaws to cooperate and contract with the other Parties for the purposes set forth below; WHEREAS, the Parties desire to share in the costs to maintain a regional network zone 3 controller owned by CCNC and serving a portion of a statewide digital trunked radio system (the "Equipment"); and WHEREAS, the Parties are entering into this Agreement in order to describe their respective rights and obligations in connection with maintenance of the Equipment. NOW, THEREFORE,in consideration of the mutual covenants and obligations contained in this Agreement and for other good and valuable consideration, the Parties agree as follows: 1. Term. This Agreement shall commence upon the Effective Date (the date the Agreement is executed by all Parties) and shall continue to and including one year from the date of the Effective Date. The Agreement shall automatically renew for two additional one year terms unless otherwise terminated by a Party upon 180 days written notice to the other Parties. Any such termination shall not relieve the terminating Party from obligations that have accrued up to the date of termination. With the exception of termination by CCNC, termination by a Party or Parties shall only terminate that Party's or Parties' participation in the Agreement and shall not affect the continuation of the Agreement with respect to the remaining Parties except as noted in paragraph 3 below. Termination by CCNC shall terminate this Agreement in its entirety. 2. Maintenance Responsibility. During the term of this Agreement, CCNC shall be responsible for the maintenance and support of the Equipment. 3. Payment Responsibilities. During the term of this Agreement, CCNC shall establish a budget for maintenance and support of the Equipment for each calendar year and shall provide each other Party a detailed accounting showing such Party's proportionate share of maintenance costs (an "Accounting"). Costs shall be divided among all Parties on an equal basis. In the event of m/attomcy/offleial/Sheriff/IG.A to Share htaint Costs.doc 1 termination by one or more Parties pursuant to paragraph 1 above or paragraph 11 below, costs shall be divided among all remaining Parties on an equal basis subject to the provisions of paragraph 1 above. Such costs shall include all reasonable and necessary costs to maintain the Equipment,including technical support services, UPS maintenance services, pre-tested subscription services and insurance. Within 30 days after receipt of an Accounting, each Party shall pay to CCNC the total amount due for such Party's share of maintenance costs for the Equipment. 4. Reporting Outages. The Parties agree to establish a reporting mechanism for reporting failures, outages and other service-diminishing occurrences of the Equipment. 5. Service Level Agreements. CCNC agrees to cooperate with the State of Colorado's Division of Information Technology to negotiate and develop one or more service level agreements that dictate the timing and manner of service response for all components related to, connected with, or affecting, the Equipment. 6. Confidentiality. All data, documents and other information exchanged between the Parties shall be deemed confidential and shall not be disclosed by the receiving party to any person or entity without the prior written consent of the disclosing party. 7. Relationship of the Parties. Each Party is an independent contractor, and this Agreement and the transactions contemplated hereunder shall not create between the Parties a relationship of agency, joint venture,partnership or employment. 8. Notices. All notices required or permitted under to this Agreement shall be in writing and delivered personally, by facsimile or by first class mail, return receipt. If delivered personally, notice shall be deemed given when actually received. If delivered by facsimile,notice shall be deemed given upon full transmission of such notice and confirmation of receipt during regular business hours. If delivered by mail, notice shall be deemed given at the date and time indicated on the return receipt. No Third Party Beneficiaries. Enforcement of the terms and conditions of this Agreement and all rights of action relating to such enforcement shall be strictly reserved to the Parties, and nothing contained in this Agreement shall give or allow any such claim or right of action by any other person or entity not a party to this Agreement. 10. Further Assurances. Nonappropriation. Any financial obligation of a Patty,who constitutes a governmental entity, contained in this Agreement shall not be deemed to be a multi-year financial obligation pursuant to Article X, Section 20 of the Colorado Constitution and such financial obligations shall be subject to annual appropriations by such Party. Any Party,who is a governmental entity, may terminate or suspend its participation in this Agreement if such funds are not so appropriated. In the event a Party suspends its participation because of non appropriation, that Party may reactivate its participation for subsequent years by providing written notice to the other Parties. 12. Nonassignment. This Agreement shall not be assigned or delegated by a Party without the prior written consent of the other Parties. 13. Binding Effect; No Change in Scope of Authority. This Agreement shall inure to the benefit of, and be binding upon, the Parties, and their respective legal representatives and successors. Nothing in this Agreement is intended to modify or alter a Party's authority or jurisdiction as it exists as of the Effective Date. 14. Governing Law;Jurisdiction. This Agreement and the rights of the Parties under it will be governed by, and construed in accordance with, the laws of the State of Colorado,without regard to the conflicts of laws rules of Colorado. The courts of the State of Colorado shall have sole and exclusive jurisdiction of any disputes or litigation arising under this Agreement. 15. Entire Agreement;Amendment. This Agreement constitutes the entire agreement between the Parties as to the subject matter hereof and supersedes all prior or contemporaneous agreements, proposals, negotiations, understandings, representations and all other communications,both oral and written, between the Parties. This Agreement may not be modified or amended except in a writing signed by the Parties. 16. Headings. The section headings in this Agreement are for reference only and shall not effect the interpretation or meaning of any provision of this Agreement. 17. Counterparts. This Agreement may be executed in counterpart, each of which will be deemed an original. Delivery of an executed signature page of this Agreement by facsimile or email transmission will constitute effective and binding execution and delivery of this Agreement. 18. Severability. If any provision of this Agreement is declared by a court of competent jurisdiction to be invalid,void or unenforceable, such provision shall be deemed to be severable, and all other provisions of this Agreement shall remain fully enforceable, and this Agreement shall be interpreted in all respects as if such provision were omitted. 19. Immunities Preserved. This Agreement shall not be construed as a contractual waiver of any immunities or defenses provided by the Colorado Governmental Immunities Act, §24-10-101, C.R.S, et. seq. 20. Survival. The provisions of this Section and Sections 6— 19 of this Agreement shall survive the termination or expiration of this Agreement.
