RE: APPROVE PROPOSAL FOR WELD COUNTY DELTA CONTROLS VERSION 3.33 AND
WAN UPGRADE AND AUTHORIZE CHAIR TO SIGN - SETPOINT SYSTEMS
CORPORATION
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS,the Board has been presented with a Proposal for Weld County Delta Controls
Version 3.33 and the WAN Upgrade from Setpoint Systems Corporation, to the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County,on behalf of
the Department of Buildings and Grounds, and, commencing upon full execution,with further terms
and conditions being as stated in said proposal, and
WHEREAS, after review, the Board deems it advisable to accept said proposal, a copy of
which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Proposal for Weld County Delta Controls Version 3.33 and the WAN
Upgrade from Setpoint Systems Corporation, to the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department of
Buildings and Grounds, and Setpoint Systems Corporation be, and hereby is, approved and
accepted.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said proposal.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 23rd day of June, A.D., 2010.

Setpoint Systems Corporation Terms and Conditions
1. Customer shall permit Setpoint Systems Corporation free and timely access to areas and equipment,and allow Setpoint Systems
Corporation to start and stop the equipment as necessary to perform required services. All planned work under this Agreement will be
performed during the Setpoint Systems Corporation's normal working hours.
2. In case of any failure to perform its obligations under this Agreement,Setpoint Systems Corporation's liability is limited to repair or
replacement at its option and such repair or replacement shall be Customer's sole remedy. This warranty is conditioned upon proper
orientation and maintenance by Customer and shall not apply if the failure is caused or contributed to by accident,alteration,abuse or
misuse,and shall not extend beyond the term of this Agreement.
3. The annual Agreement price is conditioned upon the system(s)covered being in a maintainable condition. If the initial inspection or initial
seasonal start-up indicates repairs are required,a firm quotation will be submitted for Customers approval. Should Customer not
authorize repairs,Setpoint Systems Corporation may either remove the unacceptable system(s),component(s)or pad(s)from its scope
of responsibility and adjust the annual agreement price accordingly or cancel this Agreement.
4. The annual Agreement price is subject to adjustment on each commencement anniversary to reflect increases in labor,material and other
costs.
5. Customer shall be responsible for all taxes applicable to the services and/or materials hereunder.
6. Customer will promptly pay invoices within ten(10)days of receipt. Should a payment become thirty(30)days or more delinquent,
Setpoint Systems Corporation may stop all work under this Agreement without notice and/or cancel this Agreement,and the entire
Agreement amount shall become due and payable immediately upon demand.
7. Any alteration to,or deviation from,this Agreement involving additional work,cost of materials or labor will become an extra charge(fixed
price amount to be negotiated or on a time-and-material basis at Setpoint Systems Corporation's rates then in effect)over the sum stated
in this Agreement.
8. Setpoint Systems Corporation will not be required to move,replace or alter any part of the building structure in the performance of this
Agreement.
9. Customer shall permit only Setpoint Systems Corporation's personnel or agent to perform the work included in the scope of this
Agreement. Should anyone other than Setpoint Systems Corporation's personnel perform such work,Setpoint Systems Corporation may,
at its option,cancel this Agreement or eliminate the involved item of equipment from inclusion on this Agreement.Any Work required as a
result of any unauthorized person(s)is NOT covered under this agreement and will be billed at the prevailing rate
10. In the event Setpoint Systems Corporation must commence legal,quasi-legal,equitable or alternative dispute resolution action in order to
recover any damages related to this Agreement,Customer shall pay Setpoint Systems Corporation all court costs,attorneys'fees,and
related expenses incurred by Setpoint Systems Corporation.
11. Any legal action against the Setpoint Systems Corporation related to this Agreement,or the breach thereof,shall be commences within
one(1)year from the date of the Setpoint Systems Corporation's work.
12. Setpoint Systems Corporation shall not be liable for any delay,loss,damage or detention caused by unavailability of machinery,
equipment or materials,delay of carriers,strikes,including those by Setpoint Systems Corporation's employees,lockouts,civil or military
authority,priority regulations,insurrection or riot,action of the elements,forces of nature,acts of terrorism,or by any cause beyond its
control.
13. To the fullest extent permitted by law,Customer shall indemnify and hold harmless Setpoint Systems Corporation,its agents and
employees from and against all claims,damages,losses and expenses,including but not limited to attorneys'fees,arising out of or
resulting from the performance of work hereunder,provided that such claim,damage,loss or expense is cause in whole or in part by an
active or passive act or omission of Customer,anyone directly or indirectly employed by Customer,an invitee of Customer,or anyone for
whose acts Customer may be liable,regardless of whether it is caused in part by the negligence of Setpoint Systems Corporation.
Further and notwithstanding the preceding sentence,Setpoint Systems Corporation shall be held harmless and shall not be liable to
Customer for any claims,liabilities,damages,losses and expenses related to mold or the creation of mold at Customers location(s)and
shall have no obligation to treat,identify or remove such mold.
14. Customer shall make available to Setpoint Systems Corporation's personnel all pertinent Material Safety Data Sheets(MSDS)pursuant
to OSHA's Hazard Communication Standard Regulations.
15. Setpoint Systems Corporation expressly disclaims any and all responsibility and liability for the indoor air quality of the customer's facility,
including without limitation injury or illness to occupants of the facility or third parties,arising out of or in connection with the Setpoint
Systems Corporation's work under this agreement.
16. Setpoint Systems Corporation's obligation under this proposal and any subsequent contract does not include the identification,abatement
or removal of asbestos or any other toxic or hazardous substances,hazardous wastes or hazardous materials. Setpoint Systems
Corporation disclaims any responsibility to identify any such substances. In the event such substances,wastes and materials are
encountered,Setpoint Systems Corporation's sole obligation will be to notify the Owner of their existence. Setpoint Systems Corporation
shall have the right thereafter to suspend its work until such substances,wastes or materials and the resultant hazards are removed. The
time for completion of the work shall be extended to the extent caused by the suspension and the contract price equitably adjusted.
17. UNDER NO CIRCUMSTANCES,WHETHER ARISING IN CONTRACT,TORT(INCLUDING NEGLIGENCE),EQUITY OR OTHERWISE,
WILL SETPOINT SYSTEMS CORPORATION BE RESPONSIBLE FOR LOSS OF USE,LOSS OF PROFIT,INCREASED OPERATING
OR MAINTENANCE EXPENSES,CLAIMS OF CUSTOMER'S TENANTS OR CLIENTS,OR ANY SPECIAL,INDIRECT OR
CONSEQUENTIAL DAMAGES.
18. This Agreement does not include repairs to the system(s),the provisions or installation of components or parts,or service calls requested
by the Customer unless otherwise noted in this agreement.These services will be charged for at Setpoint Systems Corporation's rates
then in effect. Any subcontracted work outside the scope of this agreement will be billed at cost plus 25%,upon approval from customer.
19. In the event any portion of these terms and conditions is held invalid or inoperative,the other portions of these terms and conditions shall
be deemed valid and operative and,so far as is reasonable and possible,effect shall be given to the intent manifested by the portion held
invalid or inoperative. Moreover,in the event any court of competent jurisdiction shall determine that the scope or terms of any restriction
set forth herein is unreasonable,then it is the intention of the parties that such restriction or term be enforced to the fullest extent which
the court deems reasonable,and these terms and conditions shall thereby be reformed.

Description of Proposed System:
Dear Toby:
Thank you for the opportunity to submit a proposal for the above referenced project. This
proposal is a V3.33 software and hardware upgrade to the existing Delta Controls System. In
addition, SSC will setup a Wide Area Network (WAN) by integrating each facility into the
existing Weld County network. Below are just some of the immediate features with the WAN:
• Interface of the existing BAS/Delta Controls system from multiple workstations
• WEB Access from anywhere in the world
• Easier user level activity monitoring
• Powerful event (alarm) notification via email
The Delta Controls V3.33 BAS will be designed around ANSI/ASHRAE Standard 135-1995,
also known as the BACnetTM standard. The data link layer and device objects used for this
project will be designed around this open protocol standard, which will allow for the
interoperability of dissimilar systems. The BAS will provide for the future expansion of the
system to include, but not be limited to, lighting, security, CCtv, card access, power
monitoring and fire alarm systems.

Exceptions and Clarifications:
A. Our quotation is contingent upon receipt of a purchase order and/or subcontract
agreement fully acceptable to Setpoint Systems Corporation.
B. Our quotation is based upon;
• design engineering and as-built drawings in AutoCAD version 2010
• tax on material 0.0%
• all work performed during normal business hours
• control wiring in exposed areas in conduit and plenum rated above ceiling
• End devices will be tagged with point name/number. Control wiring will be
labeled at both ends. No splicing will be allowed in control wiring.
• SSC is a licensed electrical contractor
C. Our quotation does NOT include;
• After hours installation, checkout and/or startup
• replacement of any subnet (RS485) network controller, not needed at this
time
D. Our quotation includes:
• providing a new server(rack mount)to act as a client server for the WEB
Access software (large), access & installation to the World Wide Web via
ISDN,T1 or DSL by others.
• FREE hands-on training to owners and operators for the life of any Delta
Controls system we install. Training is offered twice monthly and consists of
two-day classes. Lunch and training materials are included
• fabricated control panels by SSC are UL508A Listed, 120 V power to control
panels provided by Division 16
• one year warranty on parts provided by SSC
• editing and upgrading the existing Delta Control graphics & converting to
WEB graphics
