RE: RESOLUTION RELATING TO THE ISSUANCE OF REVENUE BONDS UNDER
THE PROVISIONS OF THE COLORADO COUNTY AND MUNICIPALITY
DEVELOPMENT REVENUE BOND ACT; SUPPLEMENTING THE BOND ORDI-
NANCE PASSED AND ADOPTED ON NOVEMBER 14 , 1979 NUMBERED 58;
SETTING CERTAIN TERMS FOR THE BONDS APPROVED AND AUTHORIZED
BY SAID ORDINANCE; AND APPROVING AND AUTHORIZING CERTAIN
DOCUMENTS.
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Com-
missioners of the County of Weld, Colorado:
Section 1. Recitals.
A. The Board of County Commissioners of the County of Weld,
Colorado (the "County") passed and adopted an ordinance (the
"Bond Ordinance") on November 14 , 1979 , which is numbered Ordi-
nance 58, approving and authorizing the issuance, sale and
delivery of bonds to be entitled "Weld County, Colorado, Revenue
Bonds (The Ev. Lutheran Good Samaritan Society Project) Series
1979" (the "Bonds") ; and
B. The Bonds will be issued under and pursuant to the pro-
visions of §29-3-101, et seq. , C.R.S . 1973, as amended (the "Act") ;
and
C. Section 20-3-106 , C.R.S . 1973 , as amended, provides that
the form of the Bonds and certain terms thereof must be set by
the County in either an ordinance or a supplemental resolution
and other sections of the Act require certain determinations to be
made by the County; and
D. The Bond Ordinance provides, among other provisions, for
the form of the Bonds and certain of their terms, but contemplates
that certain other terms are to be set by a supplemental resolution.
Section 2 . Form of the Bonds .
The form of the Bonds shall be as set forth in the Mortgage
and Indenture of Trust (the "Trust Indenture") dated as of
December 1, 1979 , among the County, The Ev. Lutheran Good Samaritan

Society (the "Society") and Central Bank of Denver, as Trustee,
the terms, conditions and provisions of which Trust Indenture are
for all purposes incorporated herein by reference, and a copy of
which is ordered filed by the County Clerk with the records of
the County Clerk and identified as the Trust Indenture referred
to in this Resolution.
Section 3 . Findings and Determinations.
The Board of County Commissioners hereby finds and deter-
mines that (a) the amounts necessary to pay the principal of and
interest on the Bonds in each year and the amounts necessary to
be paid each year into the funds created under the Trust Inden-
ture are as set forth in the Trust Indenture; (b) it is not
deemed necessary or advisable to establish any reserve funds in
connection with the retirement of the Bonds and the maintenance
of the Facility, which includes the Project (as both such terms
as described in the Loan Agreement between the County and the
Society dated as of December 1, 1979) ; (c) since the Loan Agree-
ment provides that the Society shall maintain the Facility, which
includes the Project, and carry all proper insurance with respect
thereto, no determination of the estimated cost of maintaining
the Facility, which includes the Project, in good repair and
keeping it properly insured need to be made; and (d) the revenues
of the Society from the operation of the Society ' s Facility, which
includes the Project, are sufficient to pay any taxes or amounts,
if any, in lieu of taxes required of the Society by X29-3-120 ,
C.R.S . 1973, as amended.
Section 4 . Term of the Bonds.
The Bonds shall be dated December 1 , 1979 , have a maximum
net effective interest rate of 10. 0%, be in denominations of
$5, 000 each and shall be issuable as coupon bonds registrable as
to principal only and as fully registered bonds without coupons
in the denomination of $5, 000 or any integral multiple thereof
(but not in excess of the principal amount of Bonds maturing in
any particular year) . The Bonds shall be in the total principal

amount of $1, 600 ,000 and shall mature in the amounts, on the dates
and bear interest at the coupon rates set forth in the following
maturity schedule:

Section 5. Execution, Payment and Redemption of the Bonds.
The place of payment of the Bonds shall be Central Bank of
Denver, a Colorado banking association, the present street address
of which is 1515 Arapahoe Street, Denver, Colorado, which bank is
also acting as the Trustee. The Bonds shall be executed and sub-
ject to redemption as set forth in the Trust Indenture.
Section 6 . Approval and Authorization of Bond Purchase
Agreement.
The Bond Purchase Agreement between the County, the Society
and Piper, Jaffray & Hopwood Incorporated of Minneapolis, Minne-
sota, as managing Underwriter (the "Underwriter") , in substantially
the same form as attached hereto as Exhibit A, is in all respects
approved, authorized and confirmed and the Chairman of the Board
of County Commissioners and the County Clerk are authorized and
directed to execute and deliver the Bond Purchase Agreement for
and on behalf of the County. The sale of the Bonds to the Under-
writer on the terms and conditions and at the prices set forth in
the Bond Purchase Agreement is approved.
Section 7. Confirmation of Preliminary Official Statement and
Authorization of Execution of Official Statement.
The Preliminary Official Statement prepared in connection with
the offer of the Bonds and its distribution and use by the Under-
writer are hereby ratified and confirmed. The Underwriter is
authorized to distribute and use a final Official Statement to be
prepared in connection with the issuance and sale of the Bonds , in

such form as is approved by the Chairman and County Attorney, in
connection with the sale of the Bonds; provided, however, that
the authorization to distribute and use the final Official State-
ment shall not be deemed or construed as a representation by the
County, the Chairman of the Board of County Commissioners or the
County Attorney of the accuracy or completeness of any information
contained therein with respect to the Society or the Project.
Section 8 . Approval and Authorization of Escrow Agreements.
The Escrow Agreement dated as of December 1, 1979 , among
the Society, the County, St. Louis Union Trust Company and Norman
E. Heitner, in substantially the same form as attached hereto as
Exhibit B, is in all respects approved, authorized, and confirmed
and the Chairman of the Board of County Commissioners and the
County Clerk are authorized and directed to execute and deliver
the Escrow Agreement for and on behalf of the County.
Section 9 . Loan Agreement and Trust Indenture.
The revised forms of the Loan Agreement and the Trust Inden-
ture presented to the Board at this meeting are hereby affirmed,
authorized and confirmed as in substantially the same form as the
Loan Agreement and Trust Indenture previously approved, authorized
and confirmed by the Board of County Commissioners in the Bond
Ordinance, and the Chairman of the Board of County Commissioners
and the County Clerk are authorized and directed to execute and
deliver the Loan Agreement and the Trust Indenture in substantially
those forms.
Section 10. Bonds Not a Liability of the County.
The Bonds shall never constitute an indebtedness of the
County within the meaning of any provision or limitation of the
Colorado Constitution or statutes or the County ' s Home Rule Char-
ter, and shall not constitute or give rise to a pecuniary liability
of the County or a charge against its general credit or taxing
powers. The Bonds are not general obligations, but are special,
limited obligations of the County, payable solely out of the
revenues derived under the Loan Agreement or the Trust Indenture

and pledged and assigned for their payment in accordance with
the Trust Indenture.
Section 11. Authority to Correct Errors, Etc.
The Chairman of the Board of County Commissioners and County
Clerk are hereby authorized and directed to make or agree to any
alterations, changes or additions in the instruments hereby approved
as the Chairman of the Board of County Commissioners and County
Attorney deem necessary or proper to accomplish the purposes of
this supplemental resolution and Bond Ordinance, the signatures
of the Chairman and the County Clerk on the instruments to be con-
clusive evidence of such approval; provided, however, no alteration,
change or addition shall be made which shall alter the maximum net
effective interest rate, denomination, date, maturities , form,
interest rates, registration privileges , manner of execution,
places of payment or terms of redemption of the Bonds of which
shall increase the aggregate principal amount of the Bonds
authorized by the Board or in any way give rise to a pecuniary
liability of the County or a charge against its general credit
or taxing powers with respect to the Bonds .
The above and foregoing Resolution was, on motion duly made
and seconded, adopted by the following vote on the 14th day of
November, A.D. , 1979 .

I hereby certify that pursuant to a notice dated September 5, 1979, duly
published September 13, 1979 in the Platteville Herald a public hearing was
held on the request submitted by Bonell Center for Industrial Development
Revenue Bonds for the Evangelical Lutheran Good Samaritan Society. Marjorie
Loeffler, representing the applicant, presented her testimony. The Bond Counsel
representative was present and answered questions. Don Warden, County Finance
Officer, stated that all County Departments, agencies, and committees assigned
to review this request have found it to be in compliance with the County
Ordinances regulating Revenue Bonds. There was no opposition to this request.
Commissioner Carlson asked that Ordinance #58 be read. Mr. Anson read said
Ordinance in total . The Ordinance is an Ordinance relating to the issuance of
revenue bonds under the provisions of the Colorado County and Municipality
Development Revenue Bond Act; providing for the issuance and sale of Weld County,
Colorado, Revenue Bonds (The Ev. Lutheran Good Samaritan Society Project) series
1979, in a principal amount not to exceed $1 ,600,000 for the purpose of loaning
funds to the Ev. Lutheran Good Samartian Society to finance improvements and
refinance obligations relating to the acquisition and construction of the
society's center in Weld County, Colorado: Approving and authorizing the
execution of a loan agreement between the society and the county and a mortgage
and indenture of trust among the society, the county and a trustee; and
authorizing the preparation and execution of certain related documents and
instruments. Commissioner Steinmark made a motion to approve the first reading
of Ordinance #58, directed the legal staff to put Ordinance #58 into proper form,
and directed the Clerk to the Board to publish said Ordinance forthwith.
Commissioner Roe seconded the motion and it carried unanimously.

I hereby certify that pursuant to a notice dated April 30, 1979,
duly published May 3, 1979 in the Platteville Herald, a public hearing was
held on the request by Evangelical Lutheran Good Samaritan Society, Bonell
Center, for Industrial Development Revenue Bonds. Don Warden informed the
Board that the Bond Counsel, representing Evangelical Lutheran Good Samaritan
Society (Bonell Center),has requested that the hearing be postponed
indefinitely due to problems that have arisen and further that they are
willing to pay any additional costs incurred by the County regarding their
request. Commissioner Steinmark made a motion to table the hearing date
indefinitely and to require proper;notice subgaent to the future public
hearing. Commissioner Roe seconded the motion and it carried unanimously.
