I hereby give my consent to assign the existing Nonexclusive License Agreement to the new owner of the property
to utilize the Weld County section line as their public access. All the terms and responsibilities of the existing
agreement shall remain in place.
The referenced Board-approved Nonexclusive License Agreement for the Upgrade and Maintenance of WCR 133,
being 30 feet in width on each side of the west section lines of Section 19, 30 and 31 in Township 10 North, Range
57 West, 6th PM, Weld County, Colorado between WCR and WCR , dated December 17, 2001,

Antelope Energy Company, LLC holds a Nonexclusive License Agreement for the upgrade and
Maintenance of Weld County Right-of-Way dated December 17, 2001, from Weld County, Colorado,
by and through the Board of County Commissioners of Weld County, Colorado (attached for your
reference) . Paragraph 6. of the Agreement provides that it may not be assigned without the
written consent of Weld County, which not be unreasonably withheld.
Antelope has a Purchase and Sale Agreement in place with Whiting Oil and Gas Corporation that
includes the property for which this ROW provides access. We respectfully request your
consent to assign the attached Nonexclusive License Agreement for the upgrade and Maintenance
of Weld County Right-of-Way dated December 17, 2001 to Whiting Oil and Gas Corporation, 1700
Broadway, Suite 2300, Denver, Colorado 80290.

Non-Exclusive License Agreement, Weld County
Gentlemen:
Enclosed is an original Letter of Consignment Consent to Assignment executed by
Antelope Energy Company, LLC and Whiting Oil and Gas Corporation. This pertains to
the nonexclusive License Agreement for the Upgrade and Maintenance of Weld County
Right of Way dated December 1, 2001 from the Board of County Commissioners to
Antelope Production Company, LLC. Antelope Production Company requests the
consent of the county, acting through the Weld County Board of County Commissioners,
to an assignment of this license agreement to Whiting Oil and Gas Corporation.
