THIS DEED is made by UNITED BANK OF GREELEY, N.A., formerly Intra es
Bank of Greeley, N.A., as Personal Representative of the Estate of George J.
Lamont, deceased, Grantor, to EQUUS FARMS, INC., a Colorado corporation,
Grantee, whose address is 555 17th Street, Suite 2400, Denver, Colorado 80202.
WHEREAS, the above-named decedent in his lifetime made and executed
his Last Will and Testament dated September 3, 1986,' which Will was duly
admitted to informal probate on October 16, 1987, by the District Court in and
for the County of Weld, and State of Colorado, Probate No. 87 PR 245;
WHEREAS, Grantor was duly appointed Personal Representative of said
Estate on October 16, 1987, and is now qualified and acting in said capacity.
NOW, THEREFORE, pursuant to the powers conferred upon Grantor by CRS -
15-1-803 of the Colorado Probate Code, and for the consideration of TEN and
ace Fee NO/100 DOLLARS and other good and valuable consideration, Grantor does hereby
40.00 sell, convey, assign, transfer and set over unto Grantee the following
described real property situate in Weld County, Colorado:

with all appurtenances.
For the same consideration, Grantor conveys and warrants to Grantee
all other real estate, tracts, parcels, strips, gores or other interests in
real property owned by Grantor, whether contiguous or adjacent to the lands
described in Exhibit A or otherwise.
Grantor does hereby bind itself and its successors to warrant and
forever defend all and singular the said real property unto Grantee, its
successors and assigns, against the lawful claims of any and all persons
claiming or to claim the whole or any part thereof by, through or under
• Grantor, but not otherwise.
To induce any person at any time hereafter to acquire an interest in,
or to insure the title to, the above-described property, Grantor, by the
execution of this deed, and the Grantee by the acceptance and recording of it,
each represent and declare that the Grantee is not Grantor's spouse, agent, or
attorney, or corporation or trust in which Grantor has a beneficial interest;
and that this deed is not part of a transaction which is affected by a con-
flict of interest on the part of the personal representative.
